CONFIDENTIALITY AGREEMENT

THIS CONFIDENTIALITY AGREEMENT (hereinafter referred to as “this

Agreement”), effective as of this 25.03.2023 (hereinafter referred to as the
“Effective Date”) is made by and between

HAVMOR ICE CREAM PRIVATE LIMITED, a Company within the meaning of

The Companies act, 1956, having its Registered Office at - 2nd Floor,
Commerce House IV, Beside Shell Petrol Pump, Opp. Shivalik, 100 FT. Road,
Prahaladnagar, Satellite, Ahmedabad–380015, Gujarat, India. (Hereinafter
referred to as “Disclosing Party” which expression shall, unless the same be
repugnant to the context or meaning thereof mean and includes its successors,
legal heirs, assigns etc.) (having PAN- AABCH6766L; CIN -
U15200GJ2006PTC048016);

And

M/s Jubilant FoodWorks Limited_________________, having his principal

place of business at 15th Floor, Tower E, Skymark One, Plot no. H-10-A,
Sector 98, Noida-201 301, Uttar Pradesh____________________; (hereinafter
referred to as “RECIPIENT” which expression shall, unless the same be
repugnant to the context or meaning thereof mean and includes its agents,
employees, successors, legal heirs, assigns etc.) (.

DISCLOSING PARTY and RECIPIENT shall be collectively referred to as

“Parties” and individually as “Party”.

RECITALS
WHEREAS:

A. DISCLOSING PARTY wish to engage RECIPIENT for product

development ___________ (hereinafter referred to as “Purpose”); and
B. For the Purpose, it may become necessary for DISCLOSING PARTY to
disclose certain Confidential Information includes technical,
commercial, financial, Sales, marketing, project, etc. to the RECIPIENT;
C. Parties intend that any Confidential Information disclosed by
DISCLOSING PARTY shall be protected by RECIPIENT from any
unauthorized use or disclosure by the terms of this Agreement.
