RE: Planned Preventative Maintenance

Daikin Ireland would firstly like to thank you for the opportunity to submit a maintenance proposal for
your facility.

We believe as one of Ireland’s largest Air-conditioning, Heat pump, Chillers manufacturers, Daikin
Ireland are attuned to the requirements of today’s building owners. In addition, our commitment to
achieve net zero emissions of greenhouse gases presents us as a responsible provider, whilst we
work to achieve your own targeted conditions in the most sustainable way.

Our approach to maintenance is always one of accountability and partnership, with a view to long-
term business relationships. Our faith in our products allows us to provide some of the longest
warranty agreements in the industry; coupled with a maintenance regime we are able to provide you
with peace of mind for the life-term of your assets.

services and monitoring solutions support your statutory obligations, help optimize your overall
efficiency and energy performance, whilst ensuring that your assets are in the best condition to
minimize unexpected downtime and disruption to your business.
Through our optional remote monitoring packages, your system has the capability to drive intelligent
notifications, providing early warning alerts prior to system degradation or in worst cases, operational
failure. If not already considered and ‘connecting’ your equipment is of interest, we will be happy to
provide further information.

maintenance to a complete comprehensive package.

We would like to put forward a maintenance proposal based on 2 major visits & 2 Daikin On Site
Assistance for the 9 chillers at Horizon New Drug Substance Facility. With 12 days being the standard
time for every major visit and 3 days being the standard time for every Daikin On-Site assistance, any
other service calls requested will not be covered as a part of this contract. The proposed maintenance
program can be implemented at any time following your acceptance.

CONTRACT TERMS

Daikin Ireland (the ‘Supplier’) and Jacobs Dublin (the ‘Customer’) agree as follows:

1. The Supplier shall provide the service in accordance with Schedule 1 and 2 of this Agreement. This Agreement
shall be valid for a minimum contractual period of one year from the Agreement Date.

2. The total service fee shall be a fixed amount of €34,000 (excluding VAT) per annum including 2 major visits and 2
Daikin on-site for a year for 15 (12 + 3) days per visit. This amount will not include any additional service calls.
This price has been produced as per the cost of 1 engineer on-site. If local site policy (H&S) dictates that more
than 1 engineer has to be present on site at all time, our price will be changed to reflect this. It is agreed that the
service fee can be adjusted once the contract has expired based on prevailing costs compared to those costs at
the beginning of the past agreement. A new annual fee will be informed to the Customer prior to two months
from the expiry of the current agreement.

3. Unless otherwise specifically agreed upon in writing, the payment term is thirty (30) days from the Supplier’s
invoice date. Failure to keep your account within acceptable terms may result in immediate cancellation of this
Agreement by the Supplier, with all outstanding balance(s) payable on demand. The Supplier reserves its sole
right to seek remedies in such a cancellation case.

4. The Customer shall cooperate with the Supplier and co-ordinate the user at the SITE as described above.
More specifically, the Customer shall;
a) Allow the Supplier to start and stop the Equipment in order to perform services provided by this
agreement.
b) Operate the Equipment in accordance with the manufacturer’s operating instructions, and notify
the Supplier of any change in the usual operating conditions.
c) Provide reasonable means of safe access to the Equipment.

5. All services under this agreement will take place during Normal Hours, i.e., 9.00 a.m. to 5.00 p.m., Monday to
Friday, except at special request of a “Reactive Call” by the Customer with extra charges as provided in Schedule
1.

6. The Supplier reserves the sole right, during the period of this contract, to serve upon you one month’s notice
of any change of our hourly service charges and
a) If such service charges are unacceptable the Customer shall have the right to terminate the
agreement. Thereafter the Supplier has no obligation to the Customer, including any liability.

7. The Customer agrees that the Supplier is not liable from this Agreement or in performing this Agreement other
than inspections as provided in Schedule 1 and 2. The Customer indemnifies the Supplier from any claim,
including from the User, arisen from the exclusions as described in Schedule 3.

8. It is agreed that the Schedule of this Agreement constitute an important part of this Agreement and are
incorporated herein by this reference:

When taking out a service & maintenance contract with Daikin Ireland, you are automatically covered by our reactive
call out service.

Please note:
1. Each callout has a minimum charge of 4 hours per call and all prices listed exclude Value Added Tax (VAT)
2. Post contract, standard rates will replace contracted rates.
3. Where quoted works are required, these will be quoted by half day and full day rates aligned to the above
4. P1 Critical call-out response is ‘Priced on Application’. This option incurs an additional service charge. If
required, please contact your Daikin Service representative.
5. In case of P2, the response time will be 4 hours, provided, the equipment is fitted with DOS – Daikin On-
Site.
6. Call out response times are not aligned to ‘quoted works’. Where a quotation is submitted for
additional/corrective works, you will be contacted by our schedulers to agree a suitable time and date, based
on parts and resource availability.

SCHEDULE 2

Inspection procedure

The Supplier shall:

Provide all labour required to maintain the equipment listed within the Equipment Schedule.

Implement recording procedures to comply with the F-Gas regulations.

Carry out the following maintenance procedures, where applicable:

Fully leak test systems (Electronic)


Check all Chiller electrical controls
Check all safeties and interlocks
Inspect Chiller as per log sheet and scope of works
Send full report and log sheet to client

Annex-1 to this Schedule shall describe the complete method statement.

SCHEDULE 3
SUPPLIER EXCLUSIONS TO THIS INSPECTION AGREEMENT

Schedule 2 (in conjunction with Annex 1) is the exhaustive list of the Supplier’s schedule of works under this
technical inspection agreement.
Any additional resources (labour and/or materials) required for any identified repairing work resulting from the
inspection activities will be subject to specific quote(s) by the Supplier and will require separate official purchase
order(s) from the Customer for the additional work to be carried out.

It is the Customer’s Responsibility

1. To abide by all the relevant Ireland Health and Safety laws on site.
2. To provide the Supplier’s personnel with all the information regarding the Health and Safety requirements
on site.
3. To ensure that the basic regular inspection of the Daikin supplied equipment as recommended by the
manufacturer as per Installation and Operating Manual.
4. To inform the Supplier immediately in case any abnormal operation is detected.
5. To ensure appropriate maintenance of all non-Daikin parts of the systems under this contract.

The Supplier is also exempt from any responsibilities on:

1. Supply irregularities to the incoming electrical power or any resulting damage to the equipment under this
contract.
2. Monitoring & maintenance of the water circuit and any damage resulting from water circuit problem.
3. Any damage caused by any external parties.
4. Any time & material required outside the inspection schedule which may be necessary to complete the
inspection schedule (a variation order would be required prior to any work is carried out).
5. Hire of any plant or equipment required to complete the inspection schedule.
6. Supply of any refrigerant.
7. Any consequential damages to product or business due to the non- operation of the equipment during or
as a result of the maintenance procedures or awaiting parts delivery and/or fault repairs.

ANNEX 1
TECHNICAL INSPECTION SCHEDULE

METHOD STATEMENT AND SCOPE OF WORKS UNDER THIS AGREEMENT

The following inspection criteria will be carried out where possible on all Daikin Water Chillers housing either
Hermetic scroll, semi-hermetic or Screw compressors. Water cooled or Air Cooled.

‘MINOR’ MAINTENANCE VISIT

MECHANICAL

1. The alarm history will be reviewed.


2. A visual inspection will be carried out and any anomalies reported.
3. The evaporator pressure drop will be checked against the unit’s pressure-drop table, and the reading
recorded.
4. The air cooled heat exchanger (condenser) will be inspected for damage, and to confirm that the fins are
clean and operating efficiently.
5. The chilled water flow switch operation will be checked and confirmed.
6. The chilled water system will be checked for air.

REFRIGERATION

A system analyzer will be installed onto each circuit in turn and the following tests performed:-

1. Suction pressure will be checked and recorded.


2. Suction superheat calculated and recorded. This will also be checked against the Chiller controller to confirm
that this is operating within expected control bands.
3. Leaving water temperature will be checked and the circuits approach temperature will be calculated to
confirm in correct range.
4. Discharge temperature will be checked and recorded.
5. Discharge superheat will be calculated and confirmed as in correct operating parameters.
6. Condenser approach will be calculated and checked to be within approved range.
7. Oil quantity will be confirmed to be correct.
8. Expansion valve operation will be checked and confirmed that the valve closes fully.

ELECTRICAL

The following tests will be carried out on the complete unit:-

1. All electrical connections will be checked for tightness.


2. All electrical components and wiring will be inspected for any signs of overheating or discolouration.
3. The unit’s supply voltage will be checked at rest and while in operation and confirmed to be within the
manufacturer’s recommended tolerances.
4. Each compressor operating current will be checked and recorded and confirmed to be within acceptable
limits.
5. The condenser fan amps will be checked on each fan motor.
6. All unit heaters will be checked for correct operation.
7. If fitted the discharge transducer will be checked for correct calibration.
8. If fitted the suction transducer will be checked for correct calibration.
9. If fitted the suction and discharge line temperature sensors will be checked for correct calibration.
10. All sensors will be calibrated.
11. If fitted all oil cut out switches will be checked for correct operation and cut out settings recorded.
12. Any calibration required will be made and recorded.
13. All soft start units will be checked and all settings confirmed to be as factory guidelines.

ANNEX 1 continued
UNIT

1. Each circuit will be started manually to confirm correct operation.


2. Each compressor will be manually loaded and unloaded to confirm correct staging.
3. Each circuit’s fan speed controller will be checked to confirm correct operation and that this is operating
under full control of the unit’s chiller controller.
4. The unit will be stopped and placed into automatic control. The unit start up procedures will then be
monitored. The temperature control sequence operation will be checked for correct operation.
5. Any anomalies with the controls will be checked and remedied.
6. All control settings and values will be checked and confirmed to be within the manufacturer’s parameters.

On completion, the complete unit will be leak tested and paintwork inspected. Findings of the unit inspection and
condition will be reported.

‘MAJOR’ MAINTENANCE VISIT

In addition to the ‘Minor’ Maintenance visit checks, a sample of each compressor’s oil will be taken for analysis (Wear
Check). If the oil is found to be required to be changed, this will be carried out together with a new compressor oil
filter (where applicable) and will be fully chargeable to the customer.
On water cooled chillers, we’ll be inspecting the evaporators and condenser Shell and Tube Heat Exchangers. This may
require further work depending on the conditions found.
