AGREEMENT FOR DISPLAY OF ART WORKS

This AGREEMENT made and executed this 30th day of March 2023 by and between:

Neoma Galleria with address at 87 M.Lozada St. Sto. Rosario Kanluran Pateros,
represented by its owner, Rachel Angela Gonzales-Luna (hereinafter referred to as the
“Neoma Galleria”)

and

Katlyn Kaye L. Bagatchalon , owner of the paintings with address at

Hudson St.___________________________________(hereinafter
Manhattan Villas Don Bosco Paranaque city referred to as “Artist”)

WITNESSETH:

WHEREAS, Neoma Galleria is engaged in the business of displaying the Artworks of

up and coming, and well-known artists;

WHEREAS, Artist is in the art field/industry;

WHEREAS, Neoma Galleria and Artist have agreed to display the Artworks of Neoma
Galleria’s artist/s (Artworks) for “Transmission II” online exhibit (hereinafter referred to
as the Art Gallery);

WHEREAS, Artist has agreed to allow Neoma Galleria to display the Artworks at the
Online Art Gallery, subject to the terms and conditions set forth in this Agreement;

NOW THEREFORE, in consideration of the mutual covenants contained in this

Agreement, the Parties hereto agree as follows:

1. Neoma Galleria will display the Artworks virtually, at the Neoma Galleria website
& social media flat form, at the Art Gallery for a period of Thirty One days (30)
days April 22 to May 22, 2023.

2. The Artworks must be appropriately matted and framed and/or otherwise securely
delivered to Client once sold out.

3. The manner of display of the Artworks shall be subject to the approval of Neoma
Galleria and the latter may request that the Artwork be replaced if it deems it
inappropriate for the Art Gallery’s environment.

4. The Parties acknowledge that ownership of the Artworks remain with Neoma
Galleria for the period of 30 days.

5. Neoma Galleria shall receive thirty percent (50%) commission for the actual sales
of the displayed Artworks.

6. Neoma Galleria, will provide standard packaging with Certificate of

Authentication for sold paintings including the delivery booking and coordination
with the buyer during the given period. All sales transactions will be handled by
the Neoma Galleria.

7. Proceeds from the sale of the Artwork, less 50% commission, shall be paid or
remitted, within three (3) days upon such sale, by cash or any online payment
under the following accounts:

8. Neoma Galleria acknowledge that the Artworks were installed in an undamaged

condition.
 9. During the period of this Agreement, Neoma Galleria shall, to the best of its
abilities, ensure the safety and security of the Artwork and keep them in
undamaged condition.

10. Artist and Neoma Galleria must promote the artworks through social media.

11. Neoma Galleria has the exclusive right to display the Artworks in the Art Gallery
to the exclusion of other businesses and artists for the entire period of the
Agreement.

12. In the event of litigation between the Parties pertaining to or arising out of this
Agreement, or the enforcement of any term or provision hereof, the prevailing
party shall be entitled to recover their costs and expenses incurred in connection
therewith including, without limitation, reasonable attorney’s fees.

13. This Agreement contains the sole and entire agreement of the Parties pertaining
to the display of the Artworks and shall supersede any and all other agreements
among the Parties, oral or written, pertaining to the subject matter hereof. This
Agreement may not be modified or amended except in writing duly signed by the
Parties hereto.

IN WITNESS WHEREOF, the Parties have hereunto signed this Agreement on

the date stated in the beginning hereof.
