THIS DECLARATION OF RESTRICTIVE COVENANTS (this"Declaration")is


made as of February8_, 2023 (the"EffectiveDate") by REEDY CREEK IMPROVEMENT
DISTRICT, a publiccorporationand publicbody corporateand politicof the Stateof Florida,
whose mailing address is Post Office Box 10170, Lake Buena Vista, Florida 32830-0170
("RCID") in favor of WALT DISNEY PARKS AND RESORTS U.S., INC., a Florida

corporationwhose mailing addressisPostOfficeBox 10000, 1375 Buena VistaDrive,4* Floor

W I T N E S S E T H:

WHEREAS, as requiredby Stategrowth management law,inJune 2022, RCID's existing


comprehensive plan was amended and updated by the "Reedy Creek hnprovement District,
City
of Bay Lake and City of Lake Buena Vista, RCID Comprehensive Plan 2032" (the
"Comprehensive Plan") governing alllandslocatedwithinthejurisdictional boundary of RCID
referred
(hereinafter t o as the "RCID JurisdictionalLands"); and

WHEREAS, RCID istheowner ofthosecertainparcelsof land,locatedinOrange County,


Florida,and a
being portion of the RCID Jurisdictional
Lands, more particularlydescribedon
ExhibitsA-1 through A-23 attachedheretoand made a parthereof(each a "RCID Property" and
the "RCID Properties");
collectively, and

WHEREAS, WDPR and/oritsAffiliates(asdefinedinthe Glossaryof Terms attachedas


an Appendix) is/arethe owner of certainparcelsof land,locatedadjacentand/ornear the RCID
and alsobeing a portionof theRCID Jurisdictional
Properties, Lands, more particularly
described
on ExhibitB attached heretoand made a parthereof(each a "WDPR Property" and collectively,
the "WDPR Properties");and

WHEREAS, the WDPR Properties representthevastmajorityof theRCID Jurisdictional


Lands and WDPR and/oritsAffiliates have developed,and plantocontinueto develop,the WDPR
Propertiesinto the Walt Disney World® Resort (the Walt Disney World® Resort as further
developed and expanded isreferredto as the "Project');

WHEREAS, RCID owns, maintains and operates public infrastructure systems


which serveand willcontinueto servethe Projectand, in orderto
the "Facilities")
(collectively,
the implementationof and provideadequatelevelsofservicefortheProjectas itexpands,
facilitate
new Facilitiesand/orexpansion of existingFacilities
willbe required;
and

WHEREAS, RCID and WDPR have enteredintothatcertainWalt Disney World Chapter


163 Development Agreement, dated February 8 2023 (the "Development Agreement"), to
toboth RCID and WDPR
providecertainty (and WDPR's Affiliates)interms of currentand future
development;and

WHEREAS, pursuant to the Development Agreement, among other things,RCID has


agreed thatthe Facilities
forthe Projectforthe ten (10)year periodending December 31, 2032,
willbe funded,designed and constructedand/orcaused to be constructedby RCID in accordance
with the Comprehensive Plan;and

WHEREAS, pursuanttothe Development Agreement, among otherthings,WDPR and its


Affiliateshave agreed thatany land requiredforthe Facilities
thatisowned by WDPR and/orits
Affiliatesshallbe dedicatedto RCID, or anotherpublicentity,as required,and thatcompensation
forsaidland dedicationshallbe negotiatedbetween partiesbut inno eventshallWDPR and/orits
Affiliates
requestpayment forthe landin excessof fairmarket valueas determined by Member
a
of the Appraisal Institute(MAI) realestate appraiser,jointlyselectedby the parties, thereby
guaranteeingRCID the landthatitneeds (totheextentowned by WDPR and/oritsAffiliates)
and
allowing RCID to avoid the condemnation process and the costs and uncertainty associated
therewith;and

WHEREAS, as statedin RCID's Charter,the Legislaturefound and declaredthe powers


accordedto RCID's Board of Supervisors(the"Board") under theCharterwith respectto,among
other things,planning,are essentialto guide and accomplish the coordinated,balanced and
harmonious development of theRCID Jurisdictional Lands inaccordancewith existingand future
to
needs, promote the health,safety,morals and generalwelfareof RCID and itsinhabitants and
to
propertyowners, establish, maintainand preserveaesthetic
valuesand preserveand fosterthe
development and displayofthe naturalbeauty and attractivenessof theRCID JurisdictionalLands
and of roadsideswithin RCID, to prevent overcrowding and congestion,to regulatetraffic, to
securesafety,and toconserveand provideadequatelightand airand to avoidundue concentration
of population;and

WHEREAS, theBoard has determinedthat,infurtherance ofthe Comprehensive Plan and


the Development Agreement, in accordance with the powers granted to the Board under the
Charter,and in consideration of the commitments made by WDPR and itsAffiliatesunder the
Development Agreement, itis in the mutual best interesto f RCID and WDPR (and WDPR's
Affiliatesand each of theirrespectivesuccessorsand assigns)to provide for the orderlyuse,
development, and operationof the RCID Propertiesby subjectingthe RCID Propertiesto this
Declarationand thatsubjecting theRCID Properties to thisDeclarationisreasonablynecessaryto
protectthe legitimate businessinterestor interests
of WDPR, WDPR's Affiliates (asapplicable)
and each of theirrespectivesuccessorsand assigns.

NOW THEREFORE, forand in considerationof the foregoingpremises and othergood


and valuableconsideration, the receiptand legalsufficiency of which are hereby acknowledged
extentpermittedby Law, RCID hereby declaresthattheRCID Properties
by RCID, to the fullest
shallbe,and arehereby,made subjecttothisDeclarationand theprovisions, covenants,conditions,
easements
restrictions, and obligationssetforthherein,which Declaration,provisions,covenants,
conditions, easements and obligations
restrletions, shallrun with title
to the RCID Properties,in
each case forthebenefitof the WDPR Properties,WDPR, WDPR's Affiliates and
(asapplicable)

each of theirrespective
successorsand assignsowning any portionof the WDPR Properties.

1. RECITALS; DEFINED TERMS.

The foregoingrecitals are hereby incorporatedhereinby referenceand made partof this


Declarationas iffullysetforthherein.Capitalizedtermsnotdefinedinthebody ofthisDeclaration
shallhave the meaning assignedto such terms in the Glossary of Terms attachedas an Appendix
hereto,unlessthecontextrequiresotherwise.
2. USE-

2.1. Permitted Uses. The RCID Propertiesshallbe used only for theirrespective
PermittedUses and no otherpurpose whatsoever.As used herein,the "Permitted Uses" as to any
RCID Property(orportionthereof)shallmean thatsuch propertyshallbe used: (i)only
particular
forsuch publicand governmentalpurposes thatsuch RCID Propertyisor are being used as of the
EffectiveDate or are otherwisecontemplatedto be used by the Comprehensive Plan;and (ii) in
accordance with the standardsof workmanship, materials,quality,architectural
features, design
features,
engineeringstandards, standards,
utility and generalaestheticappearance as they are so
maintainedas of theEffectiveDate.

2.2. Prohibited Uses. Notwithstandinganything to the contrarycontained in this


Declaration,and without prejudiceto the applicability of the Permitted Uses to the RCID
Properties described in Section3.1 above, RCID shallnot use or occupy the RCID Properties (or
any portionthereof), or permit or sufferthe RCID Properties(orany portionthereof), to be used
or occupied, for any of the ProhibitedUses. As used herein,the "Prohibited Uses" shall
collectively mean (1) except as requiredby applicableLaws, any advertising, publicizing,
promoting or marketing (including, without limitation,the installationof any signage,or the
placement or disseminationof any brochure,magazine,book, informationsheet,admissionmedia,
flyer,sign,card,video cassette,compact disc,laserdisc,digitalversatiledisc(DVD), visualand/or
audio projection,or any otherprinted, visual,audio,electronicor othermedia or materials,of any
kind or naturewhatsoever,whether or not now technologically of
existent) any business otherthan
RCID, and (2) any purpose which violatesthe prohibiteduses identified on ExhibitC attached
heretoand incorporated hereinby reference.

2.3. Restrictionson Occupancy of RCID Propertiesby Tenants. RCID shallensure


thataH leaseswith Tenants do not violatetheterms of thisDeclaration.

3. DESIGN REVIEW OF IMPROVEMENTS AND ALTERATIONS.

Other than hnprovements existingon the RCID Propertiesas of the EffectiveDate, no


Improvements (including, without limitation,Alterations) shallbe located,constructed, installed
or placed on, or attachedor affixedto,or made to the RCID Properties, or any portionthereof,
including,without limitation,the structure,usage or exteriorappearance and/oraesthetics of any
Improvements (including, without limitation,Alterations), which would cause the RCID
or
Properties any portion thereofto be in violationo f the PermittedUse or any otherprovisionof
thisDeclaration. To ensure consistencywith the overalldesign and theming of the WDPR
Properties,the exteriordesign,appearance and exterioraesthetic qualitiesof any Improvements
(including,without limitation, to
Alterations) any portion of the RCID Properties are subjectto
WDPR's priorreview and comment, which shallnot be unreasonablywithheld,conditionedor

delayed. RCID shallmaintaintheRCID Properties in good conditionduringany construction


and
Alterationactivities, without limitation,
including, screening, landscapingand fencing.

4. GENGERAL MAINTENANCE STANDARD.

The servicesand facilities constructedand provided on the RCID Properties, and the
manner of providingor offeringof such, willat alltimes be accordance with applicableLaws,
consistentwith the PermittedUse and in keeping with the standardsof workmanship, materials,
architectural
quality, features,
designfeatures,engineeringstandards, and general
standards,
utility
aesthetic
appearanceas they areso maintainedas of the EffectiveDate.

5. PROHIBITION ON USE OF DISNEY NAME. RCID shallnot have the rightto do any
of the followinginrelation
to any of theRCID Properties:

5.1. Use (orgrantthe rightto any otherPerson to use)thenames "Disney,"or any other
name or other IdentifyingSymbol from time to time associatedor identified with WDPR or any
of WDPR's AfHliates, or any of theWDPR Properties, or any variation
or derivativeof any of the
same, eitheralone or in conjunctionwith, or as a part of,any otherword, mark, name, title or
symbol, without the expressprior writtenapproval of WDPR, which approvalmay be granted,
conditioned,delayedor withheldinWDPR's discretion.

5.2. Use (or grantthe rightto any otherPerson to use) any of the fancifulcharacters
(such as Mickey Mouse), designs,symbols, representations,figures,drawings, ideas or other
intellectual
propertyowned, developed or createdby WDPR or any of WDPR's Affiliates in any
manner whatsoever.

5.3. Sellor distribute(or grantthe rightto any otherPerson to sellor distribute)


any
merchandise,souvenirsor otheritems which referto or depict(i)any of the WDPR
literature,
Propertiesor any otherproperty,realor personal,owned, operatedor managed by WDPR or any
of WDPR's Affiliates,except fortheincidental inclusionthereof inmaterials
distributedby RCID
in connectionwith itsordinarybusinesspurposes,or (ii) the "WALT DISNEY WORLD" mark,
name or symbol, or any logo,trademark or servicemark owned, used or controlled by WDPR or
any of WDPR's Affiliates.

5.4. Use, reproduce,sell, displayor exploit(orgrantthe rightto any other


distribute,
Person to use,reproduce,sell, displayor exploit)
distribute, theWALT DISNEY WORLD® mark,
name or symbol or the copyrightedworks of theWalt Disney Company, Disney Enterprises, Inc.,
WDPR or any of WDPR's AfHliates.

6. . BINDING EFFECT; ENFORCEMENT.

6.1. Covenants Running With RCID Properties and Benefits Running With the
WDPR Properties.The covenants,conditions, containedin thisDeclarationare
and restrictions
intendedby both partiesto,and shall,r un with totheRCID
title Propertiesand allportionsthereof
and shallbe binding on RCID, itsTenants,and any successorowner of the RCID Propertiesor
portionsthereof.The benefitsof thisDeclarationand the covenants,conditions, and restrictions
hereofshallrun with titleto the WDPR Propertiesand allportionsthereofand benefitonly the
WDPR Properties,WDPR and itsAffiliates and each of theirrespectivesuccessorsand assigns
owning any portion of the WDPR Properties. There shallbe no other beneficiaries of such

provisions.Only WDPR and WDPR's Affiliates and each of theirrespectivesuccessorsand


assigns,by virtueof their ownership of any portionof the WDPR Properties,shallhave the
continuing rightto enforce this Declarationand the provisions,covenants,conditions,and
restrictionsset forth in this Declaration. This Declarationcannot be modified, amended,
terminatedor canceledwithoutthe expresswrittenconsentof WDPR. WDPR (oritsAffiliate,as
applicable)may, atitssoleoption,electto terminatethe benefitof thisDeclarationas itappliesto
any WDPR Property.

6.2. Enforcement. IfRCID shallviolateor breach (orattemptto violateor breach)any


of the provisions,covenants, conditions,restrictions and/or obligationsset forth in this
Declaration, and such breachorviolation isnot curedwithinthirty (30)days afterreceiptofwritten
notice(orifsuch breach requiresmore than thirty (30)days to curesuch longertime as reasonably
necessaryto complete such cureso long as RCID commences thecure of such defaultwithinsuch
thirty(30)day periodin good faithand thereafter diligently prosecutesallmeasures necessaryor
appropriateto cure such defaultnot to exceed one hundred eighty(180) days in the aggregate),
then WDPR (and/oritsAffiliate(s) or Designee, as applicable)shallbe entitled to any of the
following remedies, which remedies may be electedwithout excluding any other available
remedies:(i)institute of
and prosecuteproceedingsforthe recovery actualdamages againstRCID
forsuch violation or breach;(ii) instituteand prosecuteproceedingsforthe purpose of preventing
or enjoiningany or allsuch violations or attemptedviolations or breachesor attemptedbreaches
of the provisions,covenants, conditions,restrictions and/or obligationsset forth in this
Declaration; and/or(iii) bring a suitfor specificperformance of the same. Except as otherwise
provided in thisDeclaration,such remedies shallbe cumulativeof and with any and allother
remedies expresslyprovided in thisDeclarationor which otherwise may now or hereafterbe
available atlaw orin equity,separately, concurrentlyor inany combination.The failure of WDPR
(or its or
Affiliate(s) Designee, as applicable) to enforce any of the provisions,covenants,
conditions, easements,restrictions, and/orobligations setforthin thisDeclaration, however long
continued,shallinno eventbe deemed to be or constitute a waiver oftherighttothereafter enforce
the same as to any continuingor subsequentviolation or breach or attemptedviolation or breach
of the same provision,covenant,condition,easement, restriction and/or obligation, whether
occurringprioror subsequent thereto. Anything containedin thisDeclarationto the contrary
notwithstanding, WDPR (and/oritsAffiliate(s) or Designee, as applicable)may enforce this
Declarationand the terms,provisions, covenantsand conditionshereinby injunctive relief,and,
in addition, may seek damages and allother rights and remedies availableto WDPR (and/orits
Affiliate(s) as
or Designee, applicable), atlaw or in equity.

7. TERM; ASSIGNMENT BY WDPR.

7.1. Term. This Declarationshallbe deemed effective as of the EffectiveDate and


continue to be effectivein perpetuityunless allor certainportionsof the provisionsof this
Declarationareexpresslyterminatedas provided elsewhereherein;provided,however, thatifthe
perpetualterm of thisDeclarationis deemed to violatethe "Rule Against Perpetuities," or any
similarlaw or rule,thisDeclarationshallcontinue in effect
until twenty one (21)years afterthe
deathof the lastsurvivorof the descendantsof King Charles III,King of England livingas of the
date of thisDeclaration.Notwithstandingthe foregoingor anythingto the contraryherein,this
Declarationwillterminateas of the date thatnone of WDPR or any of itsAffiliates (or their
respective successorentities)ownsany realproperty withinten (10) milesoftheRCID Properties.

7.2. Termination of Declaration Upon Transfer to WDPR or itsAffiliatesor


Designee. Upon the vestingoftitleto any of theRCID Propertiesor portionthereofinWDPR (or
or theirrespectiveDesignee, as applicable)
itsAffiliates thisDeclarationand allthe terms and
conditionscontainedhereinshallterminateand be of no furtherforceor effectas to such RCID
Propertyor portionthereofwithoutthe need for any furtherdocumentationor amendment to this
Declaration.If WDPR (or itsAffiliates
or theirrespectiveDesignee, as applicable)shallever
become a Tenant of a RCID Property,thenthisDeclarationshallbe of no forceor effectas tothe
activities
by such Tenant or the use of the respectiveRCID Propertyby such Tenant for the
durationthatsuch entityremains a Tenant,allwithoutthe need forany furtherdocumentationor
amendment to thisDeclaration.

7.3. Assignment by WDPR. WDPR has the rightto assignallof itsrightsto,under


and in thisDeclarationto any Affiliatesof WDPR or to any Designee. WDPR shallpromptly
notifyRCID, in of
writing, any such assignment and the instrument by which such assignment is
made.

8. MISCELLANEOUS.

8.1. Rights Cumulative. Except as isexpresslyprovided herein,allrights, remedies,


powers and privilegesconferredby and under thisDeclarationshallbe cumulative of and in
additionto,but not restrictive
of or in lieuof,thoseconferredatlaw or in equity.

8.2. Nerieës.

8.2.1. Each noticeor communication under thisDeclarationshallbe deemed


deliveredand received if in writing and either:(i)personallydelivered;(ii) deliveredby
reliableovernightaircourierservice; or (iii)
depositedwith theUnited StatesPostalServiceor
any official successor thereto,certified or registeredmail, retum receiptrequested,with
adequatepostageprepaid, deliveredor addressedto the entityentitledor requiredto receive
thesame, WDPR or RCID, as appropriate. Rejectionorotherrefusalby theaddressee to accept
the notice,and inabilityto deliverthe noticebecause of a change of addressof the party of
which no noticewas given,shallbe deemed to be the receiptof the noticeon the thirdday
following the date postmarked by the United StatesPostal Serviceor on the second day
followingthedateacceptedby thecourierservice.

ten (10)miles of theRCID Properties
isowned by WDPR or any of itsAffiliates.

8.4. Severability. If any clauseor provisionof thisDeclarationis illegal, invalidor


unenforceableunder applicablepresent or futureLaws, theremainderof thisDeclarationshallnot
be affectedand shallcontinuein fullforceand effect.In lieuof each clauseor provisionof this
Declarationwhich is illegal,invalidor unenforceable,there shallbe added as a part of this
Declarationa clauseor provisionas nearlyidenticalas may be possibleand as may be legal,valid
and enforceable.

8.5. Governing Law. This Declarationshallbe governed by, construedunder and


interpetedand enforcedinaccordancewith thelaws ofthe Stateof Florida,
and,where applicable,
thelaws of theUnited Statesof America.

8.6. Headings. The use of headings,captionsand numbers in thisDeclarationissolely


and indexing the varioussectionsand shallin no event be

equity would requireWDPR to act reasonablyor to not unreasonablywithhold itsapproval or
consent,WDPR shallbe entitledto take intoaccount,in determiningwhether or not to grantor
withhold approval or consent,the proximity of the RCID Propertiesto the WALT DISNEY
WORLD® Resortand WDPR and WDPR's Affiliates' concernsthattheRCID Properties comply
with this Declarationand the provisions,covenants,conditions,restrictions and obligations
containedherein. Except where expresslystatedhereinto the contrary,in allinstanceswhere
WDPR's consentor approvalisrequiredhereby,or where WDPR isentitled
to use itsdiscretion,

TRDit. ANY LEGAL PROCEEDING OF ANY NATURE BROUGHT TO ENFORCE ANY
RIGHT OR OBLIGATION UNDER THIS DECLARATION, OR TO INTERPRET, CONSTRUE
OR SEEK ANY DECLARATION WITH RESPECT TO ANY RIGHTS, REMEDIES OR
RESPONSIBILITIES HEREUNDER, OR OTHERWISE ARISING OUT OF OR IN
CONNECTION WITH ANY MATTER PERTAINING TO THIS DECLARATION, SHALL BE
SUBMITTED EXCLUSIVELY FOR TRIAL, WITHOUT A JURY, BEFORE THE CIRCUIT
COURT FOR ORANGE COUNTY, FLORIDA; OR IF SUCH COURT SHALL NOT HAVE
JURISDICTION, THEN EXCLUSIVELY BEFORE ANY ·OTHER COURT SITTING IN
