MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (MoU) entered into amongst:

Diyos Ang Pag-Asa ng Taong Bayan (DAPAT BAYAN), a non-profit organization and the social responsibility
arm of the Christian community, with address at 2/F Victory Complex, Malolos City, Bulacan herein represented
by ERICK FERNANDEZ, Chairman;

- and-

UAP DEL PILAR – BULACAN CHAPTER, a non-government organization duly recognized by the United
Architects of the Philippines as UAP CHAPTER No. 141, with headquarters office address at
Lot 2 Block 12 Villarica Country Homes, Brgy. Patubig, Marilao, Bulacan herein represented
by IMELDA M. TRANCE, Chapter President, F.Y. 2021-2022;

for

SITIO SPRATLYS, Malolos City, represented by ____________________, Sitio President;

DAPAT BAYAN, and UAP DEL PILAR-BULACAN CHAPTER, and

SITIO SPRATLYS hereinafter be collectively known as Parties;

CONCERNING

WHEREAS, Diyos Ang Pag-Asa ng Taong Bayan (DAPAT BAYAN) is a non-profit organization and the social
responsibility arm of the Christian community, dedicated to meet the needs of our local communities through
programs and projects;

WHEREAS, UAP DEL PILAR-BULACAN CHAPTER through its Corporate Social Responsibility (CSR) Project also
known as BAYANIHANG ARKITEKTURA, develops diverse initiatives to promote the Architect's social
responsibility in improving the well-being of communities and promote design solutions that can provide a
significant positive impact on underprivileged communities;

WHEREAS, SITIO SPRATLYS asked the assistance of DAPAT BAYAN, to help with the concreting of the boat
dock located at Sitio Spratlys, Brgy. Atlag, Malolos City that is designed and planned to ensure safety and
improve everyday life among its residents.

WHEREAS, DAPAT BAYAN identified the need to help the local community of SITIO SPRATLYS, had invited
UAP DEL PILAR-BULACAN CHAPTER to a partnership with the latter's advocacy in providing a significant impact
of helping the community;

WHEREAS, the Parties have agreed to collaborate to reach the overall objective of the inspection, evaluation,
analysis, design recommendation, and construction of the concrete access for Purok 2, and SITIO SPRATLYS is
willing to cooperate with DAPAT BAYAN and UAP DEL PILAR-BULACAN CHAPTER and is ready and willing to
enter into this MoU to carry out this joint project;

ARTICLE 1: THE PURPOSE

The purpose of this MoU is to provide the framework for cooperation and coordination of SITIO SPRATLYS
and DAPAT BAYAN, and UAP DEL PILAR-BULACAN CHAPTER in relation to the evaluation, analysis,
recommendation, and design of the concrete boat dock located at Sitio Spratlys, Brgy. Atlag, Malolos City.
 ARTICLE 2: THE COORDINATION

To facilitate this collaboration, the PARTIES agree to jointly promote their participation in this initiative,
by fulfilling the undertaking specified below:

ARTICLE 3: ROLES AND RESPONSIBILITY OF SITIO SPRATLYS

3.1 Prepare a letter of request for the inspection, evaluation, analysis, and recommendation for the said
concrete dock;
3.2 Provide necessary information that will help in the full implementation of the project;
3.3 Implement the design provided by UAP DEL PILAR-BULACAN CHAPTER in coordination with NGOs,
Local Government Units both Municipality and Barangay level for the sole purpose of the construction of
the proposed concrete boat dock;

ARTICLE 4: ROLES AND RESPONSIBILITY OF DAPAT BAYAN

4.1 Identify the site requested for evaluation, planning, and design;
4.2 Coordinate the provision of a letter of request duly signed by their Barangay/Resident Official;
4.3 Lead in the coordination with communities and Local Government Units, both Municipality and
Barangay level to schedule the ocular visit and provision of safety and transportation to said location which
is accessible by boat rides;
4.4 Present the final design, working drawings, and bill of quantities, submitted by UAP DEL PILAR-
BULACAN CHAPTER to SITIO SPRATLYS;
4.5 Call for donations and sponsors to fund the project cost from mobilization, procurement of materials,
labor costs, and all that concerns its completion;
4.6 Tap other professional services as may deem necessary for the full implementation of the project;
4.6 Monitor the use of said design provided by UAP DEL PILAR-BULACAN CHAPTER to be used solely for
its purpose until completion;

ARTICLE 5: ROLES AND RESPONSIBILITY OF UAP DEL PILAR-BULACAN CHAPTER

5.1 Perform an ocular inspection with DAPAT BAYAN that will determine the condition of the site;
5.2 Provide analysis and evaluation based on existing site;
5.3 Provide an appropriate conceptual design and recommendation for the proposed concrete dock;
5.4 Prepare the architectural working drawings of the proposed concrete access to be built and used solely
for the inspected site;
5.5 Submission of four (4) sets of printed copies of design, perspective, and bill of quantities; one being in
DAPAT BAYAN and another one being in SITIO SPRATLYS;
5.6 Sharing the call for funds and donations of DAPAT BAYAN through MEDIA and PUBLIC RELATIONS,
giving relevance to the importance of architecture in the service of improving people's lives and promoting
unity, camaraderie, fellowship, and cooperation with SITIO SPRATLYS and with their partnership with
DAPAT BAYAN;
5.7 Provide final inspection of the said project at SITIO SPRATLYS with DAPAT BAYAN for turn-over and
commence its use;
 ARTICLE 6: BINDING EFFECT AND TERMINATION
6. 1 Non-Waiver. The failure of either party to enforce any provision of this Understanding shall not be
construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict
compliance with every provision of this MoU.
6. 2 Force Majeure. In the event of non-fulfillment of the contract terms and conditions by reason of force
majeure namely fires, wars, riots, strikes, natural calamities, etc, neither Dapat Bayan nor UAP Del Pilar-
Bulacan Chapter shall be held responsible for any loss or consequential loss.
6.3 Indemnity. The Parties hereby agree, where allowed under pertinent and relevant legislation to their
respective agencies jointly and severally, to indemnify their representatives, administrators, and
properties from and against all actions, demands, proceedings, prosecutions, attachments, and the like
arising out of its liabilities and all charges, etc.
6.3 Collaboration Understanding – For the avoidance of doubt, Dapat Bayan, UAP Del Pilar-Bulacan
Chapter, and Sitio Spratlys confirm that this MoU is intended to set out the terms of a collaborative
arrangement between them for the specific and limited purposes set forth herein.

Done in three (3) originals, with one original being in SITIO SPRATLYS, one original in DAPAT BAYAN, and
another original being in UAP DEL PILAR-BULACAN CHAPTER.

All signatories hereto acknowledge that they have read the foregoing MOU and their signatures certify that
they have full and complete authority to execute this document.
In WITNESS WHEREOF, the duly representatives of all Parties hereby affix their signatures this
