THIS DEED OF AGREEMENT TO SALE MADE ON THIS THE 27TH DAY OF JANUARY, 2023

AT RANCHI.

BETWEEN

UMA SHANKAR SAHAY & RUBI SAHAY of New Delhi, Indian Inhabitant, presently residing at
D662, Third Floor C R Park, New Delhi hereinafter called "THE SELLER" (which expression shall
unless it be repugnant to the context or meaning thereof shall mean and include his heirs, legal
representatives, executors and administrators) of the One Part. (Aadhaar Number Uma Shankar Sahay -
3687 5063 3723, Rubi Sahay – 5929 1401 7583)
AND
1. RASHMI JAISWAL W/O ROHIT JAISWAL
2. ROHIT JAISWAL S/o Shri Ramswarup Jaiswal, by cast Jaiswal, occupation-Bussiness,
resident of Jashpurnagar, Indian Inhabitant, presently residing at Ward number 14 Khajhanchi
Toli Vishnu Bagan Jashpurnagr Chhatisgarh 496331, hereinafter called "THE PURCHASER"
(which expression shall unless it be repugnant to the context or meaning thereof shall mean and
include his heirs, legal representatives, executors, administrators and assigns) of the Other Part;

WHEREAS the Seller is the owner of Flat No. 2A measuring super build up area 1050 square feet on
First floor of building known as "USA VILLA " (hereinafter referred to as "the said Building")
(hereinafter referred to as "the said Flat" and which is more particularly described in the schedule to this
agreement;)

AND WHEREAS the Seller is now absolutely seized and possessed of and is otherwise well and
sufficiently entitled to the said Flat in the said Building. The description of the land on which flats have
land is 12.39 decimal, Situated at Village Morabadi, Kusum Vihar, Thana No.192 P.S. Bariatu, District
Ranchi

AND WHEREAS the Seller herein has agreed to sale and the Purchaser has agreed to acquire all right,
title and interest of the Seller in the said Flat and including the right of occupation, including his right,
title and interest in the said Flat for a total consideration of Rs.39,00,000/- (RUPEES THIRTY NINE
LACS) only with all facilities and amenities including Lift, Generator and Parking;
AND WHEREAS the Parties hereto have agreed to reduce into writing which the Seller has agreed to
sale and the Purchaser has agreed to purchase and acquire the right, title and interest of the Seller in the
said Flat .

NOW THIS DEED OF AGREEMENT WITNESSTH AS FOLLOWS:-

1. The Seller doth hereby agree to sale unto the Purchaser and the Purchaser doth hereby agree to
purchase one Flat No. 2A on the First floor measuring super build up area 1050 Square Feet with
Car Parking Space No. 2A in USA VILLA constructed over the above said land and acquire all
the right, title and interest of the Seller in the said Flat of super built up area of the building
known as USA Villa for a total consideration of Rs.39,00,000/- (RUPEES THIRTY NINE
LACS) only to be paid by the Purchaser to the Seller in the manner hereinafter mentioned.

2. The said consideration will be paid by the Purchaser to the Seller as follows: that is to say:
a. Rs. 5,00,000/- (RUPEES FIVE LACS only by Cheque/RTGS/NEFT Number:
________________ Bank Of Baroda, Date ____________) only paid on or before execution of
this agreement as Earnest Money (the payment and receipt whereof the Seller doth hereby admit
and acknowledge and acquit, release and discharge the Purchaser from the payment and receipt
thereof and every part thereof); and
b. the Balance consideration of Rs. 34,00,000/- (RUPEES THIRTY FOUR LACS) will be
paid on within 3 months and against the delivery of vacant and peaceful possession of the said
Flat by the Seller to the Purchaser.

3. It is agreed between the parties that if there is any delay or default on the part of the Seller in
performing his part of the contract then the Purchaser shall be entitled to specific performance of
this Agreement together with right to claim costs, charges and expenses and losses from the
Seller.

4. The Seller doth hereby declare and covenant with the Purchaser that the said Flat is free from all
encumbrances, charges, liens and demands or any type of litigation and does not come, under the
preview of the C.N.T. Act whatsoever and that the Seller has full right, title and interest in the
said Flat and has full right .

5. The Seller has represented to the Purchaser :-


a. that the Seller has paid all the dues and outgoings in respect of the said Flat up-to-date.
b. that the said Flat is free from all encumbrances of any nature.
c. that the said Flat belongs to the Seller absolutely and that no other person or persons have any
right, title or interest whatsoever therein by way of sale, gift, exchange, inheritance, lease, lien
or otherwise in the said flat.
d. that notwithstanding anything herein contained, any act, deed, matter or thing of whatsoever
nature done by the Seller or any person or persons lawfully or equitably claiming by from,
through or in trust for Him, the Seller has full right, power and absolute authority to sell to the
Purchaser the said Flat and that the Seller has not done or committed or omitted to do any act,
deed, matter or thing whereby the ownership, possession and/or occupation of the said Flat by
the Seller may be rendered illegal and/or unauthorised for any reason or on any account.
e. that the SELLER has not entered into any agreement with any other person earlier in respect
of the schedule property and also under takes not to enter into any agreement with any other
person till the stipulated period of this agreement.
f. that on payment of the full purchase price of the flat herein reserved, the Purchaser may be
entitled to the vacant and peaceful possession of the said Flat.
g. that if the SELLER shall refuse to execute the deed of sale or it could not be registered in
favour of the PURCHASER till the stipulated period of this Agreement the advanced amount
shall be refunded.

7. The Seller doth hereby agree to sign and execute deed or writing as well as all other papers and
documents as may be required by the Purchaser for transferring the said Flat to the name of the
Purchaser in pursuance of this Agreement.

8. The Purchaser doth hereby covenant with the Seller that he shall abide by the Rules of the Society
once formed subsequently and shall pay the municipal taxes and maintenance charges in respect
of the said Flat from the day the Seller delivers possession of the said Flat to the Purchaser. It is
specifically agreed by and between the parties that after the possession opt the flat is taken by
the Purchaser; the Seller shall not be liable to pay any maintenance charges in respect of the said
Flat and the same shall be borne by the Purchaser.

9. The concept of sinking fund may be introduced once the society is formed by one-time deposit
Proportionately as holding of the super build up area of the Flat or proportionate share of the
land in a common account.

10. It is agreed between the Seller and the Purchaser that the expenses for stamp duty on these
presents or on final sale deed / transfer deed and registration charges in respect of this transfer
shall be borne by the Purchaser and the Seller shall not be liable to pay the same or any part
thereof.
11. The Seller doth hereby undertake to do and to execute all acts, deeds, matters and things as and
when it is necessary, proper or expedient for the purpose of fully and effectually transferring the
said Flat in favour of the Purchaser.

12. The Purchaser is to bear equal part of or Proportionately as holding of the super build up area of
the Flat or proportionate share of the land, all the expenses which is not exhaustive but inclusive
of-

 Charges towards electricity meter and connection thereof


 Charges of AMC for the Lift
 Security Guard Charges
 Common electricity Charges
 Horticulture Charges
 Generator operational Charges
 Sweeper for cleaning of common area
 Insurance of the complete Building towards theft/fire/burglary etc.

SCHEDULE OF PROPERTY

All the piece and parcel of one Flat No. 2-A on the First floor measuring super build up area 1050 Square
Feet with one Car Parking Space on ground floor in USA VILLA constructed over the above said land
measuring 12.39 decimal of R. S. Plot No. 970/3A, 970/3B under Khata No. 38 corresponding to
Municipal Holding No. 0040006083000Z0, 0040005930000A1 of Ward No. 4 Situated at Village
Morabadi, Kusum Vihar, Road No.5, Thana No.192, P.S. Bariatu, District Ranchi which is bounded and
butted as follows

NORTH : Part of R. S. Plot No. 970/A


SOUTH : Staircase, Lift and then Flat No. 2-B
EAST : R. S. Plot No. 983/B
WEST : Lobby and then Flat No. 2-C
IN WITHNESS WHEROF both the parties have put their hand on the day, month and years first
mentioned above.
