    1) A managing director is a director who has substantial powers of management and is entrusted with the management of the whole or substantially the whole of the affairs of the company. They may be called by any other name like executive director. 2) The managing director exercises powers of management under the supervision and control of the board of directors. They are responsible for the overall management of the company. 3) A company can have more than one managing director but the total number of managing directors and whole-time directors should not exceed one-third of total number of directors.
