CONTRACT TO SELL

This Contract to Sell, made and executed by and between:

The Spouses Nerio P. Laiño and Rosa Maria G. Laiño, of

Peter’s Ville, San Fernando, Malvar, Batangas, hereinafter
referred as the VENDORS

-AND-

Michelle Mae Valencia Lopez, of Brgy. Talisay, Lipa City,

Batangas, hereinafter referred to as the VENDEE

-WITNESSETH-

1. That the VENDORS are the owners of a residential lot known as

Lot No. 4620-B-3-G situated in San Fernando, Malvar, Batangas,
and covered by TCT No. 056-2022009874 of the Register of
Deeds of Tanauan City;

2. That the VENDEE has agreed to buy and the VENDORS have
agreed to SELL the above-mentioned lot under the following terms
and conditions:

(a)That the total Contract Price is One Million Six

Hundred Fifty Thousand Pesos (Php 1,650,000.00);

(b)That as of this date, February 21, 2023, the VENDORS

acknowledge that they have received from the
VENDEE the total amount of EIGHT HUNDRED
FORTY-NINE THOUSAND FOUR HUNDRED
TWENTY PESOS (PHP 849,420) as partial payment
for the lot above-stated;

(c) That the VENDEE commits that she will pay the
balance on or before MAY 29, 2024;

(d)That in case the VENDEE fails to pay any balance of

the contract price as per notice of VENDORS duly
acknowledged by the VENDEE within a period of two
(2) months from receipt of the notice of failure to pay,
both parties agree that this Contract to SELL is
deemed automatically cancelled and VENDEE shall be
entitled to any refund of what she paid as may be
provided by law;

(e)That the VENDEE commits to construct her house as

per approved plan of the Municipal Engineer of Malvar,
Batangas;
 (f) That the VENDEE is fully aware of VENDORS’
condition that she will not and cannot use the road
right of way at the back (northern side) of the lot she is
buying as she can use only the road in front of her
(southern side);

(g)That VENDORS commit to execute the corresponding

deed of sale immediately upon fall of payment of the
contract price.
