ANNUAL MAINTENANCE CONTRACT (IN DUPLICATE)

PURPOSE:

To maintain the standby DG set in fit condition to provide power supply when the mains
supply interrupted

SCOPE OF WORK:

Conditioning monitoring of: - Diesel Engine

Alternator
Generator Control Panel
Batteries
Battery Charger, if any
Coupling
Base Frame
Mountings

SERVICES

Totally four (4) visits per annum at the rate of one (1) visit in every (3) three months by
our Service personnel will be made to condition monitor the equipment detailed in the
Equipment data form referred above, and as per scope of work above.

If any additional visit needed will be charged @ 10,000/- + VAT per visit.

Condition monitoring includes checking of all the necessary mechanical, electrical, and
other parameters including running of the DG set on load.

TERMS & CONDITIONS OF THE ANNUAL MAINTENANCE CONTRACT

1. Only the equipment detailed in the equipment data form No.

xxxxxxxxxxxxxx is covered under this contract.

2. Contract charges herein specified for the visits, services and labor and
testing instruments and tools used for rendering services only.
 3. Necessary spare-parts, consumable and other items shall be provided by
us on a chargeable basis.

4. Any installation specific facility, tools equipment etc, like ladder& lighting
shall be provided by you.

5. Subject to running and maintaining of generator as per our guidelines,

incase of any breakdown, malfunctioning of the equipment items covered
under this contract addition to the scheduled visits, our service personnel
will visit on a free of charge basis. However, this will be again subject to
conditions stipulated und (3) and (4) as above.

6. Any repair of major breakdowns like overhauling is not covered under this
contract and shall be discussed mutually on case-to-case basis.

7. All disputes are subject to Nairobi jurisdiction only.

ANNUAL MAINTENANCE CONTRACT CHARGES IS KSH. 300,000/- + VAT (Three

Hundred thousand + 16% VAT) per annum applicable the Period 1st August 2011 to
31ST July 2011.

TERMS OF PAYMENT

100% of the contract charges inclusive of V.A.T should be paid in advance along with
the duly filled in signed Annual Maintenance Contract Form.
