DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Sale is made and executed and entered into this 9 th day of December,
2022, in Baguio City, by and between: 

RHEZALIE EIRA V. GUILENG, of legal age, Filipino, single, with residence No.12
Km. 8 Asin Road, Tadiangan, Tuba, Benguet in the Phiilppines, hereinafter referred to
as the “SELLER”;

-AND-

       JIEZLE C. CARVAJAL, of legal age, Filipino, single and with residence and postal
address at No. 25, Barangay Kias, Baguio City in the Phiippines, hereinafter referred to
as the “BUYER”; 

WITNESSETH;

         WHEREAS, the SELLER is the registered owner of a parcel of land with


improvements located at Poblacion, Tuba, Benguet in the Philippines (the “LAND”) and
covered by Transfer Certificate of Title No. 123456 containing a total area of EIGHT
THOUSAND (8,000sqm) SQUARE METERS, more or less, issued by the Registry of
Deeds of Benguet;

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the
above-mentioned property under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of THREE MILLION FIVE
HUDRED THOUSAND (P3,500,000.00) Philippine Currency, and of the covenants
herein after set forth the SELLER agrees to sell and the BUYER agree to buy the
aforesaid property subject to the following terms and conditions:

The total consideration shall be THREE MILLION FIVE HUNDRED THOUSAND


(P3,500,000.00) Philippine Currency (the “Purchase Price”), payable through cashier or
manager’s check as follows:

1.1. The amount of TWO MILLION FIVE HUNDRED PESOS (P2,500,000.00)


representing earnest money deposit shall be payable upon execution of this Contract of
Sale and shall be considered part of the total Contract price.

1.2. The remaining balance amounting to ONE MILLION (P1,000,000.00) PESOS


Philippine Currency, shall be payable in cash equally every 10 th of the month in six
monthly payments upon execution of this Deed of Absolute Sale.
1.3  In case the BUYER could not fulfil any of their obligation stated in this Contract To
Sell, the earnest money shall be forfeited in favor of the SELLER.

1.4. In case the SELLER fails to pay the monthly payments on or before the 10 th of every
month, the SELLER shall impose a 1% penalty for every day of delay.

1.5 When the BUYER fails to pay for two consecutive months, the SELLER may bring
an action of rescission of contract against the BUYER after demand has been made by
the SELLER.

2.    All pending utility bills, if any, Real Estate Tax up to the time of sale, Documentary
Stamp Tax, shall be for the account of the SELLER.

The amount equivalent to the capital gains tax shall be deducted from the Purchase
Price due to the SELLER and remitted to the Bureau of Internal Revenue by the
BUYER. The SELLER shall be liable for any deficiency should the capital gains tax turn
out to be more than what was deducted from the purchase price by the BUYER.

3.     Notarization fees, Registration Fee, Transfer Fees and all miscellaneous fees and
expenses to transfer the certificate of title in the name of the new owner shall be for the
account of the BUYER;

4. The SELLER warrants that the Land is free from any and all encumbrances of
whatever nature as of date of this Contract, and guarantees the BUYER’S peaceful use,
possession and enjoyment of the Land.

5. On or before her delivery of the Land to the BUYER, the SELLER shall relocate any
informal settlers on the Land.

6. In case of dispute, the BUYER or the SELLER may bring action in the court where the
land is located. In action for rescission mentioned in paragraph 1.5, the SELLER shall
return the payments made by the BUYER deducting therein the expenses incurred by
the SELLER in relation to the sale as well as the interest on the money paid by the
BUYER representing the use of the Land by the BUYER.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this 9 th day
of DECEMBER year 2022.

foregoing instrument and acknowledged to me that the same are their free act and
voluntary deed.

This instrument, consisting of 3 pages, including the page on which this


acknowledgment is written, has been signed on the left margin of each and every page
thereof by the concerned parties and their witnesses, and sealed with my notarial seal.

 IN WITNESS WHEREOF, I have hereunto set my hand and affixed my official
