9) Part Deliveries / Back Orders
We will ordinarily attempt to deliver any order in a single shipment. However, due to
the nature and availability of some of our products, we reserve the right to make part
deliveries. The additional carriage cost of any second, or subsequent part deliveries,
will be met by us. If any Goods ordered are unlikely to become available within 30 days
of any first order shipment being made, we will contact you to agree whether you wish
Goods to be placed on back order or whether you wish to cancel the order for the
outstanding product/s.
10) Title and Ownership
All Goods remain the Seller’s property until all delivered Goods have been paid for in
full. However, the risk therein and all liability to third parties shall pass to the buyer. You
have a duty to take reasonable care of the goods until they have been paid for in full.
11) Liability
We shall not be responsible to you whether in contract, delict (including negligence)
or otherwise for incidental, special, indirect or consequential loss or damage, any
loss of profit (direct or indirect), loss of sales, loss of goodwill or reputation, loss of
business, third party claims, pure economic loss arising out of or in connection with the
performance or non-performance of our obligations under these terms and conditions
including such damage as may be reasonably foreseeable at the date you order the
Goods. We shall not be liable to you for breach of contract by reason of any delay in
performing obligations to you in relation to the sale of Goods where the delay or failure
is due to any cause beyond our reasonable control.
12) Data Protection
The buyer declares their consent that all data arising from the business may be
recorded on data carriers. This data will not be passed to any third parties.
13) Intellectual Property
Any copyright or intellectual property rights in any documents or other materials,
which originated with us, shall, unless agreed in writing between us and the buyer,
belong to us.
14) Toy Safety
We endeavour to supply good quality, safe products, some of which are toys and some
of which are not. Items which are toys and suitable for children under 36 months are
marked with a CE mark, which indicates compliance with Toy (Safety) Regulations
1995. Where items are CE marked this is clearly stated on our website. Items which
are not CE marked are not suitable for children under 36 months.
Terms and Conditions
15) The Consumer Protection (Distance Selling) Regulations
These regulations apply to ‘consumers’, meaning persons who are buying something
to which the regulations apply and are acting for purposes outside their or any
business. These regulations do not apply to business-to-business contracts. For the
purposes of these regulations we deem that a contract has been entered into once we
have accepted your order and agreed to supply the goods ordered. We will always
endeavour to provide details of your rights under these regulations by, at the latest, the
time you receive any goods you have ordered. In addition to our standard terms and
conditions, you have the right to cancel your order at any time up to 7 working days
after the goods have been delivered, or we have informed you of your rights to cancel,
whichever is the latter. If we do not inform you of your right to cancel, your right to
do so ends 3 months and 7 working days after the goods have been delivered. If you
decide to cancel your order you need to inform us in writing or by fax or e-mail. If you
decide to cancel your order we will refund the cost of the order, including all delivery
and return charges.
16) Legal Construction
The formation, existence, construction, performance, validity and all aspects of the
contract shall be governed by Scottish law, and the parties submit to the exclusive
jurisdiction of the Scottish courts.
17) Delivery Charges
Please note that a separate delivery charge will be payable. We endeavour to find the
most economical price to ship your orders. Typical mainland UK delivery charges will
vary from £2 to £8, Highlands & Islands and Europe £2 to £28, rest of the world from
£10 upwards depending on weight and dimensions. We reserve the right to change
our delivery charges at any time in line with increases in postal charges. Please contact
us by phone or email if you have any questions about delivery costs.
18) Value Added Tax (VAT)
VAT will be charged at the prevailing UK standard rate on all products, with the
exception of those items we sell which are zero rated, which will be charged
accordingly. It is permissible for intra-EU business-to-business transactions to be zero
rated, so please contact us if you think this may apply to your order. Also, all export
orders are, of course, outside the scope of UK VAT. Please contact us by phone or
email if you have any questions about VAT, although we can’t guarantee to provide an
answer immediately as it can be pretty complicated stuff!

which we buy and reuse for packaging our products. The money

Living Classrooms Charity was founded by Claire and Andy Warden, to support
children, families and communities from all backgrounds to live and learn using
nature and their environment.
We aim to promote excellence in play and learning through innovative naturalistic experiences, whilst
operating through the highest levels of environmentally sustainable practice. Through consulting all
those involved about their interests, goals and motivation, we attract high levels of participation.
Our work is made possible by Sponsorship from Mindstretchers. Since October 2010, we have
delivered a range of exciting community and educational projects both locally in Perthshire and in
urban areas in Edinburgh and Glasgow. Schools and centres across Scotland have worked with us
to experience learning outside the classroom through a variety of projects.

Our aim is to work with you to deliver inspirational,
motivational and participative training and events to help
you improve practice and exceed the requirements on
your own improvement plans. We develop the confidence
and competence of the participants in the understanding
of learning and the needs of children across all sectors of
teaching and learning.
All our courses are written and reviewed annually by Claire
Warden, ensuring that our philosophy is threaded through all our
work with you. Researching, writing and processing are at the
heart of what we do, so our training is sector leading.
Training can be delivered at your location, throughout the UK,
internationally, or at our Educational Centre for Excellence in
Perthshire, Scotland, UK which may include a site visit to Auchlone
Nature Kindergarten, judged in July 2011 as ‘outstanding and
sector leading’. HM Inspectorate of Education inspected Auchlone
Nature Kindergarten and awarded an ‘Excellent’ grading in all 5

Conditions
1) Definitions and Interpretation
In the following Terms and Conditions: ‘We’ / ‘Us’ / ‘the Seller’ means Mindstretchers
Limited (SC183027), the ‘Goods’ means any item of whatsoever nature which is sold
by the Seller, ‘You’ / ‘the Buyer’ means the person who buys or agrees to buy the
Goods from the Seller, the ‘Order’ means the Buyer’s order for Goods submitted in
the Seller’s prescribed form, the ‘Order Acknowledgement’ means the Seller’s Order
Acknowledgement to which the Conditions are attached, the ‘Conditions’ means the
standard terms and conditions of sale set out herein, the ‘Contract’ means the contract
for the sale and purchase of Goods all as confirmed in the Order Acknowledgement.
Every contract for the supply of Goods by the Seller shall, unless specifically agreed
in writing by a Director of the Seller, be subject to the Conditions. These Terms and
Conditions supersede all others previously published.
2) Prices
All prices for Goods are quoted in pounds sterling, excluding VAT. We reserve the right
to make amendments to prices without notice.
Any VAT will be charged and will additionally be payable as appropriate at the prevailing
rate on all orders for delivery within the UK. The buyer must supply a valid EU VAT
number for orders for delivery within the EU in order for the goods to be sold without
VAT being charged. The Seller’s delivery charge as specified shall additionally be
payable by the Buyer.
3) Specifications
We reserve the right to change product specifications without prior notice. All
specifications, descriptions, pictures, and dimensions provided are intended to present
a general idea of the goods and are provided on a ‘best endeavours’ basis. Many of
the Seller’s products are manufactured from natural products and consequently the
dimensions, colouring and finish may be subject to slight variation.
4) Placing an Order
Approved credit account customers can order by phone, fax, e-mail or at
www.mindstretchers.com, or, of course, by post. Ordinarily, and unless agreed
otherwise, a purchase order number will be required for all orders placed by credit
account customers. Non-credit account customers can place orders by phone or at
www.mindstretchers.com, or by post. We can confirm your order by e-mail, fax or
post as required.

5) Payment
Credit account customers – payment is required 30 days from the date of invoice,
unless specifically agreed otherwise in writing by a Director. Payment may be made
by BACS/bank transfer, cheque, or credit card. If paying by BACS/bank transfer, the
Buyer must advise the Seller that payment has been processed. In the case of overdue
accounts, we reserve the right to charge interest at 4% above the prevailing Bank of
England base rate until final payment is received.
- Non-credit account customers – payment may of course be made by cheque with
the Buyer’s order if ordering by post. Payment may be made by credit or debit card
if ordering by phone. In this case, the Buyer’s card will not be debited until the
Buyer’s order is dispatched.
- Variation to payment terms – any variation to these standard payment arrangements
and terms must be agreed in writing by a Director.
6) Delivery
We aim to deliver orders within 5 working days of receipt of any order. However, due
to the nature of some of the Seller’s products, delivery may take up to 30 days from
receipt of order. If, for whatever reason, delivery is likely to take more than 30 days, we
will contact you to discuss delivery options and timings. Whilst we make every effort to
deliver Goods on the day specified, we cannot guarantee delivery on that day or accept
liability for deliveries made outside this timescale. This also applies to products sent
directly from the Seller’s manufacturers. We cannot accept liability for out of pocket
expenses or other costs incurred due to failed or delayed deliveries. Delivery charges
are detailed in the Seller’s catalogue and on the Seller’s website. All Goods are subject
to stock availability. When we deliver your Goods to you, you may be asked to sign for
the Goods to acknowledge that you have received them.
7) Shortages, Defects and Breakages.
The Buyer shall inspect the Goods on delivery and, within 5 working days of delivery,
inform us of any alleged shortage in quantity, defect, damage or failure to comply with the
description of the Goods. Goods should not be returned to us without prior agreement.
8) Product Substitutions / Part Deliveries
Due to the nature and availability of some of our products, we feel it may occasionally
be reasonable to make appropriate product substitutions and we reserve the right to
do so. If the substituted product differs in what we consider to be any significant way
from that ordered, we will ordinarily discuss the proposed substitution with you prior
to dispatch of your order. If you subsequently decide, within 5 working days, that the
substituted product is not acceptable, it can be returned to us for a refund, which will
include the cost of the return postage.

9) Part Deliveries / Back Orders
We will ordinarily attempt to deliver any order in a single shipment. However, due to
the nature and availability of some of our products, we reserve the right to make part
deliveries. The additional carriage cost of any second, or subsequent part deliveries,
will be met by us. If any Goods ordered are unlikely to become available within 30 days
of any first order shipment being made, we will contact you to agree whether you wish
Goods to be placed on back order or whether you wish to cancel the order for the
outstanding product/s.
10) Title and Ownership
All Goods remain the Seller’s property until all delivered Goods have been paid for in
full. However, the risk therein and all liability to third parties shall pass to the buyer. You
have a duty to take reasonable care of the goods until they have been paid for in full.
11) Liability
We shall not be responsible to you whether in contract, delict (including negligence)
or otherwise for incidental, special, indirect or consequential loss or damage, any
loss of profit (direct or indirect), loss of sales, loss of goodwill or reputation, loss of
business, third party claims, pure economic loss arising out of or in connection with the
performance or non-performance of our obligations under these terms and conditions
including such damage as may be reasonably foreseeable at the date you order the
Goods. We shall not be liable to you for breach of contract by reason of any delay in
performing obligations to you in relation to the sale of Goods where the delay or failure
is due to any cause beyond our reasonable control.
12) Data Protection
The buyer declares their consent that all data arising from the business may be
recorded on data carriers. This data will not be passed to any third parties.
13) Intellectual Property
Any copyright or intellectual property rights in any documents or other materials,
which originated with us, shall, unless agreed in writing between us and the buyer,
belong to us.
14) Toy Safety
We endeavour to supply good quality, safe products, some of which are toys and some
of which are not. Items which are toys and suitable for children under 36 months are
marked with a CE mark, which indicates compliance with Toy (Safety) Regulations
1995. Where items are CE marked this is clearly stated on our website. Items which
are not CE marked are not suitable for children under 36 months.
Terms and Conditions
15) The Consumer Protection (Distance Selling) Regulations
These regulations apply to ‘consumers’, meaning persons who are buying something
to which the regulations apply and are acting for purposes outside their or any
business. These regulations do not apply to business-to-business contracts. For the
purposes of these regulations we deem that a contract has been entered into once we
have accepted your order and agreed to supply the goods ordered. We will always
endeavour to provide details of your rights under these regulations by, at the latest, the
time you receive any goods you have ordered. In addition to our standard terms and
conditions, you have the right to cancel your order at any time up to 7 working days
after the goods have been delivered, or we have informed you of your rights to cancel,
whichever is the latter. If we do not inform you of your right to cancel, your right to
do so ends 3 months and 7 working days after the goods have been delivered. If you
decide to cancel your order you need to inform us in writing or by fax or e-mail. If you
decide to cancel your order we will refund the cost of the order, including all delivery
and return charges.
16) Legal Construction
The formation, existence, construction, performance, validity and all aspects of the
contract shall be governed by Scottish law, and the parties submit to the exclusive
jurisdiction of the Scottish courts.
17) Delivery Charges
Please note that a separate delivery charge will be payable. We endeavour to find the
most economical price to ship your orders. Typical mainland UK delivery charges will
vary from £2 to £8, Highlands & Islands and Europe £2 to £28, rest of the world from
£10 upwards depending on weight and dimensions. We reserve the right to change

18) Value Added Tax (VAT)
VAT will be charged at the prevailing UK standard rate on all products, with the
