GENERAL POWER OF ATTORNEY

By this General power of attorney, We, (1) Mr. DONNY DEVADASON, Son of
Mr.Devadason, aged about 52 years, (2) Mrs. SUJA GRACE DONNY, Wife of
Mr.Donny Devadason, aged about 50 years, both residing at No. 89/1, 4th
Cross, Cox Town, Jeevanahalli, Bangalore North, Bangalore, Karnataka-
560005, do hereby appoint, nominate and constitute, M/s. TOMYS INFRA
PRIVATE LIMITED, a registered Company Incorporated under the Provisions
of Indian Companies Act 2013, having its registered office Star Chambers,
13/6/1, Queens Road, Bangalore, Karnataka 560062, represented by its
Director Mr.TINO THOMAS, Aged about 34 years, Son of Mr. Late Thomas
Chacko (Hereinafter called the ‘Attorney Holder’ who has subscribed her
signature hereunder in token of identification) as my lawful attorney and
agent to do in my name and on my behalf the following act, deed and things.

WITNESSES AS FOLLOWS:

WHEREAS, we are the absolute owners in peaceful possession and enjoyment


of Site bearing Site No.19, Old House List Khatha No. 70/2, in Property
No.15,16 to 22, situated at Kalkere Channasandra Village, Horamavu
Panchayath, Krishnarajapura Hobli, Bangalore East Taluk, Presently within
the jurisdiction of BBMP, Bangalore measuring East to West 40 Feet and
North to South 90 Feet in all measuring 3600 Sq. Ft, which is more fully
described in the Schedule hereunder and hereinafter referred to as
SCHEDULE PROPERTY.

WHEREAS we had acquired the Schedule Property vide Registered Sale Deed
dated 11-12-2003, registered as document No.18232/2003-04, dated 19-01-
2004 and stored in CD No.121, before the office of the Sub-Registrar,
Krishnarajapuram, Bangalore and ever since the date of purchase, we have
been in lawful possession and enjoyment of the Schedule Property and had
been paid property taxes upto date.

WHEREAS we have entered into a Joint Development Agreement dated


06/06/2019, registered before the Office of the Sub-Registrar, Shivajinagar
(Banaswadi), Bangalore, with the attorney holder herein for the development of
the Schedule Property and in pursuance thereto we are herewith appointing
the said Builder as our Agent and Attorney for the purposes of construction,
management and sale of their share in the Schedule Property in terms hereof:

NOW KNOW ALL MEN BY THESE PRESENTS THAT, We, Mr. DONNY
DEVADASON & Mrs. SUJA GRACE DONNY, do hereby nominate, constitute
and appoint M/s. TOMYS INFRA PRIVATE LIMITED, represented by its

Director Mr.TINO THOMAS, as our true and lawful Attorney, in our name
and on our behalf, to do all or any of the following acts, deeds and things, in
regard to the Schedule Property:-

(a) To appear for and represent us before any Government, Statutory, Local,
Revenue, Tax and other Authorities as also Courts and Tribunals in regard
to the Schedule Property;

(b) To submit applications, Affidavits, statements, Returns to the Governments


of Karnataka and/or any statutory Authorities, to obtain necessary
Clearances, Exemptions, Sanctions and Permissions required, payment of
Betterment charges and thereafter to obtain the plan from concerned
authority by signing the required deeds, documents, forms, indemnities,
affidavits, applications, bonds etc.,;

(c) To enter into agreements for sale in respect of 50% undivided right over
the Schedule Property or any portions/shares thereof along with
proportionate super built up area or enter into any kind of agreement/s on
such terms as my Attorney deems fit and to get the Agreements/s
registered as well to cancel the said registrations, after executing the
supplementary Agreement between us and the attorney holder sharing
respective share in the built up area;

(d) To Convey/Sell by way of sale deeds or any deeds in respect of 50% of the
Schedule Property or any portions/shares thereof along with proportionate
super built up area, and execute necessary Deeds of sale/conveyance in
favour of the intending purchasers/transferees after executing the
supplementary Agreement between us and the attorney holder sharing
respective share in the built up area and do everything necessary for
completing the Sale Deed/s, presentation of the Sale Deed/s, Confirmation
Deed, Settlement Deed, Rectification Deed etc., and admitting execution
thereof as well as to sign and execute all forms, affidavits,
applications/statements/declarations/forms/returns;

(e) To receive the consideration for sale/transfer/conveyance, as also


advances, earnest money deposits, part payment and balance payment in
regard to the sale/conveyance/transfer of 50% of Schedule Property or
portions/shares therein along with proportionate super built up area, and
issue receipts and acknowledges therefore, after executing the
supplementary Agreement between us and the attorney holder sharing
respective share in the built up area;

(f) To apply for and obtain transfer and registration of katha in regard to the
Schedule Property to the name of the purchaser/s, on sale of the undivided
shares in the Schedule Property. Generally to do all other acts, deeds and
things necessary in regard to the management, maintenance of the
Schedule Property and all the Apartments built on it and disposal of 50%
of the schedule Property;

(g) To have the plans prepared for construction of new building/s in the
Schedule property by engaging Architects and Structural Engineers and
other consultants:

(h) To pay all rates/taxes/cesses in regard to the Schedule Property as also


the charges for electricity/water consumed and pay all
deposits/charges/fees/contributions and other levies required for
obtaining Licences/Sanctions/Clearance/Permissions and to obtain
receipts thereof;

(i) To apply for and obtain Commencement Certificate,


Completion/Occupancy Certificates and other permissions, required for
construction, completion and occupation of any Building/s in the Schedule
Property;

(j) To apply for and obtain necessary clearances, permissions, consents


required for development of the Schedule Property.

(k) To apply for and obtain from the BBMP and other concerned Authorities
(including Bangalore Development Authority, National Airport Authority of
India, as well as International Airport Authority of India, Department of
Telecommunication, Traffic Department, Lift Inspectorate, Karnataka
Electricity Board, Bangalore Water Supply and Sewerage Board, Bangalore
Urban Arts Commission, Fire Force Department) the required Sanctions,
Licences, Consents/Permissions/No Objection
Certificates/Commencement Certificates/Occupancy Certificates
/Amendments/Modifications for such demolition and construction of
buildings in the Schedule Property and to apply for and obtain electrical,
water and sanitary connections, and in that behalf, to sign and execute all
applications, affidavits, declarations, indemnities, plans and other
documents;

(l) To construct buildings, structures as per the agreed Plans and execute any
projects in the Schedule Property;

(m) To apply for and obtain any quotas/permits in regard to Building
Materials, if necessary;

(n) To engage and terminate the services of Architects, Engineers and other
Consultants, Legal Practitioners, Chartered Accountants, Contractors,
Workers;

(o) To initiate, prosecute and defend all legal, revenue, tax and other
proceedings relating to the Schedule Property and in that behalf engage the
services of Legal/Tax Practitioners and be in charge of conduct of such
proceedings;

(p) To mortgage the Schedule Property, to raise loan by mortgaging the


Schedule Property {in respect of 50% Promoter share) in any
manner, to represent our interest before bank and financial institutions for
raising project loan and to comply with all the requirements for mortgaging
and raising loan etc. without making me liable to any such borrowings,

(q) To sign and execute pleadings, applications, petitions, affidavits,


declarations, undertakings, memorandum of appeal, revision and review,
returns and other paper/document; and to accept services of orders,
processes, notices and charge them; and to give evidence and to produce
documents and receive them back;

(r) To settle compromise, compound or withdraw any suit or proceedings


relating to the Schedule property or refer any dispute to Arbitration with
the consent of the owner or executants;

(s) Generally to do all other acts, deeds and things necessary in regard to the
management, maintenance, and disposal of developer’s undivided share to
an extent of 50% in the Schedule Property.

And, we do hereby agree and undertake to ratify and confirm all and
whatsoever my said attorney may lawfully do pursuant to this Power of
Attorney and non mentioning of any specific clause shall not bar my attorney
to do any of the acts, deeds and things as mentioned above. This Power of
Attorney being coupled with interest shall not be revoked by us unilaterally.

SCHEDULE PROPERTY

All that piece and parcel of the immovable Property bearing Site No.19, Old
House List Khatha No. 70/2, in Property No.15,16 to 22, situated at Kalkere
Channasandra Village, Horamavu Panchayath, Krishnarajapura Hobli,

Bangalore East Taluk, Presently within the jurisdiction of BBMP, Bangalore
measuring East to West 40 Feet and North to South 90 Feet in all measuring
3600 Sq. Ft, and bounded on;

East by : Site No.18,


West by : Site No.20,
North by : 20 Feet Road,
South by : Private Property;
