23. PROTECTIVE AGENTS

THE OWNERS ARE TO ADVISE THE CHARTERERS OF THEIR OPA’S FULL STYLE

26. SUBJECTS

TO BE DECLARED

RIDER CLAUSES AS FOLLOWS ,

27. Following provisions are guaranteed by the Owners as conditions and throughout the duration of this Charter Party ;
a) The Vessel remains as described herein (especially ownership, flag and class shall not change).
b) The Vessel is fully protected and indemnified in respect of loss of or damage to cargo by a reputable PNI club.
c) The Vessel is fully insured for H&M and Basic War Risks purposes.
d) The Vessel is complied with ISM, ITF, STCW, SOLAS and MARPOL.
e) The Vessel, her owners and managers are free from any maritime claims, lien or encumbrances.
f) The Vessel, her owners and managers are in possession of necessary certificates, documents and records to comply with
health, safety and pollution regulations of the Vessel’s flag state and ports/places where she trades under this Charter Party so
that to secure the unhindered performance of this charter.
g) Neither the Vessel nor her owners/managers are black-listed (or boycotted) at the ports and places where the Vessel trades
under this Charter Party.
h) BIMCO ISPS/MTSA Clause for Voyage Charter Parties 2005 to apply.

28. The cargo is to be loaded, stowed, trimmed, carried and discharged in accordance with the Vessel’s cargo manual and the
latest edition of IMSBC Code (and subsequent amendments thereto) and applicable local regulations under the Master’s
supervision and to his satisfaction.

29. The Charterers are to provide IMSBC Code declaration form latest by one day in advance of loading.

30. Quantity of cargo is to be ascertained through Joint draft surveys at both ends.

31. No cargo is to be loaded onto hatch coamings, deep tanks, wings nor any other awkward spaces inaccessible to grabs.

32. Part cargo and deck cargo are not allowed.

33. Upon NOR at load port all the holds and hatch covers shall be in water-tight and weather-tight condition, odorless, free of
insects, properly swept, clean, dried and ready in all respects to receive and preserve the cargo.

34. Laytime is irreversible between the ends.

35. Laytime or time on demurrage shall cease upon completion of loading and discharging.

36. Once on demurrage always on demurrage to apply at both ends.

37. Following instances are not to count as laytime, turn time or time on demurrage at both ends :
a)time used initial and final draft surveys,
b) time used in shifting/moving from anchor aweigh in customary waiting area until all made fast at the first berth (but time
waiting for pilots between CJK and discharging berth to be on Charterers’ account).
c) time used in the first opening and the last closing of hatches.
d) time losses attributable to the Vessel breakdown (or deficiency) and any faults on the part of Owners/Managers/Crew or
their purposes (additional expenses, if any, will also be on the Owners’ account).

38. Waiting time (whether at berth or anchorage), delays and expenses (namely tug boats or testing fees) arisen from COVID-19-
related restrictions attributable to the Vessel or Crew to be on the Owners’ account.

39. Intermediate draft surveys conducted as the Master’s or Chief Officer’s request to be at the Owners’ time and expense, same
conducted at the Charterers’ request to be at the Charterers’ time and expense.

40. Additional shifting (or warping) will be on the Charterers’ account unless caused by the Vessel’s, Owners’ or Crews’ faults
or for their purposes.

41. In case the Vessel is prevented from departure after completion of cargo operations due to non-readiness of cargo papers or
for the Charterers’ purposes, the first four (4) hours of such delay not to count as laytime or time on demurrage.

42. In the event of conflict between the parties over the joint surveys or inspections including, but not limited to draft survey,
cranes survey or cargo damaged, the parties shall, within twelve hours, jointly appoint an independent surveyor for re-
inspection whose award is deemed final and all the time lost and expenses incurred will be on account of the party found at
fault.

43. Total freight is deemed earned upon completion of loading, discount less and non-returnable even fi vessel and/or cargo lost
or not lost.

44. In the event of short-shipment laytime will be calculated basis quantity on which freight plus deadfreight is paid.

45. If in any case the parties agreed to pay and receive the freight (or demurrage , detention and/or despatch) in AED rather than
USD, then exchange rate will be determined basis the remitting bank’s rate and if payment in RMB is agreed the same would
be as per the Bank of China Middle Rate published on preceding banking day of payment date.

46. Bs/L to be on ''CongenBill 94'' form in conformity with the mate’s receipt(s).

47. Bs/L shall stipulate ''freight payable as per this charter party'' or ''freight pre-paid'' if the Charterers have transferred the
freight in full.

48. Bs/L are to be marked ''clean on board'' against receipt of clean cargo on board and no LOI is permitted in this respect.

49. Bills are to be issued, signed and stamped by the load port agents or the discharge port agents, as the Charterers may request,
for and on behalf of the Master and with the Owners’ or the Master’s prior written authority.

50. Bills are to be split at CHOPT.

51. After completion of loading, The Vessel may call Sohar- Oman, inner anchorage en-route according to the Charterers’
instruction to receive ordinary provisions and fresh water so that to be granted with a port clearance that is to be presented at
Destination Port.

52. Sohar shall be stipulated as load port on pre-arrival documents at Destination Port e.g. manifest, Bs/L and last ten ports of
call.

53. First 10 hours from arrival till departure at Sohar will be on the Owners account, thereafter, to be on the Charterers account.

54. The Charterers are to pay Sohar PDA in full and then deduct provisions and fresh water cost from freight payment according
to agents’ FDA.

55. The Charterers are to advise the Owners of agents’ full style at Sohar before departure from load port.

56. No deviation cost applicable for calling Sohar.

57. The Charterers have an option to provide the Owners with a Letter of Indemnity (soft copy in color on Charterers’ letterhead)
in the Owners’ PNI Club Standard Wording (without bank endorsement or guarantee) to :
a) issue switch BL showing ''Sohar - Oman'' as the load port.
b) alter the initial shippers, consignees and notify addresses.
c) post-date the BL so that to be in conformity with the Sohar port clearance.
d) discharge and deliver the cargo in case the OBs/L are not available at discharge port at or before the Vessel arrival.
the Charterers shall also air-courier all the initial Bs/L (3NB and 3NNB) hard copies to the Owners’ office.

58. The Owners shall instruct the Master to switch off the AIS well in advance of entry to Iranian Waters or before entry to PG.

59. Taxes, dues, premiums or other charges levied on the Vessel, flag, freight and Crew (including crew overtime) to be always
on the Owners’ account.

60. Taxes, dues, premiums and other charges levied on the cargo to be always on the Charterers’ account.

61. Premiums charged by cargo underwriters due to the Vessel’s flag, age or class to be always on the Charterers’ account.

62. All notices, requests and other communications required or permitted by any clause of this C/P shall be given in writing by
email to/from addresses indicated herein or by express courier services as and when applicable.

63. All the terms and conditions of this Charter Party shall be treated strictly as private and confidential by the parties and not to
be disclosed to any third parties unless to the extent necessary to comply with the obligations under this Charter.
