2.2 The lump sum prices indicated above include, but are not limited to, compensation
for all applicable taxes (other than VAT), fees of any kind, customs duties,
insurances including Saudi Arab social insurance, fees, mobilization and
demobilization, catering and accommodations, transportations to and from the
WORK SITE, all overheads and profits, and all other direct and indirect costs
incurred or to be incurred by the undersigned bidder.

2.3 For purposes of invoicing, the lump sum prices indicated in Paragraph 2.1 of this
Bid are broken down as per the Pricing Attachment hereto, which reflect the actual
cost of all items listed in these Pricing Attachments.

2.4 COMPANY reserves the right to verify the value of Engineering and Design
WORK to be within reasonable percentage and may, if necessary, request
CONTRACTOR to redistribute the percentages. CONTRACTOR shall abide by
such request.

2.5 The lump sum prices indicated in Paragraph 2.1 of this Bid and broken down as per
the Pricing Attachment are not subject to escalation for any reason whatsoever.

2.6 Price Adjustment Related to Copper Price for Power Cable

(Note: If the Contract shall provide for supply of more than one size or voltage level
of power cable, the provisions of this Paragraph 2.6 as well as Paragraph 2.7 below
shall be applied similarly to each of power cable and accordingly to the total quoted
Contract Price.)

 2.6.1 The undersigned bidder hereby confirms that the lump sum prices
indicated in Paragraph 2.1 of this Bid are based on the Copper Price in
U.S. Dollars per Metric Ton specified by COMPANY (IPCa in the
formula in Paragraph 2.6.2 below).

2.6.2 The undersigned bidder hereby agrees that, if on the day (LME working
day) immediately following the date of the Notice of Award by
COMPANY, the “Official International Price of Copper for Cash
Buyer as published in London Metal Exchange (LME)” differs (plus or
minus) from the “Copper Price specified by COMPANY as per
Paragraph 2.6.1 above”, the undersigned bidder’s “Unit Price” and
“Total Material Price” for Power Cable indicated in Materials/
Equipment Price Component in Pricing Attachment to this Bid, and
accordingly the “lump sum price indicated in Paragraph 2.1 of this
Bid” shall be adjusted (plus or minus) by the following amounts:

2.7 Final “Unit Price” and “Total Material Price” for Power Cable and final
“CONTRACT Price”

As a result of the Cable Price Adjustment indicated in Paragraph 2.6 of this Bid,
the final “Unit Price” and “Total Material Price” for Power Cable indicated in
Materials/Equipment Price Component in Pricing Attachment to this Bid, and the
final “CONTRACT Price” to be indicated in Paragraph 1.1 of Schedule “C” of
the final CONTRACT to be entered into between COMPANY and the
undersigned bidder, in the event it becomes the successful bidder, shall be as
follows:

2.8.1 The undersigned bidder hereby confirms that the lump sum prices
indicated in Paragraph 2.1 of this Bid are based on the Copper Price in
U.S. Dollars per Metric Ton specified by COMPANY (𝐿𝑀𝐸t in the
formula in Paragraph 2.8.2 below).

2.8.2 The undersigned bidder hereby agrees that, if on the day (LME
working day) immediately following the date of the Notice of Award
by COMPANY, the “Official International Price of Copper for
Cash Buyer as published in London Metal Exchange (LME)”
differs (plus or minus) from the “Copper Price specified by
COMPANY as per Paragraph 2.8.1 above”, the undersigned
bidder’s “Unit Price” and “Total Material Price” for Power
Transformers indicated in Materials/ Equipment Price Component in
Pricing Attachment to this Bid, and accordingly the “lump sum price

2.9 Final “Unit Price” and “Total Material Price” for PowerTransformers and

As a result of the Power Trnsformer Price Adjustment indicated in Paragraph 2.8 of

this Bid, the final “Unit Price” and “Total Material Price” for
PowerTransformers indicated in Materials/Equipment Price Component in Pricing
Attachment to this Bid, and the final “CONTRACT Price” to be indicated in
Paragraph 1.1 of Schedule “C” of the final CONTRACT to be entered into between
COMPANY and the undersigned bidder, in the event it becomes the successful
bidder, shall be as follows:

a. Final Unit Price of Original Bid Price (SR/EA) ±

 3. TRANSFORMER LOSSES TABLE

Pursuant to Paragraph 17.3 of the Instructions to Bidders for Commercial Proposal,

the undersigned bidder hereby submits as attachment to this bid an EXACT COPY
of Bidder’s Annexure-IX of Instructions to Bidders for Technical Proposal
(TRANSFORMER LOSSES TABLE) duly signed and stamped by both Bidder and
Manufacturer(s) stating the Guaranteed No Load (Core) Loss and Full Load
(Copper) Loss for each proposed transformer.

4. VALIDITY

This bid shall remain valid for a period of one hundred twenty (120) calendar
days following the bid closing date.

5. ADDENDA

undersigned, and were considered in the preparation of this bid:

6. CONFLICT OF INTEREST

The undersigned Bidder acknowledges having read paragraph 2.10 "Conflict of

Interest" of the General Terms and Conditions (Schedule "A") and paragraph 9.3
"Conflict of Interest" of the Instructions to Bidders, and that no conflict of interest
exists with the National Grid SAas per the above paragraphs, and shall avoid those
situations where the bidder's interests conflict with those of the National Grid SA, and
shall notify the Saudi Electricity Company in writing immediately upon the
occurrence of any conflict of interest, and that the undersigned bidder shall bear all
consequences arising from a breach of the terms of the contract and shall compensate
Company for damages, losses and additional costs incurred as a result of that breach.

7. SCOPE AND COMPLIANCE

This bid includes all the work and services required to perform the WORK. Having
been properly represented during the Job Explanation Meeting and having
investigated the WORK SITE, and examined in their entirety the Scope of Work, the
Proforma Contract and all the documents referred to therein, and the Instructions to
Bidders, the undersigned offers to:

 Schedule “B”, if any), start-up; perform quality management, factory
inspection/testing, and all associated work and services; construct, install, test and
commission; and put into service until final handing over to COMPANY, in a
satisfactorily working and operating condition, the new substation and associated
modifications to the existing remote substations as described below in accordance
with the Scope of Work and Technical Specifications (PTS # 22CN1136 & PTS-
22CR1210):

WORK SITE all equipment and materials and start-up; perform quality management,
factory inspection/testing, and all associated work and services; construct, install, test

JANADRIYAH S/S 8259, IN RIYADH CITY as described below in accordance
with the Scope of Work and Technical Specifications, PTS # 22CC1088

strictly in accordance with said Bid Documents, all for the Unit Prices indicated in the
Pricing Attachment. The undersigned confirms having read both the above affidavits,
and that there are no conditional terms or exceptions contained elsewhere in this bid.
