SCHEDULE “B” RFx NO4000074061

SCOPE OF WORK AND TECHNICAL PROVISIONS

1. INTRODUCTION

1.1 This Schedule establishes the scope of the WORK to be performed by CONTRACTOR
under this CONTRACT, and describes or references in Attachment I of this Schedule
“B” the technical requirements that CONTRACTOR shall satisfy or adhere to in
accomplishing the WORK.

1.2 Because of the technical nature of the documents referenced in this Schedule “B”,
these documents have not been translated into Arabic. CONTRACTOR and COMPANY
agree to be bound by the English text.

2. SCHEDULE REQUIREMENTS

CONTRACTOR shall achieve Final Acceptance of the WORK by Twenty (20) Gregorian
Months from Contract Signing Date (“Final Acceptance Date”). Separable portions of
the WORK specified in Attachment II to this Schedule “B” shall be completed by the dates
specified therein (“Critical Milestone Dates”).

3. COMPANY-SUPPLIED MATERIALS, TOOLS AND EQUIPMENT

COMPANY shall furnish only the materials, and construction and installation tools and
equipment listed in Paragraphs 3.1 and 3.2 below for use by CONTRACTOR in performing
the WORK. COMPANY will furnish these items on “as is where is” basis. CONTRACTOR
shall provide all equipment and personnel necessary to load them from a COMPANY facility
or facilities or elsewhere as specified by COMPANY, and to transport and unload them to the
WORK SITE.

These tools and equipment will remain COMPANY property. On completion of the WORK or
at any other time as directed by the COMPANY REPRESENTATIVE, CONTRACTOR shall
return them (along with unused COMPANY-supplied materials, if any) in as good condition
as when received (wear and tear excepted), during COMPANY normal working hours, to
COMPANY-designated location or locations; provided, however, that such designated
locations are no farther from the WORK SITE than the original point of COMPANY issue of
such items.

3.1 COMPANY-Supplied Materials

COMPANY shall furnish only the following materials to be incorporated in the


PROJECT or used in the WORK:

3.1.1 Plant Tags, 6.35 CM X 2.54 CM or 4.445 CM X 1.112 CM, for each individual
item of equipment and independent components to be tagged. Normally,
the COMPANY Plant Tags are made of brass; however, COMPANY may issue
Plant Tags made from other material in cases where brass tag is not
suitable for a particular type of equipment.

3.2 COMPANY-Supplied Construction and Installation Tools and Equipment

COMPANY shall furnish only the following construction and installation tools and
equipment for use by CONTRACTOR in performing the WORK:

4. GENERAL DESCRIPTION OF THE WORK

CONTRACTOR shall design and engineer; procure, supply and deliver to the WORK
SITE all equipment and materials and start-up; perform quality management,
factory inspection/testing, and all associated work and services; construct, install,
test and commission; and put into service until final handing over to COMPANY, in a
satisfactorily working and operating condition, the CONNECTION OF AL
JANADRIYAH S/S 8259, IN RIYADH CITY as described below in accordance
with the Scope of Work and Technical Specifications, PTS # 22CC1088:

4.1 New 132 KV U/G Cable Circuit 8121-8259

The new 132kV U/G Cable Circuit 8121-8259 is described below:

4.3 Communication Works

The detailed Scope of Work of Fiber Optic Telecommunication System


requirements,refere Appendix VI CS-1735/Rev.00 and of PTS # 22CC1088.

4.4 Protection requirements

The detailed Scope of Work for Protection Requirements ,refere Substation of PTS #
22CN1087.

4.5 Gassing & Degassing

Gassing and degassing at substation at existing BSP S/S 9046 (132 kV Side), S/S
8121, and new S/S 8259 shall be done, Gassing and Degassing WORK, including
electrical tests is the Transmission Line CONTRACTOR’S responsibility but it should
be carried out under supervision of a Specialist Qualified & Authorized representative
of GIS Manufacturer or as approved by COMPANY.

4.6 Civil Works

As per the details given in Clause 4.04 of Section III of PTS # PTS # 22CC1088.

4.7 Start-Up Spare Parts

4.7.1 “Start-Up Spare Parts” are defined as spare parts or components, which
may be required during testing and commissioning up to Preliminary
Acceptance of the PROJECT at the WORK SITE.

4.7.2 CONTRACTOR shall provide all start-up spare parts for the PROJECT required
during testing and commissioning up to Preliminary Acceptance of the
PROJECT pursuant to Paragraphs 2.1.4 and 6.1 of Schedule “A” of this
CONTRACT.

4.7.3 The compensation payable to CONTRACTOR for provision of all these items
is included in the CONTRACT Price set forth in Paragraph 1.1 of Schedule
“C” and specifically included in the relevant material/equipment price
components indicated in Pricing Attachment to Schedule “C” of this
CONTRACT.

4.7.4 CONTRACTOR shall deliver these start-up spare parts along with the
materials/equipment for the PROJECT.

4.7.5 Prior to material/equipment delivery, CONTRACTOR shall provide the list of


manufacturers, type/model and quantity of all start-up spares that will be
brought to the WORK SITE for review by the COMPANY REPRESENTATIVE.
However, the review and approval by the COMPANY REPRESENTATIVE shall
not relieve CONTRACTOR of its obligation to provide whatever type and
quantity of start-up spare parts that may actually be required during testing
and commissioning up to Preliminary Acceptance of the PROJECT.

4.7.6 Prior to the start of testing and commissioning, CONTRACTOR shall ensure
that it has at the WORK SITE sufficient quantity of all start-up spares, which
may be required during testing and commissioning up to Preliminary
Acceptance of the PROJECT.

4.7.7 All unused start-up spare parts will be turned over to COMPANY on
Preliminary Acceptance.

4.8 Operational Spare Parts

Not Required in this CONTRACT.

4.9 Special Tools and Test/Maintenance Equipment

Not Required in this CONTRACT.

4.10 COMPANY Personnel Training

4.10.1 CONTRACTOR shall, unless otherwise directed by COMPANY in a negative


CHANGE ORDER in accordance with Paragraph 10 of Schedule “C” of this
CONTRACT, provide the following training to designated COMPANY
personnel on CONTRACTOR-supplied equipment as described in Appendix
XII of the Scope of Work and Technical Specifications:

4.10.2 The compensation payable to CONTRACTOR for provision of these COMPANY


personnel trainings is included in the CONTRACT Price set forth in Paragraph
1.1 of Schedule “C” and indicated in Pricing Attachment to Schedule “C” of
this CONTRACT.
4.10.3 COMPANY shall issue a negative CHANGE ORDER in accordance with
Paragraph 10 of Schedule “C” of this CONTRACT should COMPANY opt to not
require CONTRACTOR to provide all or some of the trainings listed in Pricing
Attachment to Schedule “C of this CONTRACT.
4.10.4 The provisions of Paragraph 3.16, “Traveling Requirements” of the Scope of
Work and Technical Specifications shall apply to all the trainings to be
conducted under this CONTRACT.
4.10.5 All cost related to Training and manufacturer’s Test for COMPANY personnel
(i.e., travel, accommodation, subsistence allowance, visa), either In-
Kingdom or Out-of-Kingdom shall be borne by the CONTRACTOR.

4.11 Catering and Accommodation (C&A) for COMPANY Project Staff

Not Required in this CONTRACT.

4.12 Service Vehicles for COMPANY Project Staff

Not Required in this CONTRACT.

4.12 Other WORK Requirements

CONTRACTOR shall also provide the items listed below. The compensation
payable to CONTRACTOR for provision of these items is included in the lump
sum CONTRACT Price set forth in Paragraph 1.1 of Schedule “C” and
indicated in Pricing Attachment to Schedule “C” of this CONTRACT.

4.13.1 “Tools of the Trade” for Exclusive Use by COMPANY


REPRESENTATIVE and COMPANY Consultant Personnel

CONTRACTOR shall provide all necessary “tools of the trade” for


the sole use by COMPANY and COMPANY’s Consultant personnel.
CONTRACTOR shall ensure that all such tools and equipment are
of the best quality, suitable for the job at hand, free from defects,
and maintained in good order.

These equipment, which shall remain the property of the
CONTRACTOR after the completion of the PROJECT, shall include,
but not be limited to, the following:

a) Survey and measuring instruments including, but not limited


to, binoculars, transits, rods, and tapes.

b) Material testing equipment including, but not limited to,


concrete core cutters, slump cones, thermometer, water
testing, meggers, torque wrenches, filed glasses, sieves,
and scales.

4.13.2 Site Office for Exclusive Use by COMPANY


REPRESENTATIVE

Pursuant to Paragraph 2.9 of Schedule “A” of this CONTRACT, CONTRACTOR


shall provide a fully equipped site office for the exclusive use by the
COMPANY REPRESENTATIVE and an outside Consultant (if employed by
COMPANY under Paragraph 22.5.2 of Schedule “A”) as described in the
Scope of Work and Technical Specifications, with the following amenities:

4.14 Modifications and Clarifications to Scope of Work & Technical Specifications

Notwithstanding anything stated elsewhere in the Scope of Work and Technical


Specifications, to the contrary, the following modifications to the said Scope of Work
and Technical Specifications shall govern:

4.14.1 Throughout the Scope of Work and Technical Specifications, the


terminologies used and defined in Schedule “A” of the CONTRACT (e.g.
CONTRACT, COMPANY, CONTRACTOR, SUBCONTRACTOR, Other Contractor,
PROJECT, WORK, WORK SITE) were not appropriately used. (Example:
PROJECT was used instead of CONTRACT, PROJECT instead of WORK,
contractor instead of CONTRACTOR, subcontractor instead of
SUBCONTRACTOR, site instead of WORK SITE, and vice versa.)
Nevertheless, the terminologies used and defined in Schedule “A” of the
CONTRACT shall prevail in the execution of the WORK under this
CONTRACT.

4.14.2 Factory Inspection and Testing for the major equipment/materials

CONTRACTOR shall arrange the travelling requirements (3.16 of PTS #


22CC1088) for COMPANY personnel for witnessing the field or laboratory
testing as per schedule of factory inspection as described Paragraph 3.07
C.4 in the Scope of work and Technical Specifications.

All cost and expenses in connection with such visits by the COMPANY
REPRESENTATIVES is included in the lump sum CONTRACT Price set forth in
Paragraph 1.1 of Schedule “C”.

5. SUMMARY OF DOCUMENTS

This Schedule “B” includes all of the documents listed below, which are hereby made part of
this CONTRACT.

5.1 Drawings, Standards, Specifications and Calculations Sheets

This Schedule “B” includes all the Drawings, Standards, Specifications and
Calculation Sheets indicated in Attachment I to this Schedule “B”, which by
reference are made part of this CONTRACT.

5.2 Scope of Work and Technical Specifications

This Schedule “B” includes the Scope of Work and Technical Specifications, which by
reference is made part of this CONTRACT.

The Scope of Work and Technical Specifications is defined in Paragraph 1.20 of


Schedule “A” of this CONTRACT. It sets forth the detailed scope of WORK and
technical provisions that CONTRACTOR shall adhere to in the performance of the
WORK pursuant to this CONTRACT.

5.3 Technical Proposal, Commercial Proposal and Post-Bid Clarifications

The CONTRACTOR’s Technical Proposal (Ref:__ dated ) and Commercial Proposal


(Ref: __ dated _), as clarified by the post-bid clarification letters and by the Minutes
of the Bid Clarification Meeting(s) listed below, are made part of this CONTRACT and
may not be changed except by a CHANGE ORDER or an AMENDMENT.

The Technical Proposal is a supplement to the Scope of Work and Technical


Specifications.
The Technical Proposal and Commercial Proposal shall not govern over the Scope of
Work and Technical Specifications or any other part of this CONTRACT.

5.3.1 Post-Bid Clarification Letters

The post-bid clarification letters listed below describe modifications and


clarifications of the Technical Proposal and Commercial Proposal agreed to
between the Parties. If there is a conflict between the provisions of the
post-bid clarification letters and the Technical Proposal, the Commercial
Proposal or the Scope of Work and Technical Specifications, the post-bid
clarification letters shall govern. Except for the Technical Proposal, the
Commercial Proposal and the Scope of Work and Technical Specifications,
the post-bid clarification letters do not govern over any other part of the
CONTRACT. The post-bid clarification letters are part of this CONTRACT and
may not be changed except by a CHANGE ORDER or an AMENDMENT.

5.3.2 Minutes of the Bid Clarification Meeting(s) (“The Minutes”)

The Minutes of the Bid Clarification Meeting(s), held on __________,


signed by CONTRACTOR and COMPANY, describe modifications and
clarifications of the Technical Proposal and the Commercial Proposal agreed
to between the Parties. If there is a conflict between the provisions of the
Minutes and the Technical Proposal, the Commercial Proposal or the Scope
of Work and Technical Specifications, the Minutes shall govern. Except for
the Technical Proposal, the Commercial Proposal and the Scope of Work and
Technical Specifications, the Minutes do not govern over any other part of
the CONTRACT. The Minutes are part of this CONTRACT and may not be
changed except by a CHANGE ORDER or an AMENDMENT.

5.4 Instructions to Bidders, Pre-Bid Clarifications and Addenda to Bid


Documents

This Schedule “B” includes the Instructions to Bidders for Commercial Proposal,
Instructions to Bidders for Technical Proposal, and the following pre-bid clarification
letters and addenda to the Bid Documents, which were issued to CONTRACTOR
during the preparation of its Commercial Proposal and Technical Proposal for this
CONTRACT, and which by reference are made part of this CONTRACT:
