2. EXHIBITOR’S APPLICATION
The Exhibitor hereby submits this application to IIEE as a prerequisite in its intent to utilize the exhibit booth identified on the first page of this document (the
“Subject Booth'') during the 3E XPO 2023. The Exhibitor further recognizes that this application shall be subject for approval by IIEE, which reserves the right to
reject this application and/or disapprove the design, lay-out, and/or configuration submitted by the Exhibitor in accordance with the provisions set forth in Item 3
a. The Exhibitor shall submit to IIEE its proposed design for the Subject Booth no later than October 15, 2023. The Exhibitor understands that the proposed
design may be approved, denied, or amended by IIEE, which approval, denial, or amendment shall be communicated to the Exhibitor within 10 days
after such decision is made. If denied or amended, the Exhibitor may submit a new or amended design of the Subject Booth to IIEE which shall decide
on the new design as if a new application was submitted.
b. Should the Exhibitor wish to alter a previously approved design, the Exhibitor may submit a proposal of the revised design to IIEE. The revised design
shall be subject to approval, denial, or amendment by the IIEE in the same tenor as in Par.a. above. However, regardless of the decision of IIEE regarding
the proposed revised design, the Exhibitor may choose to proceed setting up the Subject Booth in accordance with the previously approved design.
c. A special design booth will be subjected to a special rate as decided by IIEE, unless otherwise the rate shall be Php 250.00/sq. meter, which shall be on
top of the rate for the Subject Booth as indicated in the preceding page of this document.
d. Once the application and design/configuration of the Subject Booth is approved by IIEE and corresponding payments have been settled in accordance
with the terms of payment indicated in Item 4 of this document, the Exhibitor shall officially occupy and utilize the Subject Booth within the duration of
3E XPO 2023 from November 27 - December 2, 2023, in which case this application document shall be the official contract between the parties.
4. TERMS OF PAYMENT
a. Exhibit booth payments are due based on the selected Exhibit Package under Item A above. A deposit equivalent to at least fifty percent (50%) of the
rate under the availed Exhibit Package must be settled within fifteen (15) calendar days upon signing of the contract. The deposit shall be deductible
from the total amount of the contract. Full payment of the balance shall be settled on or before the deadline provided under the chosen payment
scheme.
b. With respect to the 4th scheme, a one percent (1%) per day finance charge shall be collected against the exhibitor/s with unpaid invoices between
November 16, 2023 and November 27, 2023.
c. Except in cases of fortuitous events or force majeure, failure of an Exhibitor to fully settle within the deadlines indicated in the chosen Exhibit Package
shall be considered a breach and terminates this agreement, subject to any obligations that may survive the termination. An official notice in writing will
be issued by IIEE to formalize the termination of the agreement.
d. The Exhibitor understands that in case of termination due to failure to settle payments, IIEE shall not refund any payment previously made. The
Exhibitor agrees to forfeit to IIEE any and all such previous payments as a penalty. The Exhibitor likewise recognizes and agrees to IIEE’s right to
entertain other interested exhibitor applicants to occupy or use the Subject Booth, without further notice to the exhibitor who remised its obligation to
pay.
e. IIEE reserves its right to refuse Exhibitor’s participation in the exposition should the latter be proven in arrears of any payment due to IIEE.
a. Exhibit Booths will be open to all trade visitors and must be manned at all times within the duration of the 3E XPO 2023 official dates and hours.
b. The Exhibitor shall strictly adhere to the minimum standards of health and safety protocols promulgated by the national and local governments and
those of the official venue’s policies and regulations. The Exhibitor understands and agrees that any violation and consequent liability therefore shall
not pose, give rise to, or be assigned as a liability of IIEE.
c. IIEE ensures thorough disinfection will be implemented within the premises of the 3E XPO 2023. The Exhibitor guarantees provision and availability of
sanitizers, alcohols and/or other disinfectants, and air purifiers at their respective Subject Booth/s.
d. IIEE and the Exhibitor shall declare any suspected and/or confirmed cases of Covid-19 among its employees/manpower within the duration of the event.
Both parties agree to waive any liability against each other for such unforeseen event.
e. All contests, promotions, demonstrations, and literature distributions must be confined to the Exhibitor’s contracted booth space.
f. Exhibits shall include descriptive and educational brochures. Demonstrations are to be straightforward, professional, and non-combative in nature.
Equipment for demonstrations must not pose a safety hazard.
g. The activities of the Exhibitors and the attire and demeanor of its models and demonstrators shall be consistent with the professional atmosphere of
the exposition.
h. Demonstrations, lectures, or presentations must be conducted by full-time employees of the Exhibitor. Active licensed practitioners who will be
assigned to man the booth/s as company representatives can gain CPD Credit Units. Details of the company representatives, such as Full Name, PRC
Number, copy of the PRC ID and Email Address must be provided by the exhibitor for registration and monitoring purposes.
i. It is the responsibility of the Exhibitor to secure prior approval from the management of IIEE for any product demonstration or presentation that is not
within standard industry procedures/practices and/or may be questionable in nature.
j. IIEE reserves the right to terminate objectionable presentations that violate laws or rights of other Exhibitors and may disrupt the 3E XPO 2022 until
such time as a mutually agreeable presentation may be developed. The Exhibitor waives any rights or claims of damages arising out of enforcement of
this rule.
8. TERMINATION
Any intent to downsize the area of the Subject Booth or cancel availment of a Subject Booth from 3E XPO 2023 must be requested in writing. The request must
be duly submitted and officially received by the IIEE Marketing Department. Upon approval of the downsizing of space, or withdrawal or cancellation, the
Exhibitor loses any and all rights to the exhibit space, and IIEE reserves the right to reassign the space to another exhibitor.
a. Any intent to reduce booth space must be submitted on or before August 1, 2023. Reduction of booth space will be treated as cancellation of the original
contract. The Exhibitor shall be relocated to a new booth location. A downsizing penalty of 25% of the difference in rates between the original contract
and the downsized booth space will be charged to the exhibitor.
b. The intent to cancel the application shall not extinguish the Exhibitor’s obligation to pay. The notification date of booth cancellation shall determine the
payment liability, viz:
1. On or before August 1 , 2023 – 50% of the contract price
2. On or before September 1, 2023 – 75% of the contract price
3. On or before October 1, 2023 – 100% of the contract price
c. In case termination is due to a fortuitous event, force majeure, or government pronouncements, the Exhibitor will be entitled to the following options:
1. The reservation fee or the payment settled may be reimbursed to the Exhibitor; or,
2. The Exhibitor may opt to not withdraw its payment. Instead, such payment shall be applied to the next 3E XPO event of IIEE. Availment of this option
must be communicated in writing and duly accepted by IIEE.
