SALES AND PURCHASE AGREEMENT

THIS AGREEMENT is made the 13th April 2019 on the day of Friday

BETWEEN

AZIRA BINTI ALI AZMAN (NRIC NO.: 871123-06-5470) having an address at No. 29,
Taman Melawati, 53100 Kuala Lumpur (hereinafter referred to as the “Seller”) of the one
part.

AND

BATRISYIA BINTI MOHD KHUSRI (NRIC NO.: 890920-03-5130) having an address at


No. 219, Taman Seroja, 53100 Kuala Lumpur (hereinafter referred to as the “Purchaser”) of
the other part.

WHEREAS:-

A. The Seller has bought a notebook, 13” MacBook Pro 2019 with 22 months warranty
for RM5,932 last month (hereinafter referred to as “The Item”).
B. The Purchaser wants to purchase the Item from the Seller.
C. The Seller is desirous to sell The Item because she needed a more upgraded version
compared to that notebook.
D. The Purchaser agreed to buy The Item.

NOW THIS AGREEMENT WITNESSETH as follows:

1. Introduction of the agreement


a. The Seller promoted the notebook online which is through Facebook and the
Purchaser was interested in buying the notebook then directly contacted the Seller
through Facebook Messenger.

2. Consideration
a. After some negotiations have been done, both parties have come to an agreement
to set the price at RM5,000 and the payment must be made by way of instalment
for RM1000 per month within five months.
3. Responsibilities and duties of parties
a. The Seller have to make sure that The Item must be in a good condition when it is
sold to The Purchaser.
b. The Purchaser must make instalment payments which is RM1000.00 per month
within five months to The Seller.
c. The payment shall be made through online banking every first week of each
month.
d. The Item shall be shipped and the Seller will not be responsible for the risk of loss
of or damage to the Item, until such time as the Item arrives at the Purchaser’s
address.

4. Representations and warranties


a. The Item specifications are a 13-inch MacBook Pro 2019, 128GB SSD Storage
and with a Pre-installed Software, Final Cut Pro X.
b. The Purchaser will liaise with the manufacturer in regards to the 22 months
warranty.
c. The Seller will not be liable for any maintenance of the Item. The Purchaser will
liaise with the manufacturer for such maintenance, in accordance with the
warranty.
d. This agreement may be signed in one or more counterparts. This agreement may
be signed electronically.

5. Indemnities and liabilities


a. The parties of this agreement agree and shall aware that all risks of the Item shall
pass from Seller to Buyer once delivered.
b. The parties will be considered liable for the act of breach of the contract.
c. Contractual indemnities obligates one parties to pay the damages or losses
sustained by another party as a result of certain future occurrences.

6. Duration of the contract


a. This contract shall remain in effect for one year from its effective date which is
13th April 2019.
b. The Seller will arrange and pay for the shipping of the Item to the Purchaser.
c. The agreement will be end after the last payment of The Item has already succeed
on the first week of August.

7. Terms/provisions pertaining to default/breach of both parties


a. Failure to deliver The Item to the Buyer after the contract has legally binding
between both parties.
b. Failure to make payment within the time prescribed as stated in the agreement.
c. If the defaulting party has allowed the contract to be in default, the defaulted party
has the right to demand the remedies.

8. Termination clause
a. If any party failed to comply with the terms of the agreements, the contract shall be
terminated.
b. The Seller shall pay remedies RM5,000.00 to the Buyer nonetheless the payment
has not fully succeed and vice versa.

9. Notice
a. The Agreement provided, shall be made in writing in English and be sent via
email, or personal delivery, to the address first written above or any other address
notified by the receiving party pursuant to this article.

10. Force Majure clause


a. Except for payments of outstanding balances when due, neither party will be
liable for any damages or penalties for delay in performance when such delay is
due to the elements, acts of God, floods, interruption of broadband or
telecommunication services, hackers or other circumstances outside the
reasonable control of the affected party.

11. Cost of document preparation


a. The Seller will pay for all cost of legal fees for the preparation of the document.
