CIRCULAR RESOLUTION (DCR 11/2022)

 
WE, THE UNDERSIGNED, BEING THE DIRECTORS OF THE ABOVE COMPANY FOR THE TIME
BEING, PURSUANT TO ARTICLE 35 OF THE COMPANY’S CONSTITUTION, HEREBY RESOLVE: -

WHEREAS: -

1. Reference to Explanatory Notes dated 1 December 2022 (EN) attached as per enclosures.

SUPPLEMENTARY AGREEMENT WITH SUBSEA CONNECTION SDN BHD IN RELATION TO THE

FRAMEWORK AGREEMENT FOR THE SUPPLY OF MANPOWER AND EQUIPMENT FOR DIVING
SERVICES FOR THE ROYAL MALAYSIAN NAVY SUBMARINES DATED 1 APRIL 2022

IT IS HEREBY RESOLVED: -

THAT approval be and is hereby given for the Company to enter the Supplementary Agreement to the
Framework Agreement for the supply of manpower and equipment for diving services for the Royal
Malaysian Navy Submarines dated 1 April 2022 (Contract No: BSES/SSC/002/2022) (Supplementary
Agreement) between Subsea Connection Sdn Bhd (Company No: 201301044641 (1074464-M) and the
Company, a copy of the Supplementary Agreement together with the Group Legal verification Memo are
attached herewith as per annexures to the EN.

THAT authority be and are hereby given to any one (1) of the Director and the Chief Executive Officer of
the Company to perform, execute and sign the Supplementary Agreement and any other relevant relating
thereto, for and on behalf of the Company.

THAT authority be and are hereby given to the Chief Executive Officer of the Company to execute any
amendments and/or changes which may arise after the above execution to this Supplementary
Agreement which do not affect the price and/or essence of the contract and is not detrimental to the
Company.

AND THAT the Common Seal of the Company be hereby authorised to be affixed in accordance with the
provisions of the Company’s Constitution onto the Supplementary Agreement and all other relevant
documents to which are required to be executed under Seal in connection therewith.
