This AGREEMENT is made and entered into this 21st day of February 2023 by and

The Diversified Agri-produce Enterprises Inc., with principal address at Lemery, Batangas herein
represented by its Executive Member, Atty. Grethel Baredo, herein after referred to as the
"SECOND PARTY";
WITNESSETH:
WHEREAS, the FIRST PARTY recognizes the need to strengthen its services and
network to make functional its research and extension development goals thru providing
Technical Assistance and Advisory, Human Capability Building and Literacy Services,
Sustainable Livelihood and Other Entrepreneurial Activities, Community Outreach and Support
Services, and Gender and Development;
WHEREAS, the FIRST PARTY is implementing its Extension Services Program with
the primary aim to promote extension effort to achieve education, literacy, health, livelihood,
guidance and counseling practices, safety, technical/vocational skills, and environmental
improvement through the development of a program of improving the capabilities and skills of
its target stakeholders;
WHEREAS, the FIRST PARTY and the SECOND PARTY recognize the beneficial
impact of the conduct of the activity, particularly, the
"Establishment of Rentable Cold Storage in Lemery, Batangas" in the lives of the
stakeholders, especially the underserved units;
WHEREAS, the FIRST PARTY has the expertise and manpower capabilities to
conduct extension activities that will benefit the underserved families; and
WHEREAS, the parties hereto have mutual concerns and pledge their cooperation and
support to the Activity.

NOW, THEREFORE, for and in consideration of the above premises all parties have
entered into this Memorandum of Agreement under the following terms and conditions:
FIRST PARTY through its Project Leaders, Assistant Project Leaders, and Coordinators
concerned hereby agree to:
a) Assign lecturers and faculty extensionist to discuss or share new ideas or insights
on the topics agreed upon for discussion, guide, advice, and assist the participants
of the extension project/activity;
b) Provide a copy of the approved project and activity proposal (PAP) of the
Activity;
c) Provide a total amount of Php 0.00 to support the conduct of the Activity.
Said amount shall cover the duration of the Activity on 2024;
d) Mobilize materials and human resources for smooth functioning of the Activity;
e) Provide feedback results to the SECOND PARTY for appropriate actions to
further strengthen implementation of the Activity;
f) Monitor the conduct of the Activity-based on the given schedule to ensure
sustainability; and
g) Acknowledge the efforts of the SECOND PARTY in all operational aspects of
the Activity.

SECTION III. MISCELLANEOUS PROVISIONS
a) It shall be the duty of the parties to conduct an assessment to determine the impact
and sustainability of the extension project/activity after three (3) years. For this
purpose, the parties shall assign qualified personnel to constitute a committee to
conduct this assessment. A report on the impact assessment with proper
recommendations shall be submitted to the management of the parties.
b) This Memorandum of Agreement shall be take effect from May 2022. The duration
herein set forth shall be without prejudice to the conduct of the Impact Assessment.
c) All parties shall observe the health and safety protocols in the conduct of the Activity
during the pandemic.
d) It is expressly agreed that all titles to the work and rights thereof produced under this
Agreement shall belong to the FIRST PARTY. No part of the said produced works
authored by the extensionists and other representatives can be reproduced in any way
without the express/written approval of the FIRST PARTY as the intellectual
property rights belong to the FIRST PARTY.
e) The parties shall hold each other free from and against any and all suits, claims, and
liabilities for any injury, death, loss, damage, or destruction that may arise from or
occasioned by the exercise of their rights and obligations under this Agreement
except when such damage or liability is attributable to the gross negligence or willful
misconduct of a Party or any of its officers, representatives or employees. This
obligation will survive the Agreement's termination.
g) This Agreement shall be binding to both parties and their respective legal successors
and assigns, and all rights and obligations of either party as herein provided shall not
be assigned to any party without prior written consent of the other party.
i) Both parties acknowledge that confidential information may be acquired during the
existence of this Agreement. Thus neither party shall, without the written consent of
the other, disclose any nor all parts of the confidential information acquired by the
parties, unless such persons are required to have the knowledge to such confidential
information for the parties to achieve their mutual purposes in accordance with the
Data Privacy Act of 2012.
