Dear Ms. San Diego,

With much disappointment, this is to notify you that due to severe financial losses and
constrain, we have decided to close business operations at Unit G-2, One Burgundy Plaza.
We are truly thankful some relief was accorded to the business when rent was not escalated
in the new term. However, the exercise was not enough to remedy losses due to high
monthly maintaining/operational costs and mainly due to inadequate monthly revenue. As
reference, please find below Chart of income and expenses from October 2018 to Sept
2019.

We respectfully ask if the 1 ½ month deposit can be applied to a full months’ worth of rent
in November and a half months’ rent for December. This gives us time and provision to earn
enough to pay for salaries owed to employees; related operational costs; and defray the
cost of winding down the business.

We understand that under section 4 of the Tenancy Agreement the “Lessor shall be entitled
to collect the monthly rent up to the expiration of the stipulated term” and “moreover, the
Security Deposit referred in Section 3.6 shall be forfeited in favour of the Lessor pursuant to
Section 5.5” of the Lease Agreement., Again, we ask for your openheartedness to extend
JCD BROOD Corporation leniency in exercising your right as the Lessor.

It will also be of great help if we will be allowed to complete the Egress during the last 2
weeks in December? The Directors in charge plan to return to Manila around this time to
personally conduct the egress and to ensure its smooth process.

It has been a challenging 1st year for Brood, nonetheless we would like to point out you
always have provided your support when it was needed. Thank you for your collaboration
and for doing business with Brood.
