TERMS OF REFERENCE

FOR PROVISION OF CONSULTING SERVICES TO NATIONAL TRANSMISSION AND


DESPATCH COMPANY (NTDC) FOR TECHNICAL SUPPORT, PROJECT MANAGEMENT
AND CONSTRUCTION SUPERVISION CONSULTANCY IN THE FRAME OF THE SECOND
POWER TRANSMISSION ENHANCEMENT INVESTMENT PROGRAM – TRANCHE 4 AND
POWER TRANSMISSION STRENGTHENING PROJECT

PROJECT MANAGEMENT CONSULTING SERVICES (PMC)

A. Background

1. The Government of the Islamic Republic of Pakistan (the Government) and Asian
Development Bank (ADB) has entered into an agreement for the implementation of the Second
Power Transmission Enhancement Investment Program – Tranche 4 on the terms and
conditions set forth in the ADB Loan Agreement. In parallel, the Government has requested
funding from ADB to finance the Power Transmission Strengthening Project subject to the ADB
Board of Directors’ consideration in Q32023.

2. The executing agency (EA) is National Transmission and Despatch Company


Limited (NTDC). A Project Management Unit (PMU) is already operational and established in
NTDC to implement the Investment Program supported through the MFF. The Report and
Recommendation of the President to the Board of Directors (RRP) of the captioned MFF can be
downloaded from (http://www.adb.org/projects/47282-003/main). Some information, such as the
procurement plan, is updated regularly.

3. A Project Management Consulting firm (Consultant) will be recruited under MFF2


Tranche 4 and the Power Transmission Strengthening Project (subject to its approval by ADB’s
Board of Directors and as part of the advance procurement) to provide overarching program
supervision, consultancy, construction supervision consulting services for the projects listed in
Table no. 1. The Consultant contract may be amended and extended to incorporate tasks
related to implementation of additional projects through contract variations. All recruitment of
consultants will be in accordance with ADB Procurement Policy: Goods, Works, Non-consulting
and Consulting Services (2017, as amended from time to time) and Procurement Regulations
for ADB Borrowers (2017, as amended from time to time).

4. The Consultant is required to have substantial experience in program and project


management and implementation in the energy sector covering development and rehabilitation
of transmission lines, substations, and distribution projects. Firms with experience in the region
are preferable.

B. Introduction

5. The program requiring consultancy services consists of two sub-programs. Sub-


Program A (SPA) is “tranche 4” projects and Sub-Program B (SPB) is “stand alone” projects.
The scope of services for SPB is conditional upon ADB loan approval and will be
included in the firm’s submission as an option only. The scope of services will comprise of
four (4) main areas:

1. The monitoring and management of the overall program (initially for only SPA).
2. The monitoring and management of SPA ADB funded contracts (Goods & Plant)

6. In essence, the consultant will play an overarching program management role & be
responsible for the monitoring & reporting of the overall program (both ADB &NTDC funded
elements). The construction supervision of the NTDC funded contracts is not part of this
scope.

7. Providing bespoke assistance to NTDC’s project management unit Consultant shall


always maintain the interests of the client as their overriding priority and shall have a fiduciary
duty to protect those interests in all their actions under this contract.

C. Scope of Services SPA

8. The Consultant shall act as a Program / Project Management Consultant (PMC) for the
project as specified in the SPA project list and provide all services as may be appropriate for a
person or firm acting in the role of a PMC (the “Services”) including but not limited to:

1. Monitoring and management of the overall program.

1.1. Consult with the Employer and establish an organization chart for the program
(ADB funded good packages, NTDC funded civil works, NTDC warehouse {where
equipment may be stored}, NTDC Project Management Unit, etc.) establishing the
identity of all key people involved in the project and their respective responsibilities, the
lines of reporting and communication and contractual relationships.

1.2. Prepare a strategic master programme for the projects detailing milestones for
equipment packages and civil works projects. The program is to be prepared taking
into consideration project procurement cycle. Monitor and update such strategic master
programmes as necessary throughout all stages of the project. The strategic master
programme should illustrate all significant milestone deliverables (with dates) for the
entire project. This may entail grouping data from different contracts into one
programme.

1.3. Prepare Programme Execution Plan (PEP, which inter alia, is to include how the
following is to be addressed throughout all stages of the project:

a) Project strategy and brief


b) Project organization
c) Project control including Project Management systems
d) Risk management
e) Planning and progress
f) Procurement of consultants, contractors and subcontractors
g) Cost and change management
h) Management of Quality
i) Management of Health and Safety
j) Management of Safeguards requirements
k) Management of Environmental requirements
l) Management of any security requirements
m) Management of compliance of all safeguard requirements
n) Management of compliance of all environmental requirements
o) Liaison with Local Authorities
p) Project close out and handover

1.4 Monitor and manage the overall program as per the approved PEP.

1.5 Organize the joint kick-off meeting with the Client (NTDC) and ADB in Lahore,
Pakistan with the objective to present the full Consultant’s team for the projects,
confirming the project schedules and roles and responsibilities, including
communication channels & reporting formats / frequency.

1.6 In the event of contractual disputes, assist the Client in collating and preparing
factual documentation and recommend a line of actions. If required by the employer,
the Consultants will attend hearings.

1.7 Provide the Employer with the anticipated cash flow to facilitate stage payments
under the Contracts and the consultant appointments.

1.8 Monitor the disbursement procedures that are agreed between the Client and the
Donor

2. The monitoring and management of SPA ADB funded Goods & Plant contracts.

2.1. Goods Contracts

2.1.1. Immediately after contract award, review the tender/contract documents


for the contracts. Review of the project should include site visits (for civil works
contracts) to the main project sites, identification of possible construction,
environmental and social hot spots to ensure proactive risk mitigation and efficient
implementation of the project.

2.1.2. Review bidding documents and produce a report 60 days after contract
signing with respect to:

 Quality of the documents, standard and in partial refer to the national and
international code and standard Performance of chosen goods, materials and
equipment with particular attention to avoid branding and single sourcing.
 Early identification of items with long delivery periods
 Compliance with relevant statutory requirements

2.1.3. Represent the Employer in all interactions with the supplier and any other
consultants.

2.1.4. Create a program detailing the delivery of all goods to either the NTDC
warehouse or individual sites.

2.1.5. Receive and check all supplier and other consultants’ requests for
payment and recommend payment to the Employer as appropriate.

2.1.6. Liaise as necessary with suppliers, consultants, contractors, and sub-


contractors throughout the project lifecycle to co-ordinate equipment delivery and
installation of all goods.

2.1.7. Assist the Employer in the consultation with any local or other Authority
as and when required on any matter relating to the program and scope of services.

2.1.8. Assist and report finding in settling any dispute or difference relating to
the projects which may arise between the Employer and the suppliers, consultants,
contractors and/or any of the subconsultants / subcontractors.

2.1.9. Where at any time, during projects lifecycles, there is a reported increase
in the project budget or cost to completion, provide all parties with detailed
particulars of such overspend and potential mitigation measures.

2.1.10. If requested by the employer, produce detailed request for proposals


containing, scopes of service, the Employer’s brief and pricing schedules to allow
competitive proposals to be obtained based on a thorough explanation of the
requirements and scope of the project and services to the satisfaction and approval
of the Employer.

2.1.11. Monitor compliance by the suppliers with all schedules and timetables.

2.1.12. Monitor the supplier’s obligation with respect to their obligations linked to
the delivery and installation of equipment on NTDC civil works sites.

2.1.13. Monitor and report on the performance of all suppliers in performing their
duties under their agreements with the Employer. If required advise on remedial and
other measures necessary to improve performance.

2.1.14. Receive instructions from the Employer and communicate these to the
relevant entities for action.

2.1.15. Report to the Employer on the cost and programme implications of any
variations and any delays in progress and advise the Employer on appropriate action
to overcome delays and mitigate costs.

2.2. Plant Contracts

2.2.1. Immediately after contract award, review the tender/contract documents


for the contracts. Review of the project should include site visits (for civil works
contracts) to the main project sites, identification of possible construction,
environmental and social hot spots to ensure proactive risk mitigation and efficient
implementation of the project.

2.2.2. Organize a joint kick-off meeting with the Client (NTDC) and ADB in

2.2.3. Review bidding documents and produce a report 60 days after contract

2.2.4. Review all project documents and within 14 days and submit a risk
register to the employer.

2.2.5. Within 14 days of mobilization visit all project sites (if applicable), report
on any LARP issues (if applicable) and propose mitigation measures to the
employer.

2.2.6. Within 28 days of contract award review the proposed transmission Line
routing details and substations layout and report any risks to the employer

2.2.7. If applicable, review the employer’s telecommunication and SCADA


systems requirements and report any risks to the employer

2.2.8. Verify project titles, location and status. Assist the Client with formal
handover of sites.

2.2.9. Review and approve all Contractor schedule submittals and comment on
implementation periods.

2.2.10. Review and make recommendation to employer on contractor’s proposed


subcontractors.

2.2.11. Monitor the contract and compliance by the contractors and the
consultants in relation their contract obligations.

2.2.12. Provide site inspection and quality control checking.

2.2.13. Attend all meetings as necessary in connection with the works including
site progress meetings, project design meetings and Employer’s meetings at the
request and presence of the Employer.

2.2.14. Monitor the progress of all Works against the overall master programme
or other agreed programmes and timetables. Formally report to the Employer on
progress at monthly intervals and monitor that all programmes and timetables are
adhered to.

2.2.15. Monitor the timely issue of construction information to the contractor(s) in


accordance with projects programme.

2.2.16. Receive instructions from the Employer and communicate these to the
relevant entities for action.

2.2.17. Manage the change management process and monitor the actual costs
incurred against the contract sum (including any provisional sums and Prime cost)
and advise the Employer at regular intervals thereon of any variance against
approved budget.

2.2.18. Report to the Employer on the cost and programme implications of any
variations and any delays in progress and advise the Employer on appropriate action
to overcome delays and mitigate costs.

2.2.19. Monitor and report the contractor’s activities in the coordination of the
work of statutory authorities and service providers with the project and use all
reasonable endeavors to assist the contractor to ensure that all equipment provided
by statutory authorities and service providers are installed on time.

2.2.20. Monitor and report that the testing and commissioning of all plant and
equipment is executed in accordance with the contract programme.

2.2.21. Receive, examine, and certify to the Employer all applications for
payments submitted by the consultants and contractors.

2.2.22. Verify any claims for extensions of time or additional payment made by
contractors under the terms of the construction contract and recommend to the
Employer thereon.

2.2.23. Verify all Contractor’s change requests and provide recommendations to


the Employer.

2.2.24. Assist the contractor in their obligations to ensure that statutory


requirements are met including obtaining all certifications.

2.2.25. Manage the preparation of the contractors‟ final accounts” including
finalization of the Projects Preliminary Acceptance Certificate

2.2.26. Review, approve and monitor the contractor’s environmental


management and monitoring plan to ensure compliance with the project’s IEE

2.2.27. Review, approve and monitor the contractor’s safeguards management


and monitoring plan to ensure compliance with LARP

2.2.28. Monitor the approved LARP and report any deviations.

2.2.29. Review and approve the contractor’s design drawings, calculations or any
other design related documentation submitted by the contractor

2.2.30. If applicable, notify the employer in a timely manner of any planned


electricity outages related to construction activities.

2.2.31. Liaise with the employer on necessary power outages and shutdown
requirements as required by the Contractors.

2.2.32. Investigate with the consultants and the Employer any site restrictions
arising from rights of way or other easements and arrangements for diversion of
paths, highways and services.

2.2.33. Review and approve contractor’s final surveys

2.2.34. Monitor the contractor’s design, procurement and installation of computer


and electronic control systems, advanced instrumentation, and man-machine
interphases.
2.2.35. Establish and maintain an up-to-date inventory of on-site equipment and
materials to be installed in the project.

2.2.36. Review and approve Contractor / sub-Contractor’s quality plan and quality
system and provision of recommendations on all quality issues.

2.2.37. Inspect equipment deliveries to ensure compliance with specifications.

2.2.38. Review and approve, the Contractor’s supply and installation schedules
or revisions.

2.2.39. Review the contractor’s schedule of personnel is as stated in the contract


and recommend changes in the contractor’s personnel where necessary.

2.2.40. Oversee the contractor’s design of the interface between the supplied
systems and Utilities’ (NTDC) systems as applicable.

2.2.41. After employer approval, issue the completion and take-over certificates.

2.2.42. If applicable, Issue joint measurement certificates (JMCs) for work


completed by the Contractor(s) at site.

2.2.43. Review for adequacy and completeness the as-built drawings, operation
and maintenance manuals provided by contractors.

2.2.44. Ensure that the Contractors have submitted final as-built drawings,
operation, and maintenance manuals as per the requirement and quantity specified
in the contracts.

2.2.45. Ensure availability of hand-over requirements including manuals,


drawings, spare parts, etc. as required by the operations departments of NTDC.

2.2.46. Inspect regularly the records of the contractor’s site activities (site diaries)
and ensure that they adequately document the progress and performance of the
work. Recommend corrections/changes to the records as required.

2.2.47. Ensure quality assurance of all equipment and material to be supplied


under the contracts.

2.2.48. Monitor contractor’s compliance and progress in equipment


manufacturing.

2.2.49. Examining and approve the program for factory testing and acceptance
proposed by the contractor.

2.2.50. Coordinating with contractors and the employer prior to and during
Factory Tests (FAT) and Type Testing of major equipment or plant (i.e., power
transformer, circuit breakers, measuring transformers, protection and control panels,
SCADA, telecom equipment, underground cables, overhead power conductors, steel
towers, insulators, and other relevant equipment) to be supplied by Contractors.

2.2.51. Monitor contractor’s compliance with deadlines for manufacturing, testing,


shipping, and supplying equipment on site.

2.2.52. Monitor that equipment and materials conform with contract specifications
and standards.

2.2.53. Monitor that the equipment and materials do not contain any
internationally banned chemicals or substances.

2.2.54. Review and approve the program for factory testing and acceptance
proposed by the contractor, participate in works acceptance procedures and draw up
the reports for each works inspection.

2.2.55. Ensure that all equipment and materials have been subjected to type
tests already and certified and any additional test described in the Bid documents
have been undertaken.

2.2.56. Participate in factory tests for main items of equipment at


contractor/suppliers’ factories in collaboration with the Client

Inspection, Testing and Acceptance on Shipment

2.2.57. Review and certify tower type tests.

2.2.58. Conduct factory inspections and performance tests within the framework
of the supply contracts.

2.2.59. Conduct post shipment material quality inspection audits prior to


acceptance of the project materials and equipment on site.

2.2.60. Ensure that equipment and materials delivered on site are in conformity
with stipulated specifications and work schedules.

2.2.61. Inspect and monitor damages, defects and accordingly reject


unacceptable materials, and ensure corresponding replacement of damaged
equipment and materials

2.2.62. Issue material receipt certificates (MRC) for goods

2.2.63. Monitor that contractor has undertaken correct storage of materials and
equipment as per the manufacturer’s storage procedure and recommendation.

2.2.64. Check the quantities of equipment/materials supplied.

2.2.65. Witness and approve the contractor on site tests and commissioning for
each equipment, accessories and materials covered by the Project.

2.2.66. Carry out final inspection of the installation works, including deficiency
lists, witness commissioning tests, perform acceptance procedures for all equipment,
and issue the corresponding completion certificates in accordance with the relevant
conditions of contract with prior consent of the Client.

2.2.67. Review and finalize shop and site performance test procedure for all
major equipment and systems, as well as the review and approval of the
manufacturer’s inspection / test report and test certificates.

Commissioning and Handing Over of Installations

2.2.68. Review and approve contractor’s commissioning plan and make comment
to the employer.

2.2.69. Monitor and report upon the progress in relation to the consultant’s /
contractor’s close outs.
2.2.70. At the completion of supply and installation works by the contractors of
the different project packages, the Consultant shall assist the employer with all
activities related to inspection, testing and commissioning of all equipment and
installations and ensure that such installations and equipment are properly handed
over to the employer in acceptable and satisfactory conditions to the requirements
of the respective contracts.

2.2.71. Create a handover procedure and checklist for proper documentation of


the handed over facilities.

2.2.72. Upon completion of the project construction


activities of all Contracts, the Consultant shall prepare a
Project Completion Report (PCR) in concurrence with
ADB’s Guidelines, which will form a comprehensive
record of the construction and installation works
accomplished.

2.2.73. Ensure that all the sites (if any) and support
facilities (storage yards, etc.) are restored and
decommissioned in line with the Contractors
decommissioning plans.

2.2.74. Review and approval of the Post-Construction


Documentation

Defects Liability Stage (following practical completion of the works)

2.2.75. Following practical completion of the works, provide
assistance to the Employer during the initial occupancy
of the building liaising as necessary with the consultants,
facilities manager and others to provide a seamless
transfer of the Employer’s operations.

2.2.76. Monitor and report upon the progress in relation to


the contractors close out defects and the monitoring of
defects throughout the defects and liability period.

2.2.77. Manage the completion and agreement of all final


accounts in relation to consultants’ services and
Contractors’ works within a target 3-month period
following occupation of the works.

3. The monitoring of NTDC funded civil works contracts.

These contracts will have NTDC funded construction supervision consultants in place.
Interaction and coordination with these consultants will be fundamental.

3.1 Review bidding documents, bid evaluation reports and other procurement
documents to determine alignment to ADB’s overarching procurement
principles. Propose any changes to ensure alignment.

3.2 Receive and validate site progress reports.

3.3 Utilizing the employer’s project monitoring dashboard (PMD) system, provide

4. Bespoke assistance to NTDC’s project management unit

Gender Monitoring

4.1. Review the gender features and Gender Action Plan (GAP) implementation
practices, institutional policies and strategies of Executing Agency (EA) and
Implementing Agencies (IAs) and identify gaps to address areas of improvement.

4.2. Prepare poverty, social and gender assessment (PSGA) report and collate baseline
data (sex-disaggregated) relevant to the scope and design of the proposed MFFII
Tranche 4 and PTSP projects, Design and Monitoring Framework (DMF) and GAP.

4.3. Identify key gender entry points relevant to project’s overall scope and design and
prepare the GAP for the ensuing project in close coordination with the consultants’
team and NTDC.

4.4. Support NTDC in conducting separate consultations with women staff and
communities and recommend the gender entry points to be incorporated in the GAP
of the proposed projects in the program.

4.5. Conduct a community socio-economic assessment for preparing a community-


based skills development program (relevant to the programs / projects’ overall
scope and design) for the local communities, particularly women/girls and
vulnerable segments of the population.

4.6. Assess the NTD’s existing HR policies, internship programs, training programs (from
a gender lens) and gender-specific initiatives

4.7. Based on the assessment, identify the areas for improvement in relation to NTDC’s
HR policies, internship programs, training programs as part of the gender actions
under the GAP.

4.8. Work closely with NTDC to ensure that the communication/social safeguard plan of
the proposed project has special initiatives to reach out women, people with
disabilities, and other vulnerable segments of the population

5. Contract Management Plan

5.1. Ensure that all contractors and suppliers (both ADB funded and NTDC funded
contracts) are using the approved contract management plan (CMP). Ensure that
the CMP is submitted and approved within 14 days of contract signing. Sample
CMP template is attached for reference.

5.2. Prepare clarifications/amendments of Contract Documents and preparation of


change order request for the different Project Components as and when needed
for the Client.

6. Security (if applicable)

6.1. Review contractor’s / consultant’s security plan and make a recommendation to


the employer.

6.2. Monitor security plan deliverables.

7. Risk Management

7.1. Identify, manage, and document, in consultation with the contractor and consultants,
risks to the Project in the form of a risk register (including risk weightings and
potential financial impacts) and recommend mitigation measures in respect of
Project risks. Lead monthly risk management meetings under the direction of the
Employer and attended by the consultants (including the contractor in the
construction phase) throughout the duration of the projects as necessary at intervals
not exceeding one month. The risk registry will be imputed & maintained by utilizing
the employer’s web-based dashboard monitoring (PMD) system.

8. HSE

8.1. Review the contractor’s comprehensive site-specific Health and Safety plan for the
Projects and in consultation with the employer approve the plan. Communicate the
approved plan to all consultants and contractors throughout all project stages.
Request the contractor to update the Health and Safety Plan if unforeseen events
occur and obtain approval from the employer for updated plan. Undertake formal
monthly health & safety audits throughout all stages of the Project to provide the
consultant and contractor (s) with advice and observations for the improvement of
health, safety, and tidiness on site.

8.2. Input monthly HSE statistics for all projects by utilizing the employer’s web-
based dashboard monitoring (PMD) system.

9. Reports
The consultant shall provide (but not limited to) the following reports:

9.1. Provide the Employer with detailed monthly progress reports, including (without
limitation) details concerning the progress of the design and construction, forecast
completion date, a project cost report identifying forecast cost to completion and
variation trends, risk register and mitigation action, health and safety issues, and
recommendations for mitigation measures if required. Monthly project report
template is attached as Appendix A. The consultant must utilize the employer’s
web-based dashboard monitoring (PMD) tool for the creation and submission
of the monthly progress reports. This tool will be provided free of charge and
is to be used to report on (monthly) all of the projects in the program (ADB &
NTDC funded).

1.21 Under the directions and the presence of the Employer, organize, chair, minute
and participate in periodic meetings, throughout all project stages, which are
required to perform these services, providing up to date management reports and
advice on progress and any required risk mitigation measures. The meetings shall
include, but not be limited to, the following:

a) Monthly progress meetings with the Employer and consultants / contractor


b) Value Engineering workshops during the concept and schematic design
stages (if applicable).
c) Monthly Risk Management meetings
d) Startup meetings with each consultant and contractor
e) Further meetings with each Contractor and the consultants as appropriate to
discuss, review and monitor the progress of the project.

9.2. Monthly Project Monitoring Report should be as per the approved Contract
Management Plan

9.3. Programme Execution Plan

9.4. Contract Familiarization Report and Presentation (Due 14 Days after contract
award)

9.4.1. Submit a report to the employer that will include but not be limited
to the adequacy of the contract and project documents.

9.4.2. Make a presentation to the employer demonstrating the


consultant’s understanding of the project.

9.5. Personnel and Mobilization Report (Due 28 Days after contract award)

9.5.1. Submit a detailed report clearly illustrating the consultant team’s


mobilization over the course of the project. The mobilization must be
aligned with the activities, deliverables and deadlines associated with the
project. The mobilization schedule should be updated throughout the life
of the project.

9.6. Final Project Completion Report (PCR)

9.6.1. This report will summarize all aspects of each project’s


implementation, risks encountered, mitigation measures employed, final
costs, and comparison of the initial cost against final cost, suggestions
and recommendations for future design and construction techniques and
routine maintenance practice to be followed after the completion of the
work.
The draft project completion report shall be submitted two (2) months
after commissioning and the final version immediately following the expiry
of the defects liability period.
The report will incorporate comments from NTDC and 10 (ten) copies of
the final PCR will be printed two weeks after comments are submitted to
be delivered to employer.

The approval of the project completion reports by emplyer and the Donor
shall be a payment event of the consultant’s invoice.

9.7. Consultant’s Work Completion Report

The Consultant shall prepare a comprehensive final completion report of the


construction contract packages after completion of all civil works packages.
The report shall incorporate summaries of the methods of construction, the
construction supervision performed, reference to as-built drawings of the
construction, problems encountered and solutions undertaken thereon and
recommendations for future projects of similar nature to be undertaken by
NTDC. The report shall also summarize the details of actions taken for
capacity development assignments and future capacity development on
these aspects.
The Consultant shall attach the self-appraisal report to the Final Report in
compliance with ADB requirements for project completion report of executing
agencies, including detailed data and information gathered and recorded
during the project implementation.

D. Role of Parties

1. Consultant

a) The Consultant reports strictly to NTDC (The employer).

2. NTDC

a) National Transmission and Despatch Company Limited (NTDC) is the Owner of


the Project and Employer of the Projects under the scope of this assignment.

b) NTDC shall use its best efforts to ensure that the Government of the Islamic
Republic of Pakistan will grant the Consultants whose names shall be
communicated in advance, the following facilities and exemptions:

i. Visas and Work Permits


ii. Provide access to relevant technical information
iii. Control the disbursement of project funds
iv. Liaise between the Consultants and relevant parties

E. Input by the Consultant

Duration of the consulting services is approximately 36 months. The team composition of the
International and National consultants along with their estimated person-months (PM) is
provided in the Table below. Consultant may propose changes in person-month input of
consultants to effectively deliver the optimized outputs. However, the total input from the
international and national consultants should remain as ??? PM and ???? PM respectively.

The Client will provide the Consultant, free of charge, with relevant data, information and
documents which the Consultant may reasonably request e.g., power system data,
transmission/sub-station design specifications, sector data, details of any business planning and
future growth, financial records to NTDC, and any other planning information like land
ownership and acquisition, legal requirements, permits needed and granted, public information,
among others. The Client will arrange and facilitate meetings with relevant institutions and
authorities as required and will provide in such context where possible and requested by the
Consultant translation services which will be at Consultants expense.

F. Staffing Profile of Consultant

It is required that the Consultant has experience in design and supervision of outage
management strategies, construction of new High, Medium and low Voltage Transmission,
Substation Systems and distribution systems (20 kV), for voltage level of 220kV and above,
including experience in training of power utility personnel. The Consultant will deploy a team of
well qualified personnel/experts to undertake field activities who will be supported by a
competent team at the consultant’s home office.

There is a total of ?? projects under this assignment. The team of the Consultants is led by a
Project Director, supported by Project Managers and other technical experts.

All National Consultant roles will be based inside Pakistan, either in Lahore at NTDC’s Head
Quarters or on site. A high percentage of International staff will also be required to be present
in Pakistan on a full-time basis. Where appropriate, a percentage of the International
Consultant’s time may be spent in their home country, but this will require preapproval from
NTDC.

During annual leaves, the Project Director and the Project Managers shall be deputized by
short-term replacement experts duly approved by the client.

3. Must have experience in the role of a Transmission Lines engineer as part of a client-

5. Preferably has the following:

a. experience and detailed knowledge of cable technology and its application in


electricity transmission systems (e.g., oil-filled, MI, XLPE) including cable
ratings.

b. specific knowledge and experiences on HVDC cable technology.

c. broad knowledge of transmission technologies and a good understanding of


how these technologies influence the operation and performance of the
transmission system.

d. proven experience of promoting the introduction of appropriate new technology


and techniques associated within area of expertise.

ADB and in particular Safeguard Policy Statement (SPS) of 2009 that governs the
environmental safeguards of ADB's operations to avoid, or when avoidance is not
possible, to minimize and mitigate adverse project impacts on the environment and
affected people, and to help borrowers strengthen their safeguard systems and
develop the capacity to manage environmental and social risks.

4. Experience in Pakistan or other post-conflict environment is desired.

Major Responsibilities

Gender Expert

Qualifications & Experience

1. Must have a Masters in sociology Economics, Social Development, Gender or another


relevant field.

2. Preferably have 10 years of experience in the social development field

3. Preferably have 5 years of gender specific experience

4. Experience in activities related to large linear infrastructure projects is preferable.

5. Experience in Pakistan or region is desired.

HSE Specialist

Qualifications & Experience

1. Must have a degree in Environment, Occupational Safety & Health. Engineering or relevant

3. Report the performance status of Project HSE and relevant issues

Note - Any project team members deploying to Pakistan will also be required to obtain security
clearance. This can be arranged but will require the completion of several forms by the
individual. This process can take up to 3 months and so time should be factored in for this.

Contracts Management Specialist

Qualifications & Experience

1. Must have a degree in a related field.

2. Must have a minimum of 10 years in the execution and administration of large and
complex construction contracts.

3. Must have experience with FIDIC (or similar) contracts.

Major Responsibilities

1. Ensure that contracts are executed as per the relevant clauses.

2. Draft contractual correspondence to the contractor, employer or any other entities


connected to the contracts.

H. Logistics, Office, and Accommodation

The Client shall provide Office Space at their office when required, however, the Consultant
shall make its own arrangement for furnishing, equipment facilities (phone, e-mail, internet,
computers, copying, editing, etc.) Residential accommodation is not provided by the client.
Office space on site shall be provided by the Contractor.

I. Description of Payment Items

J. Admin Staff

Consultant shall hire admin staff as required by the project for providing document management
system services as well as for other admin services.

K. Logistics, Admin and Office Manager

Consultant shall hire one Logistics, Admin and Office Manager during the entire period of the
project in order to manage the day-to-day office activities pertaining to logistics, admin and
office management.

L. Support Services and Facilities to be provided by NTDC

NTDC would only provide office space at the NTDC Headquarters (if required). Consultant is
responsible for furnishing and equipment.

M. Consultant’s Proposal Submission

The recruitment of consultant will be in accordance with ADB’s Guidelines on the Use of
Consultants (2017), as amended from time to time, using the quality- and cost-based selection
(QCBS) method (80:20). The proposal will be a full technical proposal.

N. Training and Knowledge Transfer

As per outlined in the Scope of Services
