Price basis: Net, duty and tax unpaid
The prices are based on the use of DIOSNA standard components, the design is in
accordance with the EU‐Norms & Standards valid on the offer date, the documentation is
delivered in electronic form.
In case of acute supply bottlenecks on the world market, which would directly lead to a
delay in the delivery date, we reserve the right, after your prior consultation, to use
components which deviate from the DIOSNA standard components.
This will allow us to meet the agreed delivery date but shall not result in a price
adjustment, nor shall this change affect the use of the equipment assumed under the
contract.
The contract price will be indexed based on the “Index of Producer Prices for Industrial
Products (Domestic Sales)”. This index is compiled monthly by the German Federal
Statistical Office under GP no. 28 („Maschinen (Maschinenbauerzeugnisse)“) and is

available at „https://www.destatis.de/DE/Themen/Wirtschaft/Preise /Erzeugerpreisindex‐

The adjustment of the sales price takes place on unilateral request in the amount of the
proportional index development, if the index rises or falls by more than 5 % between
submission of the quotation and the contractual delivery date.
Precondition is that the agreed delivery period is more than four months. The proportional
index development shall be calculated according to the following formula: “New index 
figure /Old index figure x 100 – 100”.
If the index rises or falls by more than 20 % during the said period and a party requests a
respective price adjustment, the other party may cancel the contract in writing by taking into
account the accrued costs up to the termination date.
In case the chosen index disappears, the parties shall agree on a comparable index.

Payment terms: 100 % ‐ on notification of availability of dispatch (before dispatch)

Said payment terms apply subject to a positive credit rating

Warranty for defects:The liability is limited to defects which appear within a period of 12 months from shipment,
starting latest 1 month after notice of readiness for dispatch. Claims for damages due to
negligently caused death or personal injury, gross negligence or
intent or the fraudulent concealment of defects shall be subject to the statutory
prescription periods. Place of subsequent performance is the original place of delivery.
DIOSNA has the choice of the type of subsequent performance.
Option: [     ] We hereby confirm that an extended warranty for defects of 24 months applies
acc. to the conditions of above section “warranty for defects”. Precondition is that a service
contract is received signed with acceptance of this quotation.
Limitation of NOTWITHSTANDING ANYTHING TO THE CONTRARY, DIOSNA’S OVERALL LIABILITY SHALL
liability: BE LIMITED TO A MAXIMUM OF 100% OF THE CONTRACT PRICE (IN CASE OF A PRICE <
EUR 1 Mio. TO A MAXIMUM OF EUR 1 Mio.), EXCEPT IN CASE OF GROSS NEGLIGENCE
OR WILLFUL MISCONDUCT, NEGLIGENTLY CAUSED DEATH OR PERSONAL INJURY, DEFECTS
DIOSNA HAS FRAUDULENTLY CONCEALED, CASES WHERE A SPECIFIC GUARANTEE
UNDERTAKING EXISTS (EXPLICIT SEPARATE, ADDITIONAL UNDERTAKING GOING BEYOND
THE STATUTORY WARRANTY HEREIN) OR DEFECTIVE GOODS CAUSING DEATH, INJURY OR
DAMAGE PURSUANT TO THE PRODUCT LIABILITY ACT. DIOSNA’S LIABILITY FOR DAMAGE
THAT HAS NOT OCCURRED TO THE GOODS THEMSELVES SHALL BE EXCLUDED UNLESS
ABOVE‐STATED EXCEPTIONS PROVIDE OTHERWISE.
