DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT, made and entered by and between:

WITNESSETH:

WHEREAS, the VENDOR is the absolute and registered owner of a parcel of

Title No. [title number] of the Registry of Deeds for the Province of [Province] and
the VENDEE desires to purchase the same under the following terms and conditions:

follows, to wit:

2. That a DEED OF ABSOLUTE SALE shall be executed by the VENDOR upon the
full payment of the consideration sale of the afore-described parcel of land by
the VENDEE;

3. That should the VENDEE fail to pay the remaining balance of the consideration
of sale of the afore-described parcel of land, the VENDOR shall return the total
amount paid in advance in favor of the VENDEE within a period of [period in

4. That the VENDEE shall enjoy physical possession over the afore-described
parcel of land.

WHEREAS, this agreement is made, entered and executed by both parties in

good faith and any and all stipulations set forth herein shall be duly complied with
