AGREEMENT FOR SALE

THIS AGREEMENT FOR SALE is made and entered into at Mumbai on this
Day of November, 2022,

BETWEEN

Mrs. Manju Khanna, an adult, aged about 69 years, PAN NO. ATFPK2866C
Indian Inhabitant, having address at B-231 A, Ground Floor, Greater
Kailash Part - 1, South Delhi, Delhi - 110048 , hereinafter referred to as
the "SELLER" (which expression unless it be repugnant to the context or
meaning thereof shall mean and include her respective heirs, executors,
administrators and assigns) of the ONE PART;

AND

Manorama Ravindra Thakur, an adult, aged about 41 years, PAN NO.


ACGPT2712G, Indian Inhabitant, having address at 504/A, Cosmos CHS
Ltd, 3rd Cross Lane, Lokhandwala Complex, Opp High Point Restaurant,
Andheri West, Mumbai - 400058,, hereinafter referred to as the
"PURCHASER" (which expression unless repugnant to the context or
meaning thereof shall mean and include their respective heirs, executors,
administrators and assigns) of the OTHER PART;

AND

1) Shachika Khanna through its Power of attorney Mrs. Manju Khanna, an


adult, aged about 69 years, PAN NO. ATFPK2866C Indian Inhabitant, having
address at B-231 A, Ground Floor, Greater Kailash Part - 1, South Delhi, Delhi –
110048,
2) Shivani Khanna Stumpf through its Power of attorney Mrs. Manju
Khanna, an adult, aged about 69 years, PAN NO. ATFPK2866C Indian
Inhabitant, having address at B-231 A, Ground Floor, Greater Kailash Part - 1,
South Delhi, Delhi – 110048, hereinafter called and referred to as the
“CONFIRMING PARTIES” (which expression unless repugnant to the context
or meaning thereof shall mean and include her heirs, executors,
administrators and assigns of the THIRD PART;

WHEREAS the SELLER is the registered member of Panorama Tower Co-
Operative Housing Society Ltd., registered with Dy. Registrar of Societies
at Mumbai, under the Maharashtra Co-Operative Societies Act 1960. Vide
Registration No. BOM / DDR (111) / HSG / TC / 213 /1993-94 (hereinafter
referred to as ''SAID SOCIETY'') and by virtue of being the member of the
said society, she has been holding on ownership basis Flat No. 93, 9th Floor,
Panorama Towers CHS Ltd, 4th Cross Road, Swami Samarath Nagar,
Lokhandwala Complex, Andheri West, Mumbai - 400053, admeasuring
Built-up 538 sq.ft / Built-up i.e. 50 sq. mtrs, hereinafter referred to as the
"SAID FLAT".

AND WHEREAS the above said flat have been Declare by SELLER from M/s.
Harisingani Development Corporation , vide Declaration dated 11th day of
December, 2009, duly Registered with the concerned Joint Sub-Register Of Assurances,
Mumbai, under Document Registration No. BDR1-12448-2009.

AND WHEREAS the above said flat have been purchased by Dr. Indresh J.
Khanna from M/s. Harisingani Development Corporation vide
Agreement for Sale dated 8th day of November, 1986.

AND WHEREAS the SELLER has since paid the full and entire
consideration thereof to the concerned authorities and is presently holding
the said Flat on Ownership Basis.

AND WHEREAS by virtue of being the member of the Said Society viz.
Panorama Tower Co-Operative Housing Society Ltd., the SELLER has been
issued Share Certificate No. 35 for fully paid Five shares of Rs. 50/- Each
bearing distinctive Nos. 171 to 175 (Both Inclusive).

AND WHEREAS the SELLER is absolutely seized and possessed of and well
and sufficiently entitled to the Said Flat and the said shares of the Society
viz. Panorama Tower Co-Operative Housing Society Ltd.

AND WHEREAS the SELLER has represented to the PURCHASER that she
has been holding the said flat along with the Five shares as stated
hereinabove and being the member of the said society, she is desirous of
disposing off her rights, title and interest in the said flat along with the Five
shares and the membership of the said Society and the PURCHASER herein
have agreed to acquire all the rights, title and interest of the SELLER in the
said Flat along with Five shares, issued to their and the membership of the

said society on the following terms and conditions:

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY


AND BETWEEN THE PARTIES HERETO AS UNDER :

1. The SELLER hereby agrees to sell, transfer and assign all her rights,
title and interest in the Said Flat being Flat No. 93, 9th Floor,
Panorama Towers CHS Ltd, 4th Cross Road, Swami Samarath
Nagar, Lokhandwala Complex, Andheri West, Mumbai - 400053.
The PURCHASER have agreed to acquire all their rights, title and
interest in the said flat, along with the Five shares and the
membership of the said Society.

2. The SELLER agrees to transfer all her rights, title and interest in the
Said Flat along with Five shares of the said society in Share Certificate
No. 35, bearing distinctive nos. from 171 to 175 (Both Inclusive)
pertaining to the use and occupation of the said Flat being Flat No.
93, 9th Floor, Panorama Towers CHS Ltd, 4th Cross Road, Swami
Samarath Nagar, Lokhandwala Complex, Andheri West, Mumbai -
400053, and the membership of the said society for a total
consideration of Rs. 1,20,00,000/- (One Crore Twenty Lakhs
Only) and the PURCHASER herein has agreed to acquire the same on
payment of Rs. 1,20,00,000/- (One Crore Twenty Lakhs Only)

3. The SELLER here by agrees to sell and transfer all her beneficial
rights, title and interest in respect of said Flat No. 93, 9th Floor,
Panorama Towers CHS Ltd, 4th Cross Road, Swami Samarath Nagar,
Lokhandwala Complex, Andheri West, Mumbai - 400053, for a total
consideration of Rs. 1,20,00,000/- (One Crore Twenty Lakhs Only)
being the total consideration payable by the PURCHASER as under:

a. Out of the said agreed amount the PURCHASER have paid a sum of Rs.
5,00,000/- (Five Lakhs Only) to the SELLER as part token
consideration.

b. The PURCHASER also hereby agrees to pay the SELLER the balance amount
Rs. 1,04,84,000/- (One Crore Four Lakhs Eighty Four
Thousand Only) to the SELLER after deducting the TDS as per the
provision of authorities on receipt of the peaceful and vacant possession of
the said flat.

4. The PURCHASER hereby undertake to pay Rs. 1,20,000/- (Rupees One


Lakhs Twenty Thousand Only) being 1% Tax Deducted as Source (TDS)
of the total consideration amount inclusive of the TDS amount in
compliance with the provision of Section 194-I A of Income Tax Act,

1961 and the said amount of Rs. 1,20,000/- (Rupees One Lakhs
Twenty Thousand Only) will be deposited by the PURCHASER with
the Government on behalf of the SELLER and provide a challan for the
same.

5. The PURCHASER hereby undertake to pay the balance consideration


amount of Rs. 8,96,000/- (Eight Lakhs Ninety Six Thousand Only) to the
SELLER by obtaining loan from Bank/Financial Institution within 45
working days from the date of execution of this Agreement for Sale.

6. That the SELLER and CONFIRMING PARTIES hereby undertake to


hand over the vacant and physical possession of the said Flat to the
PURCHASER only on receipt of balance payment.

7. That the SELLER and CONFIRMING PARTIES hereby further agree


to sign and execute any other and further deeds and final documents
in favour of the PURCHASER for the effectual transfer of the above
said Flat and membership in the name of the PURCHASER on receipt
of the balance consideration.

8. That the SELLER and CONFIRMING PARTIES hereby declare that


SELLER and CONFIRMING PARTIES themself, their Family
Members, Nominees etc. have no objection for the above transfer and
none of them shall claim any rights, title and interest in the said Flat.

9. The SELLER and CONFIRMING PARTIES hereby declare that: -

a) They have not entered any agreement/s with any other person/s
in respect of the above said Flat.
b) They have not transferred and assigned their rights, title and
interest in respect of the above said Flat with any other
person/s.
c) They has not mortgaged, alienated or charged with the above
said Flat or any part thereof with any person/s and the same is
free from all encumbrances.
d) The SELLER and CONFIRMING PARTIES declare that except
them no other person/s have any rights in the above said Flat
and the SELLER being the owner of the above said Flat have got
full and absolute right to assign and transfer all the rights, title
and interest in the above said Flat in favour of the PURCHASER;
e) The SELLER and CONFIRMING PARTIES thereby undertakes
and declares that any nomination, assignments, or will in regard
to the said Flat and the shares if made by the SELLER or her

Constituted attorney with the said Society, Person or Persons
other than the PURCHASER shall hereafter be deemed to be in -
operative cancelled, revoked, withdrawn and null and void.
f) That no suit, proceedings, litigations etc. are pending against the
said Flat in any Court of law.

10. That the SELLER and CONFIRMING PARTIES hereby declare that
from the date of execution of final documents and on receipt of the
balance consideration amount, the SELLER shall have no more claim,
right, title and interest in the above said Flat and the PURCHASER
shall be entitled to hold, occupy, use and enjoy the same peacefully
without any interruption from the SELLER or any other person/s
claiming through or under her;

11. That the SELLER and CONFIRMING PARTIES hereby further


undertake to pay and clear all the dues, taxes, outgoings, electricity
charges, Society charges etc. in respect of the above said Flat up to
date till the date of hand over of the possession of the said Flat to the
PURCHASER and thereafter the PURCHASER shall be responsible for
the payments of all the dues, taxes, outgoings, electricity charges,
society charges etc. of the said Flat directly to the Concerned
authorities for which the SELLER and CONFIRMING PARTIES shall
not be held responsible.

12. That the Stamp duty/registration charges, shall be paid by the


PURCHASER and the society’s transfer charges shall be borne by
both the parties equally i.e. 50% each.

13. The PURCHASER hereby undertakes to join the membership of the


housing society known as Panorama Tower Co- operative Housing
Society Ltd, and abide by the rules, regulations and bye-laws of the
said society and discharge all the liabilities in respect of the said Flat
from time to time.

14. The SELLER and CONFIRMING PARTIES also declares that they
have no objection of whatsoever nature to transfer of the
membership/shares of the Panorama Tower Co- operative Housing
Society Ltd,, in respect of the said Flat.

15. That the SELLER and CONFIRMING PARTIES hereby further


undertake to co-operate with PURCHASER for the
transfer/regularization of the above said Flat and its cost
price/deposit etc. to the name of the PURCHASER .

16. That the SELLER and CONFIRMING PARTIES have no objection for
transfer of Electric Meter in the names of the PURCHASER along with
the Security Deposit on receipt of the balance consideration.

17. That the SELLER and CONFIRMING PARTIES hereby and the
PURCHASER hereby undertakes to abide by the terms and
conditions hereinabove written and that the time is the essence of
this Agreement for sale.

18. In exercise of the powers, the Government of Maharashtra has


decided to reduce the stamp duty by 1% as otherwise chargeable
under clause (b) of Article 25 of the Maharashtra Stamp Act, (LX of
1958) and in exercise of the powers conferred by clause (a) of
Section 9 of the Maharashtra Stamp Act, the Government of
Maharashtra reduces the Stamp Duty w.e.f. 1st April 2021 by 1% as
otherwise chargeable under clause (b) of Article 25 of Schedule I to
the said Act on the document or instrument of Conveyance or
Agreement for Sale of any type of residential property executed or
being executed between the Woman/Women PURCHASER/s and any
SELLER or other executant of the said Document or instrument;
subject to the following condition: 1) that no refund shall be granted
where the stamp duty has been paid by any of the parties to the said
instrument, prior to the date of publication of the Order in the
Maharashtra Government Gazette; 2) Any Woman Women
PURCHASER/s of the said Instrument availing of remission in the
stamp duty provided by this Order shall not sell any such type of
residential unit to any subsequent male PURCHASER's within a
period of 15 years from the date of Purchase. On failure to abide by
this condition, such Woman/Women SELLER's of such type of
residential wit shall be liable to pay the remitted1% stamp duty
along with penalty as chargeable as if there was no remission in the
stamp duty from the beginning, provided no such restriction will
apply in case of transfer by heirship in case of death of such
Woman/Women PURCHASER/s.
