ORGANIZATIONAL PLAN

Types or Forms of Business

All-in-One Hub is a partnership business operated by 5 members. A

partnership is an arrangement that establishes shared leadership and ownership

of a firm between two or more entities, each members contributes equally to the

business such as money, skills, labor, expertise and more.

Liability of the Owners

In a general partnership like All-in-One Hub, where five members operate

the business, the liability of the owners is as follows:

1. Unlimited Personal Liability: Each of the five members in the general

partnership has unlimited personal liability for the debts and obligations of the

business. This means that if the partnership incurs debts or faces legal claims,

each member can be held personally responsible for the full amount owed,

regardless of their individual contributions to the business.

2. Joint and Several Liability: In the case of partnership debts, creditors can

choose to pursue any or all of the partners individually to recover the entire

amount owed. This joint and several liability means that a creditor can target a

single member to satisfy the partnership's obligations, even if that member's

share of the liability is proportionally smaller.

3. Personal Asset Exposure: The personal assets of each member, such as

their personal savings, property, investments, and other belongings, are

potentially at risk. If the partnership is unable to fulfill its obligations, creditors can

seek to seize the personal assets of any individual partner to settle the

business's debts.

4. Liability for Actions and Decisions: Each member is also liable for the

actions, decisions, and obligations of the other partners. If one partner engages

in wrongful or negligent conduct that leads to liability, all partners can be held

responsible for the resulting debts or legal claims, irrespective of their direct

involvement or knowledge of the specific action.

5. Equal Share of Liability: In a general partnership, unless otherwise specified

in a partnership agreement, the liability is typically shared equally among the

partners. This means that each member is responsible for an equal portion of the

partnership's debts and obligations, regardless of the amount of money, skills,

labor, or expertise they contributed to the business.

It's important to note that the specific terms and distribution of liability may

be outlined in a partnership agreement. Consulting with a legal professional

experienced in partnership law is recommended to ensure accurate and

comprehensive understanding of the liability of owners in a general partnership

like All-in-One Hub.
