Dear Kavin,

With reference to your recent interview and discussions, we are pleased to offer you the position of
CLIENT SERVICES MANAGER with Infosight Software & Consulting Services Pvt Ltd., at Bangalore,
India, subject to the terms and conditions contained in this Employment Letter.

The following terms and conditions of employment apply to your employment with Infosight
Consulting or its sister concerns or subsidiaries or alliances which form as Infosight Consulting Group
(“Company”) as at the date of issue. Your employment base location is in India and the country
specific rules and regulations apply, which will be serviced by our respective Group Company.

Two copies of our employment letter are enclosed for your signature. We would be grateful if you
could signify your acceptance of these terms by dating, signing and returning both copies of the
agreement to me at the address below. Once signed for the company, one copy of the agreement will
be sent to you for your records.

Your actual date of employment with the Company will start from the date you report to us in India or
at the designated client place or when the client project work actually starts. Your planned start date
would be 21 June 2023. This employment supersedes any pervious employment or contracts with us.

EMPLOYMENT AGREEMENT

1. Duties: You will be employed as CLIENT SERVICES MANAGER and you will be required to carry out all
required in the region and capacity agreed which may change from time to time. You will perform all
acts, duties and obligations and comply with such orders as may be designated by the Company, which
are reasonably consistent with that position. The Company may require you to undertake the duties of
another position, either in addition to or instead of the above duties, it being understood that you will
not be required to perform duties, which are not reasonably within your capabilities.

You are required to comply with all the Company’s rules, regulations and policies from time to time in
force, respect & abide by the rule of the land, either in your base location or trip abroad. You are
further required to demonstrate professional personality, attitude and behavior required by your role
at all times within the company and at client place. Any breach of this would make this agreement
terminated and authorize company for recovery of losses from your direct omissions or
noncompliance.

2. Remuneration: Your total gross salary would be INR 1065000 per annum. All salaries are payable
monthly in arrears, before 5th of every month with all necessary tax and pension deductions as per
local laws. Salary breakup structure will be communicated separately.

You will be paid or reimbursed for any reasonable expenses properly incurred by you while performing
your duties on behalf of the Company, subject to you producing receipts in respect of such expenses
and your compliance with the Company’s rules and policies relating to expenses.

The Company shall be entitled, at any time during your employment or in any event on termination,
howsoever arising, to deduct from your remuneration hereunder any monies from you to Company
including but not limited to any outstanding loans, advances, relocation expenses, the cost of
repairing any damage or loss to Company’s reputation or property caused by you (and of recovering
the same), any sums due from you and any other monies owed by you to the Company.

3. Hours of Work: Normal working hours are 40 hours a week, Monday to Friday excluding necessary
breaks. However, you are expected to work additional hours, as are required and demands from our
clients and in the best interest of the company.

4. Place of Work: Your employment will be based in our offices in India. However, you may be required
to work from our client locations as and when works are assigned. Company may ask you to relocate
to other offices and countries for the performance of your duties as required.

5. Start Date: Your actual date of employment with the Company will start from the date you report to us
in India or at the designated client place or when the client project work actually starts. Any
appointment pursuant to this Agreement shall be subject to the Client not giving notice to Company
that it no longer requires the Services of the Company or Candidate, where the candidate is a client
select and appointed to work for client. And, if such notice is given, Company shall notify you and this
Agreement shall automatically terminate without either party being liable to the other.

6. Other Benefits: You are eligible to participate in the Group Pension Plan, Group Health Plan and Long-
Term Disability plan, subject to the terms and conditions of such schemes from time to time in force.
The details of these schemes can be obtained from the central HR team.

7. Holidays: In addition to the Public holidays normally applicable in country, you are entitled to 12
earned leaves and 12 Sick leaves for every calendar year. It is pro-rated to the period of your
employment, if it happens to be less than a year. You must obtain prior approval of your immediate
manager, before booking holiday dates. Not more than two weeks may be taken at any one time, save
at the Company’s discretion. In cases of any sick absence, you must notify the Company on the first
morning of the reason and its anticipated duration supported by medical certificates.

8. Absences: Any unapproved time from project manager or absences outside your entitled leaves or
legitimate sick leaves will be treated as Loss of pay and settled in your monthly salaries. Any absence
longer than 3 days without valid reason or prior approval may be considered as you being absconding.
Company will make reasonable efforts to get in communication with you and any relatives and friends
of yours in such absconded period in order to get you into continuing your duties and obligations. With
any such continued absconded situation for more than 7 days you acknowledge and provide statutory
rights to the Company to notify authorities and lodge your details, and further proceed with civil suite
against you and your immediate family to recover the losses on assets, ongoing business, opportunity
losses and recovery costs for company.

9. Confidentiality: You should neither during your employment (except in the proper performance of your
duties) nor at any time (without limit) after the termination thereof, howsoever arising, directly or
indirectly disclose any information pertaining to business or use for your own purpose or those of any
other person, company, business entity or other Organisation, or any trade secrets or confidential
information relating or belonging to the Company including but not limited to any such information
relating to products, processes, know-how, designs, formulas, development or experimental work,
computer programmes, data bases, customer, customer lists or requirements, price lists, marketing or
sales information, business plans or dealings, or any confidential information relating to business of
Company’s customers, consultants or licensees, any document marked ‘Confidential’ or which you
might expect the Company would regard as Confidential. You provide legal rights to company or the
client to recover any losses incurred if you are found to be in violation of confidentiality.

10. Exclusivity of Service: You are employed on an exclusivity basis. You are required to devote full time,
attention, and abilities to your job and in performing your duties during working hours and to act in the
best interests of the Company at all times. No activities or business must be carried out, where you are
either a direct or indirect party, which affects your ability to discharge your duties or conflicts
company’s interests. Your employment can be terminated without further notice if the exclusivity
clause is in breach.

11. Copyright, Inventions, Patents & Assets: All records, documents and papers (including copies and
summaries thereof) and other copyright protected works made or acquired by you, in the course of
your employment, shall be and at all times remain absolute property of the Company. Any work output
from you in the form of technology, program, configuration or documents etc. become the assets of
the company. Any connects, customers and suspects you get acquainted with during your employment
would become assets of the company with exclusivity.

12. Grievance Procedure: If you are unhappy about any aspect of your employment, the Company, you
should raise the matter at first instance with your immediate Manager or with the Head of Human
Resources. If you are still unhappy, you should take up the grievance with the Managing Director,
whose decision shall be final within the Company.

13. Termination of Employment: Your employment is terminable by giving 30 days of written notice from
both sides. You will be on probation for a period of three months from the start of your employment
and during this time your employment is terminable by the company only, with one week’s notice
period, if there are any issues found with performance, behavior, attendance, client feedback etc.

If you leave without serving required notice period and/or you do not cooperate with company and/or
client for smooth transition or handover before you leave for whatsoever reasons, you will be legally
binding to pay the company to buy out notice period, which is calculated pro-rate on your gross salary
and any losses company incurs because of such act. You provide authority to the company to recover
such amount from your payables due or from yourself or from your immediate dependents through
this agreement. For clarity, it also applies to cases where you go on longer than entitled holidays
without pay. If you happen to resign within less than 12 months of joining, and you were paid a
joining/relocation bonus and/or received notice period buy-out amount by Infosight, then you will
have to reimburse the company full amount (without pro-ration).

14. Background Verifications: This offer is valid subject to background verifications being satisfactory as
required by law of the country in which employment is offered. Such background verification will be
done during employment and from time to time for which you provide consent upon signing this
agreement.

15. Entire Agreement: This Agreement cancels and is in substitution for all previous letters of engagement,
agreements, and arrangements whether oral or in writing relating to the subject matter hereof
between the Company and yourself, all of which shall be deemed to have been terminated by mutual
consent.

16. Protection & Non-Compete: By entering into this agreement, you are obliged to protect the company
interests and business at all times. If you leave the company at any point, you will be legally required not
to compete directly or indirectly either as an individual or through an organization with any of Company’s
clients and connects, for a period of 2 years. You are further required to delete all company data from
your storage and not communicate any contacts of the company that you may have acquired or
introduced during your employment. Any breach of any kind will result in company proceeding with legal
suite against you to recover all direct and indirect losses from such act.

17. Circumvention: You agree and warrant the company that you would not circumvent the company or
company’s interests at all times. You will neither approach nor solicit any type of employment or contract
with the client or end client, without fully approved, written, explicit confirmation and release letter from
the company.

18. Health & Situation: You are required to declare to the company on any health conditions that are
applicable to be declared to insurance companies and/or to the project managers before you taking up
the employment. Any false declaration or non-declaration will result into breach of this contract. It also
applies to any personal situation or circumstance which you already know or can reasonably suspect that
it could affect your ability to deliver your duties and/or obstruct your work commitment.

19. Social Media: You are required to update you LinkedIn and any other social media with correct
employment status and period at all times. If you are sponsored for work permit you will be legally
required to maintain the accuracy of such employment status in social or professional media, during and
also after the end of your employment with the Company. You are also required to maintain a
professional outlook with right content posting and comments professionally acceptable to you level of
role and designation. You will further undertake to not to make negative or adverse or sensitive
comments or posts on Company or any organization or individuals during and after your employment.

20. Compliance: You are required to keep company informed at all times about your changes in
circumstances such as change of address, name, any convictions etc. which may affect your ability to
perform duties and/or your employment status with the company and/or ability to work in the country of
appointment or any other company locations. If you are sponsored by the company for your visa, you are
required to report your timesheets on time and keep company notified of your holidays and out of
county travels. You will be further legally required to provide company with all documentary evidences,
as required by the law of the land, on any change in circumstances which may affect your visa or
employment with the company.

This agreement is governed by and construed in accordance with the laws of India.
