MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement, made and executed by and between:

ENGR. RICHARD M. TUGBO, of legal age, Filipino, president of R.M. Tugbo

Builders, herein referred to as the “FIRST PARTY”;

- And –

ENGR. RHODA DIZON, MARITES SALVA, and ATTY. PATRIO T.

SEÑERES, JR., of legal age, Filipino citizens, hereinafter referred to as the “SECOND
PARTY”;

WITNESSETH, THAT:

WHEREAS, the First Party’s company is duly licensed to engage in the business
of providing specific services in the area of construction and is presently the accredited
subcontractor at Gold Residences, a project of SMDC (hereinafter referred to as “the
project”.

WHEREAS, the First Party gives the Second Party to exercise full power and
authority to decide with the use of technical knowledge and skills and to perform all
acts and things to be taken to carry out necessary construction works to be performed
in the existing project of R.M. Tugbo Builders, in SMDC Gold Residences located in
Parañaque City. To accept additional job orders in the site project, and to enter into
contract under the name of the R.M. Tugbo Builders, whether in writing or in verbal
agreement, without the further consent of the First Party provided it will not
disadvantageous to the interest of the First Party.

NOW, THEREFORE, for and in consideration of the foregoing premises, the First
Party has agreed with the Second Party that the Second Party shall take over the
existing project in SMDC Gold Residences, and agree to the following:

1. The Second Party shall infuse funds out of the Second Party’s pocket to
defray all the ordinary and necessary expenses to carry out the work in the
existing project which shall be accounted for and audited by the Second Party
while the latter is in charge of the said project;

2. Any loss or injury that may occur within the period the Second Party, the
Second Party holds the First Party free and harmless from any suit and
liability that may arise from negligence on the part of the Second Party during
the term of the contract.

3. Once this agreement is signed by both parties, all the matters and conditions
precedent to this contract performed and taken up by the Second Party are
deemed ratified by the First Party.

WHEREAS, both parties agreed to the above-stipulated terms and conditions.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ___ day
