Re: Letter of Engagement to Arsyad Fadly

Dear Mr. Arsyad Fadly,

This Letter of Engagement is to certify your engagement with Holonym Foundation to serve as a

Web UI/X Designer. You will provide artistic direction to aid the incubation of several Holonym
prototypes in development.

You will be responsible for drafting, iterating, and completing design proofs and user experience
flows for the Silk Prototype Application and landing page. You will be assigned to work closely
under the direction of Shady El Damaty to accomplish your tasks.

The expectations for this role are listed below:

● A minimum of 3x check-ins per week, notes for every Meeting
● Weekly Huddle with Holonym Team
● Regular clear and transparent communication
● Working closely with developers and users to understand their needs
● Produce professional proofs and handovers of design assets
● Artistic independence, running with the ball to complete the briefs

This Letter of Engagement does not create an employment relationship between the parties. The
deliverables and associated fixed-price payment schedule under this agreement are described
below.

You may also receive equity/tokens for projects based on time & effort allocated. The details of
the equity/token distribution will be decided later and contingent upon successful completion of
project milestones.

Period of Performance:
1st of May - 30th of July, 2023 (12 weeks)

○ Home Page Design
○ Send, Receive, Fund Account
○ 2FA and Recovery
○ Settings, History, and other relevant screens

○ Landing page with designs for infographics, explainers, and graphical assets
● Brand Identity Management
○ Maintain repository for Brand Guide Book & Associated Assets
○ Provide template files for community collaboration
■ Create emoji + icons for Discord and chat channels
■ Develop template materials for social media posts
■ Headers, banners, footers
○ Create animations and graphics for events, meetings, youtube content

Deliverables and Payment Schedule

The Web UI/X Designer can expect a monthly retainer at $800 USD paid bi-weekly over the
period of performance.

Intentions for Post-Contract Work

At the end of the period of performance, the contractor will undergo a performance review and
may transition to a monthly salary in the range of $2400 - $3750 for 12 months, along with
token/equity options assigned based on demonstrated capacity, effort, and creative
contributions. These salaries are not static, are subject to negotiation, depend on secured
funding, depend on demonstrated competency, and are intended to increase with the growth of
the company from early stage to business model traction.

Submitting Deliverables
All deliverables listed above shall be submitted to Shady El Damaty at shady@holonym.id. Shady
will review and approve all submitted deliverables to determine if the requirements are
satisfactorily met; if not, changes or additions may be requested. Holonym will issue payment at
the prices stated above upon completion, submission, and acceptance of deliverables by the
granting institution, and within thirty calendar days of approval of an invoice.

Payment
Invoices must be submitted to bills@holonym.id and include a description of the deliverable(s),
delivery date(s), and payment amount for each deliverable, in accordance with the deliverables
and payment schedule above. The total fixed-price amount for all deliverables listed above is
USD $4800. Any payment made under this Agreement is inclusive of any taxes, levies, or
charges in relation to this Agreement. Holonym Foundation is entitled to deduct or withhold the
applicable withholding tax from the payments to be made to the Contractor in connection with
this Agreement.

This assignment is home-based. Travel or other expenses incurred in the performance of services
under this engagement will be reimbursed only upon prior approval.

Conflict of Interest & Disclosure

In addition, prior to beginning the aforementioned work, you must disclose to the Holonym
Foundation the existence of and details pertaining to any other employment or consulting activity
in which you are engaged that could potentially result in a conflict of interest or interfere with the
services to be provided under this letter. Holonym Foundation may require the completion of a
separate Conflict of Interest, Non-Disclosure Agreement (NDA), and Confidential Invention
Assignment Agreement (CIAA) certification.

Specifics about this assignment, and any sensitive information related to Holonym’s work
program shall not be divulged to anyone outside of the company.

The following terms and conditions apply:

1. Holonym retains the right to supervise and control the work as well as the contactor’s
obligation to bring the tools necessary to complete the work.
2. Termination and Term— Holonym may, at any time, terminate this Agreement with
immediate notice where the Contractor commits an act in any way prejudicial to the
interests of Holonym or breach of its obligations under this Agreement. Termination of this
Agreement shall in no way affect Holonym’s right to claim damages against the
Contractor in accordance with the applicable law.

3. Liability— The Contractor hereby agrees to indemnify and hold the Contractor harmless
from any damage and loss that may arise in connection with the performance under this
Agreement.
