3. Upon acceptance of this Sales and Purchase Agreement, an official invoice will be
issued.
4. Pricing may change depending on the price volatility of the market.
5. Any change in panel sizing can potentially result in a refund or additional payment
required due to the change in overall sizing depending on availability of stock.
6. The cost including stamping and registration fees for this Agreement shall be borne
and paid by the Purchaser.
7. Warranty :
a. Panel:
- Manufacturing warranty : 12 years
- Performance warranty: Output of 90% for 10 years and 80% for 25 years
b. Inverter:
- Manufacturing warranty : 10 years
- Additional warranty : Available upon request at additional cost
c. Workmanship:
- 5 year warranty on installation defects caused by improper installation.
(subjected to assessment)
- 3 years leaking warranty covers misplaced/broken roof tiles only or punctured
metal decking caused by installation works. (subjected to assessment)

_________________________________ the Purchaser, hereby confirmed to purchase the Solar
PV system and agree to the terms and conditions stated herein. I have appointed SOLS Energy
Sdn. Bhd. (Company No 1221307-W) as my Service Provider to be fully in charge of my solar
PV System installation project.

With a __________________ kW sized system, the final agreed amount for the complete
installation of RM ______________ to be installed at (Address)

I hereby agree that SOLS Energy reserves the rights to provide no refunds, unless approval is
not provided by SEDA for the quota. The payment terms referred to herein shall not be
refundable under any circumstances including but not limited to the termination of this
contract. I agree that SOLS Energy has the right to increase the price if the service has not
been completed within 90 days irregardless of any delay from late payment or caused by the
Purchaser’s side. In any other case no refund shall be made available.

I hereby agree on the following:


1. Should there be a situation where the solar panel stock is not available from the
supplier, then the Purchaser would be offered with a replacement panel of equal
quality (Tier 1). If the sizing of the panel affects the overall sizing of the system, then
the customer will be charged with the difference or be provided with a refund on the
difference of total sizing.
2. The purchased solar PV system is inclusive of 25 meters of AC cable and 75 meters of
DC cable. If any additional wiring and/or other items are required before, during, or
after your installation, additional charges will be invoiced to you

3. If there is more than one Distribution Box (DB) in the house, the DB closest to the roof
will be used by default to connect the inverter wiring system and if the length exceeds
the given amount, then additional charges will be applied.
4. If the Purchaser would like to connect the inverter to the DB which is further and the
length exceeds the given amount, then additional charges will be applied.
5. There would be no compensation for any delays in installations and/or system
activations arising from situations and circumstances beyond the control of SOLS
Energy Sdn. Bhd.
6. All prices are subject to change according to the market fluctuation at the point of
installation.
7. The Purchaser signatory to this agreement shall bear the costs of any connecting wires
exceeding the measurement mentioned in the proposal and any other additional
support to the structure and/or hacking in order to install the Solar Panels.
8. All prices quoted by SOLS Energy Sdn. Bhd. are based on the market value at the point
of agreement in this Agreement. All prices of additional charges may vary as per
market rates at the point of installation.
9. The installation date will need to be confirmed via email correspondence between the
Purchaser and SOLS Energy. The Purchaser will be required to complete any
renovation, waterproofing, leaking repairs or any other works before the Installation
Day. It is the responsibility of The Purchaser to ensure the roof structure is in good
condition, suitable and is not damaged prior to the installation of solar panels.
10. In the case that installation has to be put on hold due to delay in confirmation for any
additional charges from the Purchaser’s side resulting in a requirement for additional
installation day will amount to an additional installation fee of RM 1,500/day at
minimum.
11. If the scheduled installation is delayed by the Purchaser on the installation day itself
for whatsoever reason, and as a result the installation would require an additional day
of work then a Delay Fee will be applied, RM 1500.00 for (4kW-9kW) system size and
RM 2500 for (10kW-13kW) system size.

12. If the scheduled installation is delayed by the Purchaser on the installation day itself
for whatsoever reason, and as a result, the Purchaser decides to cancel the purchase,
a Cancelation Fee will be applied, RM 3000.00 for (4kW-9kW) system size and RM 5000
for (10kW-13kW) system size.
13. In the case of a refund is requested by The Purchaser after an installation has been
scheduled and the cancellation deadline has passed, the refund will be paid after the
deduction of the items below:
a. Cash/ Cheque/ Bank Transfer: Deduction of Delay Fee + Deduction of
Cancellation Fee
b. Credit Card 0% Installment Payment Plan: Deduction of Delay Fee + Deduction
of Cancellation Fee + Processing & Administration Fee
14. Any additional charges need to be paid before activation of the system and will be
verified with the customer for approval on the day of installation.
15. If SOLS Energy is unable to set up the wifi monitoring due to the house not having wifi
or due to renovation and would require the SOLS Energy’s team to go back to set up
the wifi then additional charges would apply. Additional charges will also be added to
come and set up the inverter, if the installation is done while the house is still under
renovation and since the house wiring is not completed we cannot set up the inverter.
16. If the roof tiles get damaged during the installation work, SOLS Energy will replace the
tiles with the same tiles. If the tiles are no longer manufactured or not available in the
market, then SOLS Energy will replace them with different tiles.
17. If the Purchaser cancels or postpone the installation appointment with less than 5
working days notice prior to the installation date, a cancellation penalty of
RM1,500.00 at minimum will be imposed on the customer. If the installation site is
outside Klang Valley and will require for the equipment to be shipped back to SOLS
Energy warehouse, additional logistic charges of RM2,000 will be imposed.
18. If the cancellation is the result of quarantine restrictions, the customer should provide
his/her MySejahtera status and/or other proof of quarantine documents to be eligible
for waiver of the cancellation fee.

19. As a facilitating party, SOLS Energy cannot and will not hold any accountability for the
result of any applications made to authority, licensing bodies and financial institutions,
inclusive but not limited to SEDA, TNB or any Banks involved.
20. Variation Order (VO) will be provided to the Purchaser on the day of installation if
necessary. All charges must be paid prior to the activation of the solar PV system. An
invoice will be issued for the VO.
21. Roof structural issues are not the responsibility of SOLS Energy. Our expertise in Solar
PV System Installation does not include a professional and certified roof assessment.
The Purchaser is advised to consult a roofing expert if they are currently facing any
structural issues with their roof. Nevertheless, if any issues are present on the day of
installation, SOLS Energy has the right to void the leaking warranty.
22. The 5-year workmanship warranty provided by SOLS Energy covers any defects in
workmanship and materials that cause interruptions in connection due to wiring issues,
improper panel installation (loose screws, derailed clamps, etc.), improper conduit
and casing installation (detached casing cover, conduit hanging off the wall, etc.), and
connections to DB and panel that are too tight or too loose, leading to interrupted
power generation.
23. SOLS Energy will be responsible for the damages above proven that the damages are
due to the installation workmanship and not to be defined by common wear and tear
damages, external factors, or other factors beyond the control of SOLS Energy,
including damages caused by animals, weather conditions, and other environmental
factors.
24. The 5 years workmanship does not cover any manufacturing defect on any of the solar
components including but not limited to the solar panels, inverters, combiner box,
racking structure and other components.
25. The warranty is subject to assessment by SOLS Energy's technical team, and any claims
made under the warranty will be reviewed and assessed by their team to determine if
the issue is indeed due to defects in workmanship or materials covered by the
warranty.

26. To claim the warranty, the customer must notify SOLS Energy in writing within 30 days
of discovering any issue covered under the warranty with pictures. SOLS Energy will
then investigate the claim and, if deemed valid, will repair or replace any defective
workmanship or materials covered by the warranty. Any repairs or replacements made
under the warranty will not extend the warranty period beyond the original 5-year
term.
27. The warranty is non-transferable and only applies to the original customer who
purchased the solar panel installation from SOLS Energy.
28. The warranty is in addition to any other rights and remedies that the customer may
have under applicable law.
29. By accepting the solar panel installation from SOLS Energy, the customer agrees to the
terms and conditions of the warranty.
30. SOLS Energy provides preventive care measures for a period of 4 years, which includes
panel cleaning and basic checking and diagnostics. These 4 years preventive care
measures will be monitored from the online monitoring system remotely by SOLS
Energy. If there is a clear drop in performance of the solar panels during this period,
SOLS Energy will require an inspection to determine the cause of the drop in
performance.
31. If it is indicated that the cause of the drop in performance is due to dirty solar panels,
SOLS Energy will provide panel cleaning as part of the preventive care measures.
32. The decision to provide panel cleaning will be made by SOLS Energy upon assessment,
and will only be provided if it is deemed necessary to restore the performance of the
solar panels.
33. The preventive care measures provided by SOLS Energy do not cover damages caused
by wear and tear, external factors, or other factors beyond the control of SOLS Energy,
including damages caused by animals, weather conditions, and other environmental
factors.
34. SOLS Energy does not guarantee any significant increase in production or guarantee
that production will go back to original performance due to degradation of panels or
any other reasons related to wear and tear or general usage of solar PV.

35. Preventive care measures can be claimed not more than 2 times or within the 4 years
after installation date, whichever comes first.
36. To request preventive care measures, the customer must notify SOLS Energy in writing
within 30 days of discovering any issue that may require the preventive care measures.
37. Any preventive care measures provided by SOLS Energy do not extend the warranty
period beyond the original 4-year term.
38. SOLS Energy provides a 3-year warranty for leaking caused by broken or misplaced clay
tiles or punctured metal decking caused by the Installation team during the
installation day. Leaking warranty only applies at the area where the mounting
structures (hooks, clips and racks) are installed.
39. If SOLS Energy upon investigation discovers that the damages during the warranty
period are not caused by SOLS Energy, the client must pay for the site visit and
diagnosis or any other repair cost if applicable.
40. SOLS Energy will not be responsible for repairing any damages not caused by them,
especially related to structural problems, general wear and tear or natural causes..
41. SOLS Energy will not be responsible for any structural or preexisting conditions of the
roof. Any damages caused by structural issues or preexisting conditions of the roof will
not be covered by the warranty.
42. SOLS Energy will also not be responsible for any general wear and tear issues caused
by general weather conditions or rust or any other natural causes.
43. The warranty provided by SOLS Energy is only applicable to the solar panel installation
and does not cover any other parts of the building or structure.
44. The client must notify SOLS Energy in writing within 30 days of discovering any issue
that may require warranty coverage. Any warranty repairs provided by SOLS Energy do
not extend the warranty period beyond the original 3-year term.

45. SOLS Energy hereby guarantees that the installation of the solar panels and related
equipment shall be completed within 24 days from the receipt of full payment and
SEDA approval for customers located within the Klang Valley only. In the event that
SOLS Energy is unable to complete the installation within 24 days, the following
remedies shall be available to the customer:
A. Payment of TNB bill: If the installation is delayed beyond 24 days, SOLS Energy shall
be liable to pay the customer's TNB bill from RM200 to RM650 for every 30 days of
delay, or any portion thereof, at the discretion of SOLS Energy. The 24 day installation
guarantee only applies for clients who have given all the requested information and
documents according to the internal process of SOLS Energy. Delays with document
submission or TNB matters between the client and and TNB will not be considered.
B. Prorated compensation: Alternatively, if the installation is delayed beyond 24 days,
SOLS Energy shall prorate the days of delay and adjust the total price of the
installation accordingly. Any compensation owed to the customer as a result of this
delay shall be deducted from the total price of the installation.
46. The customer agrees that the above remedies are the sole and exclusive remedies for
any delay in the installation of the solar panels and related equipment, and SOLS
Energy shall not be liable for any other damages or losses arising from such delay.

Discovery of Roof Leaking or Structural Issues on the Installation Day:
47. In the event that during the installation of the solar system, the installer discovers any
roof leaking or structural issues, the customer will be given two options. The first
option is to proceed with the installation, in which case the warranty will be voided.
The second option is for the customer to repair the roof, at their own expense, before
the installation proceeds. However, the warranty will still be voided as we cannot
guarantee the repair work of external contractors.
48. If the customer chooses to delay the installation in order to repair the roof, a penalty
fee of RM 1,500 will be charged. Additionally, if the customer decides to cancel the
installation and requests a refund, a cancellation fee of RM 1,500 for a system size of
4kW-9kW and a fee of RM 2,500 for a system size of 10kW-13kW will be applied. These
fees will be deducted from the total amount paid, including any processing and
administration fees if applicable, and the balance will be returned to the customer.
