STANDARD TERMS OF SALE

1. Contract
These Conditions set out the conditions purs uant to w hich A kzo Nobel India Limited, (her einafter referred to as 'A kzoNobel') has agreed to sell and deliv er goods to the buyer . Unless a detailed product sales agreement is in plac e betw een A kzoNobel and buyer cov ering the sale of the
goods, all goods sold or otherw ise provided by A kzoNobel are s old or prov ided exclusiv ely on the basis of thes e Ter ms and Conditions of Sale. No differing or supplemental ter ms or c onditions shall be applic able unless express ly agreed to by A kzoNobel in w riting. These Conditions shall
constitute the c ontract betw een the parties (“the Contrac t”).
2. Quotations and Acceptance of Orders
Orders shall be deemed to be an offer by the buyer , and are only binding on A kzoNobel on the ear lier of (i) Akz oNobel s ending the buyer an acknow ledgement of order in w riting, or (ii) A kzoNobel commenc ing the manufacture of goods in order to fulfil the order. Any quotations made by
AkzoNobel are w ithout obligation. A quotation from Akz oNobel does not c onstitute an offer but an invitation to buyer to make an offer. In all cases buy er’s offer shall be deemed bas ed on these Ter ms and Conditions of Sale.
3. Warr anty
AkzoNobel w arrants to Buyer that at the time of transfer of ris k of loss the goods confor m to AkzoNobel’s standard Product spec ifications or such other s pecific ations as A kzoNobel and buy er have expressly agreed to in w riting (the “ Specifications”). THIS WA RRA NTY IS THE SOLE
WA RRA NTY GIV EN BY AKZ ONOBEL. AKZ ONOBEL MA KES NO OTHER WA RRA NTIES, EXPRESS OR IMPLIED, ORA L OR WRITT EN, WITH RES PECT TO THE GOODS, THE A PPLICA TION OR USE THEREOF, OR OTHERW ISE, INCLUDING THE IMPLIED WA RRA NTIES OF
MERCHA NTIBILITY OR FITNESS FOR A PA RTICULA R PURPOS E OR NON- INF RING EMENT, EA CH OF WHICH IS SPECIFICALLY DISCLA IMED. In the event goods do not comply w ith the foregoing w arranty, Akz oNobel w ill, at its option, r epair or replace suc h goods or r efund the
Pric e of the goods and, hav ing done so, w ill hav e no further liability. A kzoNobel shall not be liable for breach of this w arr anty unless AkzoNobel rec eiv es from the buyer w ritten notice of the breach w ithin seven ( 7) days after deliv ery of goods , and A kzoNobel is given a reas onable
opportunity ther eafter to examine the goods. No c laim w ill be entertained after the said period of seven (7) days. Buyer’s fa ilure to notify AkzoNobel of any suc h claim w ithin the time s et out in the preceding sentence w ill cons titute a w aiver by Buy er of such claim. A kzoNobel makes no
w arranty of any kind w ith r espect to any serv ices pr ovided to Buyer and s hall hav e no liability w ith r espec t to such servic es.
4. Pric es and Pay ment Guarantee
Unless otherw ise agreed by the Parties, the pr ice for the goods w ill be the pric e quoted by Akz oNobel. All pric es quoted by A kzoNobel ar e exc lus ive of GST that may apply in r espect of the goods, or other local tax or Municipal levies w hich w ill be char ged additionally as applicable at the
time of sale. A kzoNobel w ill issue invoices to buyer for all goods s old to buyer. Buyer s hall pay these inv oic es w ithin such time per iod as is agreed betw een the parties under the pay ment ter ms 30 days from the invoice date in the curr ency indic ated on the i nvoice at the addr ess of
AkzoNobel indicated on the inv oic e. Buy er may not w ithhold pay ment of any amount due to A kzoNobel because of any s et -off, counter-claim, abatement or similar deduction. Upon demand Buy er w ill immediately reimburs e Akz oNobel for any and all costs inc luding fees for collection
agencies and attorneys incurred or ex pended by A kzoNobel to collect any amounts due from buyer .
Prior to delivery A kzoNobel can demand adv anc e pay ment or a pay ment guar antee in a for m r equir ed by A kzoNobel.
Pay ment shall be made in full and in c leared funds or unc leared funds in advanc e or w ithin the per iod stated in the Contract.
If the buyer fails to pay Akz oNobel any amount pay able under the Contract by the due date for pay ment the buyer s hall be liable to pay interest to A kzoNobel on the outstanding amount at the r ate of 24 % per annum or 2 per cent per month over the prime- lending r ate of A kzoNobel’s
Bankers w hichev er is higher. Late pay ment shall entitle Akz oNobel in its sole discretion to ter minate the Contr act in w hole or in part and also to r ecover the Cash discount given, if any, in advance.
The pay ments w ould be by cr ossed cheques/bank drafts dr aw n in favour of A kzo Nobel India Limited on any of the scheduled banks in Kolkata, Mumbai, Chennai or New Delhi, or depot tow ns unless otherw ise agr eed.
5. Delivery/ Tr ansfer of Ris k
Delivery ter ms shall be interpr eted in accor dance w ith the latest INCOT ERMS valid at the date the or der is accepted. Unless otherw ise agreed to by Akz oNobel in w riting the deliv ery ter m is EXW and ris k of loss in the goods w ill transfer to buyer upon tender of the goods to buy er or the
carrier at A kzoNobel’s s hipping facility. Buy er agrees that upon transfer of ris k of goods in buyer , it w ill maintain such insurance amount including but not limited to pr oduct liability ins urance and / or any statutory insurance like public liability ins uranc e, at all times and shall indemnify the
AkzoNobel against any c laims ar ising thereunder.
Delivery dates are estimates only and late delivery s hall only entitle the buyer to ter minate the Contr act if the buy er has served notice, such notice demanding deliv ery of the late goods w ithin not less than 30 days from the estimated deliv ery date, and A kzoNobel has failed to comply w ith
such notice.
Eac h delivery of goods shall c onstitute a s eparate contract and any breach ther eof shall not entitle ter mination of the Contract as a w hole.
6. Ow nership and Risk
The goods are at the ris k of the buy er from the time of delivery to the Tr ans porter/ Carrier. The Tr ansporter / Carrier is the agent of the buyer and is appointed by Akz oNobel on behalf of the buyer. In the event the Tr ans porter/Carrier fails to deliver the goods w ithin reas onable time to the
buyer, A kzoNobel w ill prov ide support to the buy er by follow ing up w ith the Transpor ter/Carrier in this regar d. If A kzoNobel, acting on behalf of the buy er, holds that the Tr ansporter/Carrier is not liable for any particular Instances of loss in transit, the buyer remains liable to Akz oNobel for
the s aid losses. The goods are not ins ured by A kzoNobel w hile in tr ans it and if the buy er w ishes to the cov er the r isk of loss in transit, they can get the goods ins ured at their c osts.
The buy er may res ell or pr ocess the goods by tinting as part of the nor mal conduct of its bus iness, unless Akz oNobel has asked the buyer to return the goods.
Duty of care
The buy er shall at all times handle the supplied goods w ith r easonable c are and in c onfor mity w ith A kzoNobel’s oral or w ritten instruc tions as to stor age, use or maintenance of the goods, and shall perfor m no actions w hich might affect the quality or safety of the goods or the reputation of
AkzoNobel’s br ands.
7. Intellectual Property r ights
All intellectual property rights in and r elating to the goods, their manufacture, development or creation (including improv ements thereto) shall be or remain vested in Akz oNobel (w hether or not commissioned by the buy er) and the buyer w ill, at the r equest and cos t of A kzoNobel, do any
act and execute any doc uments necessary to confir m such r ights in or tr ansfer such rights to Akz oNobel.
The buy er shall not at any time claim ow nership or user r ights or inter est in r espect of any br and names of A kzoNobel, roundel, tr ademar ks, artw ork or infringe or unauthor izedly use any trademar ks r egistered either in its name or in the name of its parent Company Imper ial Chemical
Industries, PLC, UK or its Assoc iates.
8. Limitation of Liability
AkzoNobel w ill not be liable for any loss or damage caused by buy er’s failur e to ex ercise effective quality contr ol or the failure to store, use or otherw ise handle the goods as advised or in acc ordance w ith instr uctions prov ided by A kzoNobel or industry standards. AKZ ONOBEL WILL NOT
BE LIABLE TO BUY ER, WHETHER IN CONTRA CT, TORT ( INCLUDING NEGLIGENCE), BREA CH OF STA TUTORY DUTY OR OTHERWIS E FOR A NY LOSS OF PROFIT, LOSS OF BUSINESS, DIMINUTION IN VA LUE, OR DEPLET ION OF GOODWILL OR A NY INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLA RY, PUNITIV E, OR CONSEQUENTIAL LOSS OR DA MA GE OR A NY A DV ERS E EFF ECT A RISING DUE TO NON-A DHERENCE OF THE PRES CRIB ED A PPLICATION PRO CEDURE. AKZ ONOBEL’S A GGREGA TE LIA BILITY TO BUY ER IN
RES PECT OF ALL LOSSES A RISING UNDER OR IN CONNECTIO N WITH THE SUPPLY OF PRO DUCTS WILL IN NO WAY EXCEED THE PRICE OF THE PRODUCTS IN RELA TION TO WHICH THE CLA IM A RIS ES. Nothing in this section w ill limit or exclude A kzoNobel’s liability for
any matter in respect of w hich it is unlawful for Akz oNobel to exclude or r estrict its liability.
The buyer shall indemnify AkzoNobel against all third party claims, losses, c osts (including legal costs), penalties and damages brought agains t, suffered or incurr ed by A kzoNobel in relation to the goods arising directly or indir ectly out of any acts or omissions of the buy er, its employees
or agents.
All w arranties, r epres entations, guarantees, conditions and ter ms , other than thos e ex pressly, s et out in the Contract, w hether express or implied by statute, common law , trade usage or otherw ise, and w hether w ritten or oral, are hereby ex pressly excluded to the fullest extent per missible
by law .
Repr esentations about the goods, dir ections for their us e, and mar keting c laims that c an be made about the goods, are made in good faith, but A kzoNobel shall not be liable for suc h repres entation.
9. Confidentiality
The buyer shall not disclose to any other party any confidential infor mation belonging to A kzoNobel or any assoc iated c ompany of A kzoNobel (including, w ithout limitation, spec ifications, for mulae, manufactur ing pr ocesses, know -how and any technical or economic infor mation) , or use
such infor mation for any purpos e exc ept as express ly authorised in w riting by A kzoNobel, dur ing the Contract and for three years thereafter.
In or der to protect the proprietary and confidential nature of A kzoNobel’s goods the follow ing restr ictions apply to the use of its goods: ( i) save as may be r eas onable r equir ed for s afety purposes the buyer shall not analyse or have analysed, or per mit or know ingly fac ilitate the analysis of,
any sample or good supplied to buyer pursuant to the contract until and unless the same is r equir ed purs uant to any Court/For ums, and ( ii) buy er shall not copy the for mulation or know ingly per mit the copying of the goods/for mulation w ithout the w ritten cons ent of A kzoNobel.
10. Force Majeure
AkzoNobel w ill not be liable in any r espect for failure to perfor m its obligations if hindered or prev ented, directly or indirectly by w ar (dec lared or undeclared) , national emer gency, inadequate transportation facilities, mac hinery or equipment failure, A kzoNobel’s inability to sec ure mater ials,
supplies, fuel or pow er for the manufacture of goods on ter ms and conditions that are acceptable to Akz oNobel, fire, flood, w indstor m or other ac t of God, str ike, lockout or other labour dispute, or der or act of any gov ernment, w hether foreign, national or local, w hether v alid or inv alid, or
any other cause of like or different kind beyond the reas onable c ontrol of Akz oNobel ( eac h a “ Force Majeur e”). Akz oNobel s hall have no obligation to proc ure any goods from other sources and may allocate its available supply of goods amo ng the members of the A kzoNobel Group
(including itself) and their customers, buyers, distributors and resellers on w hatev er basis A kzoNobel may deem fair and pr ac tic al. In the event that the duration of a Force Majeure exceeds s ix (6) months or is reas onably ex pected to exceed 6 months, Akz oNobel is entitled to w ithdraw
from any obligation it may have to s upply the Pr oducts to buyer w ithout the buyer hav ing any r ight to compens ation.
11. Complianc e w ith law s
The buyer purchas ing goods or accepting goods s hall be liable for compliance w ith the prov isions of applicable law s and/or any rules/regulation/notification made thereunder from time to time. The Company s hall be entitled for rec over ing of any amount, along w ith inter est, penalty or any
other amount on account of any act or omiss ion/delay/neglec t/non-compliance/non-reporting/failur e/err or by the buyer in c omplying w ith the pr ovisions of applicable law s and/or any rules/r egulation/notification made thereunder from time to time.
12. Export Contr ol
Buy er w ill not sell, export, r e-ex port, license, trans mit, div ert or otherw ise tr ansfer, directly or indirectly, any goods or any infor mation or tec hnology r elated to the goods except in accordanc e w ith applicable law s and regulations, including w ithout limitation applicable UN, US and EU
export control law s and regulations and the law s and r egulations of the country w here buy er is r esident. Buy er ac know ledges that it w ill (i) take all steps necessary to comply w ith the above law s and r egulations, including obtaining export and other licens es if necessary and (ii) not take
any actions that w ould caus e A kzoNobel to be in v iolation of the above law s.
13. Ter mination
An agr eement w ith buy er to deliver goods on the basis of these Ter ms and Conditions w ill not oblige A kzoNobel for the futur e to take further or ders. Akz oNobel w ill at all times be entitled to end the r elations hip w ith immediate effect. Such ter mination w ill never entitle Buyer to
compens ation.
14. General
If any prov ision of the Contr act is found by any c ourt of competent jur isdiction to be w holly or par tly illegal, inv alid, unenforceable or unreas onable it s hall to the ex tent of such illegality, invalidity , unenforceability or unr easonableness be deemed sev erable and the remaining prov isions of
the Contract and the remainder of such prov ision s hall c ontinue in full force and effect.
Failur e or delay by A kzoNobel in enforcing any prov ision of the Contr act w ill not be w aiver of any of its rights under the Contract.
The buyer shall not be entitled to assign any of its r ights or obligations under the Contr act, w ithout the prior w ritten c onsent of AkzoNobel.
15. Law and Jurisdiction
These Ter ms and Conditions and all disputes betw een A kzoNobel and buy er ar e governed by the law s of the law s of India and, if applicable, state or province, in w hich A kzoNobel’s address is located. A ny dispute betw een A kzoNobel and Buy er that the parties ar e unable to r esolv e by
agreement w ill be subject to the exclus ive jur isdiction of courts in New Delhi, India. Eac h party c onsents and agrees to the jur isdiction and venue of such courts.
