constructing, enlarging, repairing, removing, developing or otherwise engaging in

any work upon buildings, roads, highways, manufacturing plants, bridges, airfields,
piers, docks, mines, shafts, waterworks, railroads, railway structures, all iron, wood,
masonry and earth constructions, and to make, execute, bid for and take or receive
any contracts or assignments of contract therefore, or in relation thereto, or
connected therewith and to manufacture and furnish building materials and supplies
connected therewith; and doing of any and all other activities and contracting
incidental thereto or connected therewith, and the doing and performing of any and
all acts and things necessary, proper or convenient for and incidental to the
furtherance and/or implementation of the purposes therein mentioned.

Secondary:

To engage in, conduct and carry on the business of buying, selling, distributing,
marketing on wholesale and retail basis insofar as may be permitted by law, all kinds
of goods, wares and merchandise of every kind and description, and enter into all
kinds of contracts for export, import, purchase, acquisition sale on wholesale and
retail basis and other disposition for its own account as principal or in representative
capacity as main distributor, manufacturer's representative, merchandise broker,
indentor, commission, merchant, factors or agents, upon consignment of all kinds of

goods, services, merchandise or products whether natural or artificial, without
engaging in investment solicitation nor investment taking activity from public
investors. To purchase or otherwise acquire, own, hold, use, sell, assign, transfer,
mortgage, pledge, exchange or otherwise dispose of real property and while the
owner or holder of any such real property, to receive, collect and dispose of the
interest, dividends and income arising from such property, and to possess and
exercise in receipt thereof all the rights, powers and privileges of ownership
including all voting powers on any stock so owned.To act as managing agency of
persons, firms, associations, corporations, partnerships and other entities; to provide
management and technical advice for commercial, industrial, manufacturing and
other kinds of enterprises; and to undertake, carry on, assist or participate in the
promotion, organization, management, liquidation or reorganizations or
corporations, partnerships and other entities, except the management of funds,
securities, portfolio or similar assets of the managed entities or corporations.

Provided that the corporation shall not solicit, accept or take

investments/placements from the public neither shall it issue investment
contracts.

inaccurate, false, or misleading information or statements, is likewise punishable
under Section 162 of the Revised Corporation Code; and
