CARBON CREDITS for OFFSETTING

We, WIGAN S.A., are committed to the noble mission of greener our planet
protecting forests, and reforesting barren zone. We are striving to increase the CO2’s
absorption capacity, and produce more Carbon Credits for offsetting the CO2
emissions.

Our products are secure and green effective assets, which means that each
Carbon Credit we sell is made by a traceable CO2 emission absorption. Indeed, the
Carbon Credits are issued in the form of NFTs into a blockchain, which guarantees
the traceability and uniqueness of the carbon credits sequestrated by the green
vault.

The price of a Carbon Credits can vary according to market fluctuation, and the
Seller will confirm it for each order request.
It’s important to highlight that Carbon Credits for Offsetting are sold in the voluntary
market, can’t be transferred, and can be used only for immediate compensation
of the CO2 emissions.

The validity period of the Carbon Credits for Offsetting is 12 months (1 year) from the
activation date.

Purchasing Procedure
To purchase Carbon Credits for Offsetting, the client shall pass a KYC/AML/CTF to
accede to the process.

Fulfilling our Order Request Form - “ORF”, WIGAN collects the information needs to
complete the verification and onboarding process. As we have done this first phase,
the client receives back the ORF with quantity availability and price, as a formal and
binding sales offer.
Our offer is valid for five (5) working days.

The client has the right to decline or accept our offer within the validity time.
If the validity time ends, upon the client's request, the offer can be renewed or
extended, it depends on the price fluctuation.

To sign the ORF is a binding acceptance of our offer. From that moment, the client
receives:

 A commercial invoice for the payment of the Carbon Credits (NFTs) from
OXYGEN-O2*,
 A payment receipt confirmation from OXYGEN-O2*.

 The Client receives the proof of Offset, which are the Carbon Credits for
Offsetting in NFTs form, via web-link which include the NFT and the emission
audit report within (5) working days from the payment receipt.
 A patch for:
o “Carbon Neutral” or “Net-Zero” if the client has an official GHG
certification.
o “Certified Carbon Offset Label” or “Certified Carbon Emission
Offsetter”.

EDT (ELECTRONIC DOCUMENT TRANSMISSIONS)

EDT’S shall be deemed valid and enforceable in respect of any provisions of this contract. As applicable, this agreement shall:
 INCORPORATE U.S. PUBLIC LAW 106-229, ‘‘electronic signatures in global and national commerce act’’ or such other
applicable law conforming to the UNCITRAL model law on electronic signatures (2001) and
 ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, GENEVA, MAY 2000) adopted by the United Nations center for trade
facilitation and electronic business (UN/CEFACT).
 EDT documents shall be subject to EUROPEAN community directive no. 95/46/EEC, as applicable. Either party may request
hard copy of any document that has been previously transmitted by electronic means provided, however, that any such
request shall in no manner delay the parties from performing their respective obligations and duties under EDT instruments.
