DEED OF ASSIGNMENT AND WAIVER OF RIGHTS

KNOW ALL MEN BY THIS PRESENTS:

(A Hotel), Abanao St., Corner Shagem St., Baguio City. (hereinafter referred to
as the "ASSIGNEE");

WITNESSETH THAT

WHEREAS, the assignor is the owner of a motor vehicle particularly

WHEREAS, the assignor has offered to assign all his rights, title and interest

accordance with the terms herein set forth;

NOW, THEREFORE, for and in consideration of the foregoing premises, the

assignor hereby assigns, transfer and conveys unto the assignee temporarily all
his rights, title and interest to the aforementioned personal property and
appurtenant interest to this agreement and assignee by these presents hereby
accepts the assignment and agrees to be bound by the terms and conditions
and the rules and regulations, and restrictions pertaining to the said motor
vehicle.

IN WITNESS WHEREOF, the parties have signed this instrument on the date

This instrument, consisting of Two (2) pages, including the page on which this
acknowledgment is written, has been signed on the left margin on each and every
page thereof by the parties and their witnesses, and sealed with my notarial seal.
