CONTRACT TO SELL

This contract to sell made and entered into at Quezon City Philippines this
____ day of November 2022 by and between;

SPOUSES MORENO L. DELA ROSA and ERNA P. DELA ROSA, both of


legal age, Filipino Citizens and with postal address at 76 Monaco St. Loyola Grand
Villas, Marikina City hereinafter referred to as the SELLERS/VENDORS.

And

VICTORIA TUPARAN CADUNGOG, of legal age, Filipino Citizen, with


postal address at 19 Mangyan St. La Vista, Quezon City, hereinafter referred to as
the BUYER(S)/VENDEE(S).

WITNESSETH

WHEREAS the SELLERS/VENDORS are the owners of a parcel of land,


covered by TCT No. 467637 issued by the Registry of Deeds of Marikina City
located at Marikina City more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO. 467637

A parcel of land (Lot 2 of the cons. Subd. Plan, Pcs-13-001747,


being a portion of the cons. of Lots 6 & 7 (LRC) Psd-287295; LRC
Rec. No. 7672), situated in the Brgy. Concepcion I, Mun. of Marikina,
Metro Manila. Bounded on the SW., and SE., along lines 1 to 3 by Lot
5, (Right of Way) of the cons.-subd. Plan; on the NW., along line 3-4
by Road Lot 15 (12.00m wide) Psd-04-000511; on the NE., along line
4-5 by Lot 8 (LRC) Psd-287295; and on the SE., along line 5-1 by Lot
3, of the cons-subd. Plan. Beginning at a point marked “1” on plan,
being N. 4 deg. 59’W., 2369.46 m. from BLLM No. 2, Marikina,
Rizal; thence S. 44 deg. 03’W., 4.50 m. to point 2; thence N. 45 deg.
57’W., 17.00 m. to point 3; thence N. 44 deg. 03’W., 16.50 m. to
point 4; thence S. 45 deg. 57’W., 17.00 m. to point 5; thence S. 44
deg. 03’W., 12.00 m. to the point of beginning, containing an area of
TWO HUNDRED EIGHTY SQUARE METERS & FIFTY SQUARE
DECIMETERS, (280.50) xxx

WHEREAS the BUYER(S)/VENDEE(S) would like to purchase the said


property on installment basis.

WHEREAS the SELLERS/VENDORS are willing to grant the


BUYER(S)/VENDEE(S) the said request.

NOW THEREFORE, for consideration of the foregoing premises, the


SELLERS/VENDORS agreed to sell and the BUYER(S)/VENDEE(S) agreed to

buy the above described property subject to the terms and conditions set forth
herein, to wit;
1.) Purchase Price – The purchase price for the sale of the said
property shall be twenty six million five hundred thousand pesos
(P26,500,000.00).

2.) Down payment – 50% down payment equivalent to thirteen


million two hundred fifty thousand pesos (P13,250,000.00) upon
signing of this Contract.

a) Initial down payment- Three million pesos (P3,000,000.00)


on October 25, 2022.
b) Full down payment- Ten million two hundred fifty thousand
pesos (P10,250,000.00) on November 8, 2022 or upon
signing of this Contract.

3.) The BUYER(S)/VENDEE(S) shall pay the balance of thirteen


million two hundred fifty thousand pesos (P13,250,000.00) on or
before January 31, 2023.

4.) Should the BUYER(S)/VENDEE(S) fails to pay on the schedule


date as provided in paragraph 3 hereof, this Contract to Sell shall
be terminated immediately and considered cancelled, and the
BUYER(S)/VENDEE(S) shall forfeit in favor of the
SELLERS/VENDORS the down payment made by the
BUYER(S)/VENDEE(S).

5.) The SELLERS/VENDORS will execute the Deed of Absolute Sale


upon full payment of the purchase price by the
BUYER(S)/VENDEE(S).

6.) The capital gains tax, registration of the sale, documentary stamp
tax and all fees and expenses in connection with the transfer of the
title of the said property in favor of the BUYER(S)/VENDEE(S)
shall be for the account of the BUYER(S)/VENDEE(S).
This contract is binding upon the heirs, executors and administrators of the
parties herein.

IN WITNESS WHEREOF, the parties herein have hereunto set their hands
