a. Company History and Future Expansion Plan

Our Company was established and incorporated in 2013 by our founder, Mr Hui Xuan, with the aim
of providing fresh vegetables to our customers. Throughout the years, we have evolved to include
fruits, frozen meat, and provisions and seasonings to our supplies.

During the early years, our business focused on providing goods to business-to-business (B2B)
segment, fulfilling the needs of F&B businesses with fresh ingredients. In year 2020, we have
expanded our reach to business-to-consumer (B2C) segment, delivering goods directly to our
customers’ home.

Our success was mostly attributed to the change from traditional handwritten invoices to employing
technology to boost productivity and efficiency while fulfilling customer orders. Through this mean,
we are able to meet increased consumer demand while reducing the chance that an order would be
missed and negatively affect our customers' business.

The backbone of our Company lies with the ERP system that was developed by our own IT
department which helped the entire process of our Company from purchases to sales including
warehouse management system that caters for B2B segment. Besides, we also have a dedicated
system to serve our B2C customers. These system includes both web-based and mobile application so
as to improve the user experience for all our customers.

We pride ourselves on being able to offer 24/7 customer support to guarantee that your voice is heard
punctually, and you are attended to swiftly. In order to serve our customers well, we also have our
own delivery fleet to ensure orders are fulfilled.

In the course of our years of business, we have been able to retain a number of long-term clients, these
includes Hai Di Lao, TanYu and many other Chinese cuisine-oriented eateries. The organisation has
experienced remarkable development throughout the years as a result in gaining these long-term
partnerships whereby we’ve crossed tenth million annual sales by the fifth year of operation.

In 2022, we expanded our operation to Johor, Malaysia, with the aim of providing fresh ingredients to
the Johor market. This accomplishment represents yet another clear outcome of the company's market
penetration.
In the future, we intended to grow sales in the frozen meat area as this segment currently contributes
only around 1% of our monthly income. According to industry studies, the market for frozen foods is
anticipated to grow at a CAGR of 6.8% from 2023 to 2027. This implied that this segment will give
our business the chance to achieve other milestones in the years to come.

We also aim to offer our logistics service to more Singaporean companies. For the time being, we will
provide this service to our present clients so they can, if necessary, transport their items between their
shops. Going forward, we aim to broaden this service to more clients, focusing mostly on local F&B
enterprises, to offer them a one-stop logistical solution.

Moreover, chiller and freezer facilities are essential for maintaining perishable goods like food,
medicines, and other temperature-sensitive goods. As a result, it's crucial to keep these facilities at the
right temperature and make sure they're operating effectively. We can provide our customers short-
term storage because our warehouse has chiller and freezer storage facilities. There would be a sizable
demand for this service given the lack of such facilities in the Singapore market at the moment, and
we might meet such requests by using the available resources.

By merging all of the products and services we already offer as well as those we have in the works,
we hope to become Singapore's top distributor of fresh ingredients and the only business that offers a
one-stop solution for everything from raw materials to storage and logistical suppliers.
b. Our Products & Services

We provide a variety of products and services, including:

 Vegetables (including processed vegetables)

Vegetables are a vital component of a healthy and balanced diet. More and more people are
realising the importance to include more veggies in their meals. Revenue for vegetables segment
in Singapore amounts to US$1.09bn in 2023. The market is expected to grow annually by CAGR
1.87% to year 2027.

We offer a wide variety of fresh vegetables to suit every taste and preference including leafy
greens, roots, cruciferous and nightshades. These vegetables are imported from China, Malaysia,
and the local market daily to ensure we supply the freshest produce every day to our customers.

To meet the demand of some customers’ chain, we also provide processed vegetables that are
tailored to the needs of our clients including slices, peeled, and grated vegetables.

We have a committed customer care team that is always available to address any difficulties or
concerns our customers may have in order to better serve them. To ensure that no consumer is
overlooked, we boast of offering this service around-the-clock.

 Fruits

Fruits, complementing vegetables, are another vital component of a healthy and balanced diet,
providing a wide range of essential vitamins, minerals, and nutrients that are vital for maintaining
optimal health and wellbeing. Revenue in the Fresh Fruits segment in Singapore amounts to
US$768.40m in 2023. The market is expected to grow annually by CAGR 0.56% to year 2027.

At our company, we are passionate about providing our customers with the freshest and most
delicious fruits available. We supplies a wide variety of fruits which were sourced from local
market, Malaysia and China.
 Provisions and Seasonings

Provisions and seasonings are essential ingredients in any kitchen. They are used to add flavour,
texture, and depth to dishes, and can help elevate a simple meal to something truly delicious.

We provide a wide variety of provisions and seasonings that caters to business needs. From
specialty condiments to everyday essentials, we have everything you need to elevate your food
presentation and flavour. Our supplies were sourced locally and from China which will appeal to
local taste buds and the rising popularity Chinese cuisine.

 Frozen Meats and Other Frozen Products

Frozen meat products have become increasingly popular in recent years as people look for
convenient and cost-effective ways to prepare meat-based meals. The drive for its popularity
mainly comes from its convenience availability and storage for extended time beyond fresh
meats.

Presently, less than 1% of our revenue comes from sales in this segment. According to market
research and the effects of the Covid-19 pandemic, the demand for these items has increased due
to the ease of storage and use. According to analysis, this segment's growth is predicted to
increase at a CAGR of 6.8% through the year 2027. This demonstrates that there will be a sizable
portion of the market that we can capture.

Currently, while we do offer a variety of frozen meat to cater to the general needs, the main
group that we serve are only individual consumer and other small F&B businesses. Our supplies
include chicken, pork, and seafood products. Besides, we also offer self-made dimsum products
including plain and flavoured bun, dumplings, and glutinous rice cakes.

 Logistics Service

Logistics service plays an important role in modern business operations. Through outsourcing
logistics needs, businesses can free up their resources to put more focus on their core business
operation and reduce their operating costs.

Currently, all our logistical needs are fulfilled by our in-house logistics team. We have a fleet of
delivery vehicles available to fulfil both B2B and B2C orders, and we have both large and small
trucks for routine delivery.
Our upcoming plan is to expand our reach to offer this service to our existing customers and
subsequently to more new customers. Throughout our years of operation, we heard requests from
some of our customers who needs to transport certain items from either their central kitchen or
outlet to another outlet. Tapping on our existing resources, we are able to provide this service to
our customers.

 Warehousing Service

Our warehouse facility can offer a range of services including general warehouse, chiller, and
freezer storage. We can offer our customers both short-term and long-term leasing if they need.
The primary function of a warehouse is to allow our customers to store goods and materials until
they are needed for consumption.

The availability of a warehouse will allow our customers to achieve cost savings such that when
the business can purchase in bulk, its purchase price will be reduced. Besides, when some
materials require a long delivery lead time, our customers can rest assured that they can use our
facility to store these types of goods, as their business environments tend to have limited storage
space to ensure consistent supply to their daily operation needs.

Additionally, if they acquire the inventories from us, it will simplify their operations even more
because all they have to do is send us a purchase order, and we will take care of everything from
the purchase to storage to eventually delivering the goods to their outlets. For our customers, this
will be a seamless experience.
c. Challenges
We must overcome several challenges in order to maintain our current operation and the planned
expansion of our business.

 Uncertainty of Rented Warehouse at 32 Quality Road

Our landlord, Warehouse Logistics Net Asia Pte Ltd (WLNA), faced financial difficulties and ceased
their operation as a logistics provider a few years ago. They remained a dormant company to date. As
a result, uncertainty arose with the future of land at 32 Quality Road between WLNA and JTC
Corporation (JTC) on the future utilisation of this piece of land for the remaining tenure under the
agreement with JTC, which is about four (4) years till end on lease as of March 2023.

While we tried to propose to JTC to bought over the remaining 4 years lease from WLNA to enable us
to maintain our current operation while seeking for alternative warehouse, the proposal was rejected.
JTC informed us that the rejection was due to our company has not able to meet the value added (VA)
criteria in their evaluation.

The future four years being a short to medium term, this period is crucial for us in our effort to
strengthen our current operation and for our future expansion plan. Should we generate higher revenue
during this period, there would be higher possibility for us to meet JTC’s VA in future when we
require to acquire land or warehouse or when we tender for a new location in the future.

 Unavailability of an Equivalent Warehouse for All Our Services and Products

Although JTC has suggested a few alternative warehouses for our consideration, none of those
warehouses were big enough for all our operations. To prepare processed vegetables, these must be
prepared at JTC-approved food land facilities. Meanwhile, JTC also suggested that we rent another
warehouse for the storage of other products and services that do not require processing.

Currently, only a few designated JTC-owned developments have this facility, and most have fully
occupied. Besides, these units tend to be smaller in size as they are mainly catered to food businesses
and operations such as food processing, catering, and central kitchens.

The challenges we faced in this situation would be an increase in manpower requirement to maintain
two warehouses, which would result in increased manpower costs, increased management difficulties
when management would not have direct supervision of both warehouses at the same time, and an
increase in logistics difficulties when our delivery vehicles must pick up goods for the same customer
at two warehouse locations.
 Seek Alternative Warehouse in Johor Bahru

Due to the difficulties in finding a suitable warehouse in Singapore, our Company has to search for
alternate warehouse in Johor Bahru, Malaysia, to perform vegetables processing. However, this will
pose higher risks and operational difficulties for our Company.

Moving a warehouse is a complex and challenging issue. This would lead to downtime in our
production process which would then cause delays and disruptions to order fulfilment. Besides, there
would be associated increase in manpower costs arose from the needs to hire additional staffs in Johor
Bahru for operational purposes. This would increase the difficulties for management to oversee day-
to-day operations.

If the relocation is implemented, there is a risk that the Company will have to let go most of the staff
currently employed locally as there would be no warehouse for the workers to perform their work.

 Oversea Competitors

Currently, our Company is competing against other local players to remain a major supplier in the
market and contributing to employment opportunities at the same time. However, we also facing
competition from suppliers from Malaysia.

These competitors from Malaysia typically have a comparative advantage over our Company in
Singapore specifically in areas such as cheaper labour costs and cheaper operating costs.

 Loss of Tax Income

The sales generated by Malaysian companies, will result in loss of tax income for Singapore Tax
Authority as this income will be taxed at Malaysia.

The operations of the Malaysian companies will also result in the loss of personal income tax because
the employees of Malaysian companies are not subject to Singaporean income tax. This would
consequently make it harder for Singaporean businesses to compete in this competition.
