SPECIAL TRIP CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This SPECIAL TRIP CONTRACT made and entered into this ___ day of ____________ 2020 in the Pasay City,
Philippines by and between:

OVERSEAS WORKERS WELFARE ADMINISTRATION (OWWA), is a government agency under


the Department of Labor and Employment (DOLE), with office address at 7 th St., cor. F.B. Harrison
St., Pasay City, represented by its ADMINISTRATOR, HANS LEO J. CACDAC and hereinafter
referred to as FIRST PARTY;

- and -

___________________________________________________________________________________________, with the office located at


the ___________________ ______________________________________________________________________________ represented by
its _______________________________________ and herein referred to as SECOND PARTY:

WITNESSETH:

WHEREAS, OWWA is mandated to ensure welfare of the OFWs and their families, there is a need to
charter buses, coasters and/ or van to ferry OFWs to their province of destination through the OWWA UWIAN NA
PROGRAM;

NOW, THEREFORE, for and in consideration of the terms and conditions set forth herein, the Parties
hereto have agreed as follows:

A. OBJECT
The object of this Contract is for the Parties to ferry all returning OFWs to their province/ cities of
destination and implement a prospective payment mechanism with respect to TRANSPORT FEE’S , and to
implement the mandates of Republic Act No. 11469 otherwise known as the “Bayanihan to Heal as One
Act.”

B. TERM
This Contract shall commence immediately upon the signing hereof until ________________________________.

C. RENTAL COST

Rental Costs shall be based on Existing LTFRB Rates on Special Trips.


 Inclusion of Rental Costs
o Use of bus/coaster/van
o Fuel
o Toll Fee
o Bus Driver’s and Conductor’s Fee
o Bus Driver’s and Conductor’s Meal
o Accident insurance while on board only
o Parking Fee during the Trip, if applicable
o Permit
o Taxes (VAT) and other charges

Additional Charges on Trips / Side trips exceeding the LTFRB specified kilometers shall be computed
based on the existing LTFRB rates. (Rates divided by kilometers). Toll Fees outside original route shall
also be billed to the “FIRST PARTY”.

D. OBLIGATIONS OF FIRST PARTY

OWWA shall have the following obligations:

1. Pay SECOND PARTY round trip using the fare Matrix provided by LTFRB attached as Annex A;

2. Pay all additional services that they may request from SECOND PARTY but not limited to
Additional Charges on Trips / Side trips exceeding the LTFRB specified kilometers and Toll Fees
outside the original route, as agreed upon in this contract;

3. Direct all payments to SECOND PARTY , which the latter will provide immediately upon the
signing of this Contract ;

4. The FIRST PARTY agrees to load the leased bus unit/s only on its maximum load capacity. The
FIRST PARTY shall be liable for any damages to the leased bus unit/s of injury/ies suffered by
any passenger as a result of over loading or miss use of the leased bus unit/s.

5. Assign a point/contact person or representative from FIRST PARTY who will specifically
coordinate with and address concerns of the SECOND PARTY by working with the latter’s own
point/contact person or representative;

6. Such other tasks as may be necessary to implement this Agreement.

E. OBLIGATIONS OF SECOND PARTY

_______________________ shall have the following obligations:

1. That the SECOND PARTY shall make available for the FIRST PARTY’s OWWA UWIAN NA
PROGRAM ____ units of Buses for Overseas Filipino Workers to travel home to their respective
provinces.

2. That the SECOND PARTY agrees to provide the transportation (Bus, coaster and van) according
to the terms of this contract. Excessive distance but not limited to change of route, additional
drop off / pick up point and additional destination including Toll Fees outside original route shall
be Billed with Justifications, if necessary by the SECOND PARTY provided that such trips were
coordinated, has prior approval and was authorized by OWWA.

3. That the SECOND PARTY agrees to submit the following documents to the FIRST PARTY in
support to Billing Statement;

a. Original Copy of Billing Statement duly signed by the Company Owner and/or Authorized
representative
b. Original Copy of list of names of passengers duly signed by Bus Officer and Certified by the
Dispatcher (TRIP Manifest)
c. Trip Ticket/ detailed list of routes with the name of Bus Driver duly signed by the dispatcher
(Indicate Vehicle Plate Number )
d. Signed and Notarized Contract (Certified True Copy)
e. Certificate of Registration (BIR)
f. LTFRB permit
g. Business permit
h. Mayors Permit

4. That the SECOND PARTY guarantees to provide bus unit/s in good running condition including
seats (back and arm rest) and ready to use and that the drivers are certified and has the
necessary licenses as prescribed by the Land Transportation Office.

5. That the SECOND PARTY agrees to provide Buses with Baggage/ Luggage Compartment for
provincial trips;

6. That the SECOND PARTY agrees that the bus will arrive on time at the requested location, unless
there’s an unforeseen valid reason for the delay which the SECOND PARTY will advise the FIRST
PARTY ahead of time.

7. That the SECOND PARTY guarantees that the unit will be clean, sanitized, equipped with
alcohol and foot bath mat, the drivers are wearing PPE, face masks, goggles and gloves.

8. That the SECOND PARTY guarantees that should there be any mechanical/ or technical problems
with the bus unit, the SECOND PARTY will dispatch a rescue team or send a replacement unit to
ensure the safe travel of the passengers.
9. Assign a point/contact person or representative from SECOND PARTY who will specifically
coordinate with and address concerns of the FIRST PARTY by working with the latter’s own
point/contact person or representative;

10. Such other tasks as may be necessary to implement this Agreement.


F. TERMS OF TRIP

The Parties agree that the Following Terms in the TRIP TICKET, as attached hereto and made an integral
part hereof as Annex “B”.

G. TERMINATION OF AGREEMENT

The parties may terminate this agreement for any reason upon giving 10 days written notice.

H. WARRANTIES
The Parties warrant the following:

1. This Agreement is executed in accordance with the laws of the Philippines and is not contrary to the
same; and
2. The signatories of all Parties hereto are also empowered and authorized to enter into this Agreement
on behalf of their principals.

I. INDEPENDENT CONTRACTOR

The Parties to this Agreement are independent contractors. None of the Parties is an agent,
representative, partner, employee or co-venturer of the other Parties. None of the Parties shall have any
right, power, or authority to enter into any agreement on behalf of, or incur any obligation or liability of,
or to otherwise bind the other Parties. This Agreement shall not be interpreted or construed to create an
association, agency, partnership, or joint venture between the Parties or to impose any liability
attributable to such a relationship upon any of the Parties.

J. DATA PRIVACY COMPLIANCE

Each Party shall comply with the requirements under the Data Privacy Act of 2012, and such rules,
orders, and regulations as may be issued by the National Privacy Commission (“NPC”) in relation to the
processing and possession of Personal Information and/or Sensitive Personal Information (as such terms
are defined in the Data Privacy Act of 2012) comprising the Data. “Data” means the contract files,
materials and other information in physical, electronic or any other form pertaining to the Services. Data
shall also include all Personal Information and Sensitive Personal Information, as defined in the Data
Privacy Act of 2012, pertaining to any of the participants of the testing, the Parties’ personnel or to any
third party whose Personal Information and/or Sensitive Personal Information are disclosed to any Party
to this Contract, in connection with the terms hereof.

K. SEVERABILITY

If any provision of this Contract shall be held to be invalid or unenforceable for any reason by a court with
jurisdiction over the parties to this Contract, the remaining provisions shall continue to be valid and
enforceable.

L. FORCE MAJEURE

With the exception of the pandemic, neither Party will be liable for, or considered to be in breach of or
default under this Contract on account of any delay or failure to perform as required by this Contract, as a
result of any causes or conditions which are beyond such party’s reasonable control, including natural
disasters, acts of God, actions or decrees of governmental bodies, and acts of war, which such party is
unable to overcome by the exercise of reasonable diligence.

M. ENTIRE AGREEMENT

This Contract constitutes the complete and entire agreement between the Parties regarding the services
provided hereunder, and supersedes any prior agreements, whether written, oral, express, or implied,
between the parties with respect to the transactions set forth herein.

N. COUNTERPARTS
This Contract may be executed by electronic signature in two or more counterparts, each of which shall
be deemed an original, but all of which when taken together shall constitute one (1) and the same
instrument. Electronic signatures shall, for all purposes, be treated as originals.
