Sunville Tower, Antipolo St. corner Zone 25, Barangay 119 Sampaloc, Manila;

2. At the Special Meeting of the Board of Directors held on 10 February 2012 at its
principal office, at which a quorum was present and acting throughout, a Resolution was made
after a motion duly made and seconded, the Board has unanimously approved the following:

“RESOLVED, as it is hereby resolved that the corporation shall

establish a branch (TIN 020-253-2243) with office address at Slot
11-A, G/F Maligaya Street, Novaliches, Quezon City.”

“RESOLVED, FURTHER, that the corporation has authorized MS.

JOSE FAJARDO to:

1. Assist and process the closure of KLEENEX AND DIZZ

CORPORATION (the “Business”) in the Bureau of Internal
Revenue (BIR);

2. Accept and receive any and all documents and papers,

including official communications with the above-mentioned
government agencies or any of its departments, offices, or
divisions relating to the above-mentioned purpose; and

3. Make, sign, execute and deliver any papers, instruments and

documents and to do such any other act/s that may be required,
necessary or incidental to carry out effectively any and all of the
purposes for which this authority is hereby given.
