Foreword from the President and CEO

The Louricia Corporation Code of Conduct and Business Ethics is designed to reinforce
our dedication to Corporate Governance and to provide comprehensive guidance for the actions
of our employees. It serves as a robust set of principles to govern our behavior and ensure that
we maintain the highest standards of ethical conduct throughout our organization.
This Code serves as a guiding document for all employees, providing a clear direction on
how to achieve our vision and mission. I urge all employees to adhere to the Code and follow the
rules outlined in their work activities. By doing so, we will collectively work towards our goals
and uphold the principles that drive our organization.

The Louricia Corporation Code of Conduct and Business Ethics

Louricia Corporation is committed to conducting its business in a manner that reflects the
highest standards of integrity, transparency, and ethical behavior. This Code of Conduct and
Business Ethics serves as a guide for all employees, officers, directors, and stakeholders of
Louricia Corporation, outlining the principles and guidelines that must be followed in daily
activities and decision-making processes. By adhering to these standards, we foster a culture of
trust, respect, and accountability within our organization and uphold our commitment to our
clients, partners, and communities.
To achieve our vision and mission, all employees are expected to demonstrate strong
discipline in adhering to the Code of Conduct. This includes making decisions that prioritize the
best interests of the company and aligning their actions with our business ethics. It is essential to
understand that this Code serves as the primary representation and identification of our
organization.

The Company’s Values

The Code of Conduct must align with the company's stated values. It is mandatory for all
employees, directors, and officers to consistently adhere to these values, as outlined below:

consistent and reliable conduct.

The Standards of the Code of Conduct

The Code of Conduct sets forth the following standards to regulate the behavior and actions of
individuals associated with Louricia Corporation.

A. Attitudes towards Superiors

1. Engage in effective communication to understand and clarify objectives, goals, and


instructions. Seek clarification if any ambiguity arises. Comply with the objectives
and direction of the project.
2. Show respect towards superiors by following proper communication channels and
refraining from engaging in destructive actions or making unwarranted statements
against them.
3. Implement decisions in a timely manner, irrespective of personal inhibitions or
opinions, while maintaining the appropriate chain of authority.
4. Contribute relevant information that can aid in making better decisions or altering
strategies for improved outcomes.

B. Confidentiality of Information

1. It is acknowledged that the position within Louricia Corporation holds a significant


level of trust and confidence due to the access and involvement with all business-
related documents. This trust is inseparable from the position and nature of the work.
Confidentiality obligations encompass store operations, support divisions, and any
affiliated entities or subsidiaries.
2. Upholding the company's trust requires safeguarding all information, including trade
secrets or business-related data, which, if disclosed, could potentially harm or provide
competitors with an advantage against the company. In situations where legal
requirements demand information disclosure, it should be done in full compliance
with the law, adhering to established standards and procedures.
3. Strict adherence to company policies, applicable laws, and regulations is imperative.
If in doubt, individuals should seek guidance from appropriate sources. It is essential
to ensure that records and documents are not concealed, altered, destroyed, or
falsified to impede or influence the outcome of investigations or proceedings
conducted by official company committees, governmental bodies, regulatory
authorities, or judicial entities.
4. Engaging in the exchange of business practices, information, or securities for
personal monetary gain or favors is considered a violation of company information
policies.
C. Workplace Behavior and Respect

1. Show respect and treat all individuals with dignity and professionalism,
acknowledging and appreciating the unique contributions they bring.
2. Create and sustain an inclusive work environment that is devoid of any harassment or
discrimination, ensuring that every employee feels secure and respected.

D. Protection of Company Assets and Information

1. Our duty is to safeguard and maintain the company's assets and intellectual property,
ensuring their protection and preservation.
2. Handle confidential and sensitive information with the highest level of care,
preventing any unauthorized access or disclosure.
3. Use company resources responsibly and for legitimate business purposes, ensuring
efficient utilization without personal gain or unauthorized activities.
4. It is crucial to prioritize the security of company systems and data by following
cybersecurity protocols, implementing regular updates, and remaining vigilant about
potential risks and threats.

E. Compliance with Laws and Regulations

1. Our dedication to compliance necessitates a diligent commitment to adhering to all


relevant laws, regulations, and industry standards. It is essential that we remain
knowledgeable about these legal requirements and ensure our actions consistently
align with them, promoting a culture of lawful and responsible behavior.

3. If we have suspicions of any violations of laws, regulations, or company policies, it is
our responsibility to promptly report such concerns. By doing so, we actively
contribute to maintaining a transparent and accountable environment, facilitating
timely investigations and resolutions of potential issues.

Implementation and Monitoring of the Code


To ensure effective implementation and monitoring of the Code of Conduct, the following
measures will be taken by Louricia Corporation:
1. All employees are required to fully commit, both in written and practical terms, to abide
by the provisions of the Code of Conduct and Business Ethics. This includes adhering to
the guidelines, provisions, and actions outlined in the Code, and embodying the corporate
values and principles as an enduring tradition.
2. No employee, regardless of position or situation, is exempt from complying with the
Code of Conduct, except when the Board of Directors determines it necessary to veto
specific provisions. In such cases, recommended revisions will be discussed with the
Human Resource Division Manager.
3. Violations of the Code will be met with appropriate penalties and disciplinary actions
consistent with the Louricia Corporation's Employee Code of Discipline. Cases involving
civil or criminal actions will be addressed through legal procedures.
4. Retaliation in any form, direct or indirect, against an employee who reports violations of
the Code in good faith will not be tolerated. Sanctions will be imposed as prescribed.
5. Reports concerning violations of the Business Code of Conduct will be treated with
utmost confidentiality. All cases will be forwarded to the Employee Welfare and
Industrial Relations Specialist, who will be responsible for conducting investigations and
imposing penalties on erring employees. Reports, whether anonymous or not, must be
supported by sufficient evidence to warrant investigation, to avoid being treated as
hearsay.
