DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this 20 March 2021, at Laoag City, Ilocos Norte,
Philippines, by and between RODERICK T. VIERNES, of legal age, married, Filipino and a
resident of Brgy. 62-A, Navotas, Laoag City, hereinafter-called to as the VENDOR; and
HAYDEE B. ANTONIO, of legal age, Filipino and a resident of Brgy. 32-C Lapaz, Laoag City,
hereinafter called to as the VENDEE; -WITNESSETH; THAT-

The VENDOR is the lawful and registered owner of a motorized (with franchise) tricycle,
which is more particularly described as follows:

The VENDOR offer to sell the above-said motorized tricycle in the amount of PESOS:
______________________ (_____________), Philippine currency, which the VENDEE had
accepted the same;

The VENDEE has agreed to pay the amount of PESOS: SIXTY THOUSAND
(₱60,000.00), Philippine currency, as down payment upon the execution of this instrument;

The VENDEE agreed to pay the remaining balance of ___________ Philippine currency,
within a period of SIX (6) MONTHS, FROM AND AFTER this date;

Both parties agr ed that the FINAL DEED OF SALE of the above-described motorized
tricycle shall be executed upon the expiration of the Rental Agreement of its Motorized Tricycle
Operators Permit(MTOP) under Case No. TC-06-0486 Said Rental Agreement was docketed
under Doc. No. _____; Page No. ____; Book No. _____; Series of 2021, dated __________
2021 of the Notarial Book of Atty. ______________________________, and a copy of which is
hereto attached as ANNEX "A";

That failure of the VENDEE to pay and deliver his FULL PAYMENT within the agreed
period of time shall be a ground for the automatic CANCELLATION/TERMINATION of this
Agreement and FORFEITURE of the DOWNPAYMENT. Likewise, the VENDEE has to
immediately surrender possession of the above-said motorized tricycle to the VENDOR without
need of further demand from the latter;

Finally, both parties agreed to strictly abide and comply with the terms and conditions
hereof. Any legal issue which may arise by virtue hereof, shall be dealt with within the exclusive
jurisdiction of the proper courts of Laoag City.

 RENTAL AGREEMENT
(TRICYCLE FRANCHISE)

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and executed by and between RODERICK T. VIERNES, of legal
age, married, Filipino and a resident of Brgy. 62-A, Navotas, Laoag City, hereinafter-called to as
the FIRST PARTY(FP); and HAYDEE B. ANTONIO, of legal age, Filipino and a resident of
Brgy. 32-C0 Lapaz, Laoag City, hereinafter called to as the SECOND PARTY(SP); -
WITNESSETH-

That FP was awarded/granted by the Franchising Division of the Local Government of

Laoag City a Motorized Tricycle Operators Permit(MTOP)ITricycle Franchise under Case No.
TC2019-06-0486 for his Motorized Tricycle, more particularly described as follows:

with the route within the territorial limits of Laoag City, except on the National Highways;

That SP offered to rent the said MTOP/Franchise which the FP has accepted, subject to
the following terms and conditions as agreed upon by both parties:

1. That this agreement shall be for a period of ____________, which shall commence from
and after the execution of this instrument;

2. That the daily rental of the said MTOP shall be PESOS: ______________ per day, and
that the accumulated daily rental shall be paid and delivered to FP every end of the
month. That failure of the SP to pay and deliver his rentals for three (3) consecutive
months, is a ground for the automatic CANCELLATION/TERMINATION of this contract,
and the SP has to immediately surrender possession of the above-said MTOP to the FP
without need of further demand from the latter;

3. That in the event that the said MTOP shall expire within the existence/term of this
contract, the SP assume the responsibility to shoulder all the expenses for the renewal
of the same; and also, any problem, issue or accident that may arise and happen during
this contract, the SP is obliged to answer/shoulder such liability at his own expense;

4. Finally, both parties agreed to strictly abide and comply with the terms and conditions
hereof. Any legal issue which may arise by virtue hereof, shall be dealt with within the
exclusive jurisdiction of the proper courts of Laoag City,

I hereby acknowledge that on 04 February 2021, I received from HAYDEE B. ANTONIO

of Brgy. 32-C Lapaz, Laoag City, the amount of PESOS: FORTY-FIVE THOUSAND ONLY
(P45,000.00), Philippine currency, as his DOWN PAYMENT of a motorized (with franchise)
tricycle, which is more particularly described as follows:

as per our agreement; and

That today, 16 February 2021, I received from the same party the total amount of
PESOS: SIXTY THOUSAND ONLY (₱60,000.00), Philippine currency, as full payment of the
above-described motorized tricycle.

To sum it all, I hereby acknowledge to have received the total amount of ₱__________,
as full satisfaction of the agreed price of my motorized tricycle as above-described.
At Laoag City, this 19 MARCH 2021.
