AGREEMENT FOR SALE OF OWNERSHIP FLAT

THIS ARTICLES OF AGREEMENT is made and entered into at


Dombivli, Tal. Kalyan Dist. Thane on this _______th day of
_______________ 2022.

BETWEEN

MR. GANGADHARAN PATTANI, age 66 years, Occupation –


Retired, PAN NO. – AMUPP2015N and MRS. SANTHA
GANGADHARAN PATTANI, age 55 years, Housewife, PAN
NO. – ERJPP4521F, both are residing at - “SHREE NIMESH
COMPLEX” Co-operative Housing Society Ltd., Flat No. 302,
Wing B, on Third Floor, situated at Chole Village, Thakurli
(E)-421201, Tal. Kalyan, Dist. Thane, hereinafter referred to as
“THE TRANSFERORS” (which expression shall unless it be
repugnant to the context or meaning thereof shall mean and include
his legal heirs, executors, administrators and assignees) of the
FIRST PART

AND

SHRI. ROHIT R. PANDEY, age 33 years, Occupation-Service,


Pan No. AWSPP2319M, and MRS. SONAM ROHIT PANDEY,
age 31, Occupation-Housewife, Pan No.EDLPP1739K, both
residing at Room No. 2, Rajput Chawl, Near Thakurli Station,
Thakurli (W)-421202, hereinafter referred to as “THE
TRANSFEREES” (which expression shall unless it be repugnant
to the context or meaning thereof shall mean and include their
heirs, executors, administrators and assignees) of the SECOND
PART.
WHEREAS Transferors had purchased a Flat from Smt. Smita
Mahesh Shetkar vide Agreement for Sale dated 22/02/2005 and
registered with Sub Registrar Kalyan on 3 under Document No.
736/2005 and as such they are the absolute owner of Flat No. 302
on Third floor, admeasuring area about 510 sq.ft. built-up
equivalent to (47.39 sq.mtrs.), in the Building Shree Nimesh
Complex Co-operative Housing Society Ltd., bearing Old
Survey No. 212 & New Survey No. 9, Hissa No. 5 (p), situated at
Chole Village, Thakurli (E)-421201, Tal. Kalyan, Dist. Thane
Tal. Kalyan, Dist. Thane, Maharashtra. (More particulars in the
schedule hereinafter referred to as “the said flat”)

AND WHEREAS Transferors are the bonafide member of the


Shree Nimesh Complex Co-operative Housing Society Ltd.,
situated at Old Survey No. 212, Hissa No. 5 (p), & New Survey
No. 9, Hissa No. 5 (p), of Village Chole, registered under the
Maharashtra Co-operative Housing Act, 1960 vide Registration No.
TNA/KLN/HSG/(TC)/9763/1998-99 dated 12.05.1998 (hereinafter
referred to as the said society).

AND WHEREAS by virtue of the Transferors being the holder of
05 Shares of total value of Rs.250/- bearing Nos. from 131 to 135
and Share Certificate No. 27 (hereinafter referred to as the said
shares).

AND WHEREAS the said society, vide their No Objection Letter


have accorded their permission to this transfer and to admit the
TRANSFEREES as the member of their society in Register of
members, in respect of the said Flat and the shares.
AND WHEREAS the Transferors desire to sell transfer, assign
and convey the said Flat along with the said shares of the
Transferors to the Transferees.

AND WHEREAS the Transferees have expressed their desire to


purchase, possess and acquire the said Flat along with the said
shares of the Transferors for a lumpsum consideration of Rs.
32,00,000/- (Rupees Thirty Two Lakhs only).

AND WHEREAS both the parties hereto have arrived at certain


terms and conditions which they desire to record in writing.

NOW THIS ARTICLES OF AGREEMENT WITNESSES


AND IT MUTUALLY AGREED BY AND BETWEEN THE
PARTIES HERETO AS FOLLOWS:

1) The Transferors hereby declares records and confirms as


under:

a) The Transferors, at present is the absolute owner of the said


Flat No. 302 on Third Floor, admeasuring about 510
sq.ft. built-up area (47.39 sq.mtrs.), in the building Shree
Nimesh Complex Co-operative Housing Society Ltd.,
situated at Shree Nimesh Complex Co-operative Housing
Society Ltd., situated at Old Survey No. 212, Hissa No. 5
(p), & New Survey No. 9, Hissa No. 5 (p), at Chole
Village, Thakurli (E)-421201, Tal. Kalyan, Dist. Thane.
b) The Transferors has not entered into any agreement for
sale, transfer or letting out the said Flat and shares with any
other person/s save & except the Transferee herein and that
they are in exclusive and absolute possession and occupation
of the Flat and shares.

c) The Transferors are abided by and compiled with all rules,


regulations and bye-laws of the said society which are still
subsisting.

d) The said Flat along with the said shares are not affected by
any lispendens or insolvency proceedings or Decree of any
court for maintenance or any prohibitory orders from Income
Tax Department or any other Authority, restraining the
Transferors from dealing with, disposing of or parting with
possession of the said Flat and shares or any part thereof.

e) The Transferors has paid his share of Municipal Taxes,


Water Charges, Society Maintenance charges and all other
outgoings in respect of the said Flat up to date and that no
part thereof has remained unpaid.

2. The Transferors further declare that they have obtained the


necessary permission from the said society for sale and
transfer of the said Flat & shares unto the Transferees
herein.

4. In consideration of the aforesaid representations of the


Transferors the Transferees herein agree to purchase,
possess and acquire the said Flat & shares of the
Transferors and all his rights, title and interest therein for
the lumpsum consideration of Rs. 32,00,000/- (Rupees
Thirty Two Lakhs only).

5. The said consideration of Rs. 32,00,000/-( Rupees Thirty


Two Lakhs Only) to be paid by TRANSFEREES to the
TRANSFEROR in the manner hereinafter mentioned,

a Rs.4,00,000/- (Rupees Four Lakhs only) paid as under


before registration of this agreement as part payment (the
receipt whereof the TRANSFEROR hereby admit and
acknowledge in the presence of witnesses);

b The balance consideration of Rs. 28,00,000/- (Rupees


Twenty Eight Lakhs Only) is payable on sanction of Bank
Loan by any sanction authority within 45 working days from
registration of this agreement. And the delivery of vacant and
peaceful possession of the said Flat by the TRANSFERORS
to the TRANSFEREES only on realization of cheque and on
completion of all formalities of transfer of the said Flat and
the said Shares.

6. The Transferors shall deliver to the Transferees all


receipts, paid bills, documents, chain of previous original
agreements - papers, vouchers, NOC, Release Letter etc., as
desired by said Transferees and Original Share Certificates
relating to the said Flat and last paid-up & outgoing bill in
respect of said Flat as token of proof of the clearance of
outgoing dues and service charges and proof of paid bills of
MSED Co. Ltd., towards Electricity Charges till the date of
possession, of flat to the Transferees.

7. The Electric Meter bearing No. 07640107707 and


Consumer No. 020012461683 is affixed to the said Flat
which is in Transferor’s name and the Transferors has
agreed to transfer the said Flat along with the meter
Connection to the Transferees and further agrees to sign all
the necessary papers for transfer of such electric meter, to the
name of Transferees, as & when called for by the
Transferees in future. The Transferors further indemnify &
keep indemnified the Transferees, in case any penalty, fine,
imposed or action taken by MSED Co. Ltd., for the
consumption of Electricity during the period of their
occupation and stay in said flat, as the member of said
society.

8. The Transferors shall put the Transferees in vacant and


peaceful possession of the said Flat on the date of handing
over to their entire consideration price of flat in like amount
vide Cheque / DD / Pay Order, for amount of Rs. 32,00,000/-
(Rupees Thirty Two Lakhs only) i.e. Full Consideration
price of said flat and & on realization of said cheques of
consideration to their account, they shall issue possession
letter in favour of Transferees. And the Transferors shall
at all-time hereafter at the request of the Transferees agree
to do and execute or cause to be done or executed all such
acts, deeds and other assurances in law whatsoever for
further and more perfectly vesting and assuring the said Flat
& shares unto the Transferees.

9. On and after completion of this agreement and its final


payment as aforesaid the Transferors shall have no right,
possession, title and/or interest of any nature whatsoever in
the said Flat & shares and the Transferees shall be solely
and exclusively entitled to use, occupy, possess and enjoy the
same without any let, hindrance and/or interference of
whatsoever nature by the Transferors or anyone claiming
through their or under their behalf in anyway whatsoever and
the Transferees shall be entitled to deal with the same in
such a manner as they may desire and think, fit and proper, in
future.

10. The Transferees shall become the members of the said


society and shall abide by rules, regulations and bye-law as
amended from time to time and shall in the meantime
promptly and punctually to pay all taxes, charges and other
outgoings in respect of the said Flat from the date of
possession hereof.

11. All costs towards Stamp Duty, Registration Charges,


Advocate’s Fees and expenses incidental to registration to
this Agreement with Sub-Registrar, Kalyan Office will be
borne by the Transferees only.

12. The Transferors agreed to co-operate whenever required to


sign all papers pertaining to mortgage papers of the
Transferees with their Bank for furnishing their society’s
NOC, etc. including all other requisite documentation related
to the transfer of this Flat and Share, as laid down in this
indenture unto the Transferees absolutely without any
hindranace or obstacles, if Transferee desires, to opt loan.

13. The necessary transfer charges and / or transfer premium to


the society will be borne by the Transferors & Transferees
in equal ratio.

14. This agreement is subject to Maharashtra Ownership of Flats


Act 1963 and rules made thereunder, so also, it is subject to
the clearance of pre-existing liabilities of outstanding loan
amount and redemption of mortgage, of the Transferors,
with his Banker if any.

15. The possession of the Flat will be handed over to the


Transferee after full and final payment, by DD / cheques are
realized to the Transferor’s Bank Account.

THE SCHEDULE OF THE SAID PROPERTY

built-up area = (47.39 sq.mtrs.), in the building SHREE
NIMESH COMPLEX Co-operative Housing Society Ltd.,
situated at Chole, Thakurli (E)-421201, Tal. Kalyan, Dist.
Thane, Tal. Kalyan, Dist. Thane, consisting of Ground + 3 upper
floors at Old Survey No. 212, Hissa No. 5 (p), & New Survey
No. 9, Hissa No. 5 (p), lying and situate at Revenue Village
Mouje – Chole at Thakurli (E)-421201, Tal. Kalyan, Dist. Thane
and within limits of Kalyan Dombivli Municipal Corporation &
within the Sub-Registration Kalyan Taluka & the Registration Dist.
Thane, and bounded as under :
