NOTICE IS HEREBY GIVEN THAT THE 3ND ANNUAL GENERAL MEETING OF THE

ORDINARY BUSINESS:
1. To receive, consider and adopt the financial statements of the Company which
includes the Audited Balance Sheet as at March 31, 2020, the Statement of Profit and
Loss for the financial year ended as on that date together with reports of the Board of
Directors and the Statutory Auditors thereon.

BOARD’S REPORT
Dear Members,
Your Directors have pleasure in presenting this 3rd Annual report of the Company
together with the Audited Financial Accounts for the year ended 31st March 2020.
1. FINANCIAL SUMMARY:
The Company’s financial performance for the year under review along with previous
year’s figures is given here under:

2. TRANSFER TO RESERVES
The Company has transferred the entire loss occurred of Rs. 2,40,832/-(Rupees Two
Lakhs Forty Thousand Eight Thirty Two) to the Reserves and surplus account.
3. RESULTS OF BUSINESS OPERATIONS AND THE STATE OF COMPANY’S AFFAIRS
During the period under review, the Company suffered a loss of Rs. 2,40,832/-
(Rupees Two Lakhs Forty Thousand Eight Thirty-two) as against loss of Rs.
24,98,131/- (Rupees Twenty-Four Lakhs Ninety-Eight Thousand One Hundred
Thirty-One) in the previous year.
4. DIVIDEND
With the view to conserve the resources of the company, the directors are not
recommending any dividend
5. SIGNIFICANT AND MATERIAL ORDERS PASSED BY THE REGULATORS OR

COURTS OR TRIBUNALS IMPACTING THE GOING CONCERN STATUS AND
COMPANY’S OPERATIONS IN FUTURE:

During the year under review there has been no such significant and material orders
passed by the regulators or courts or tribunals impacting the going concern status and
company’s operations in future.
6. CHANGE IN THE NATURE OF BUSINESS:
There is no change in the nature of the business of the company.
7. CHANGE IN REGISTERED OFFICE OF THE COMPANY:
There was no change in Registered Office of the Company.
8. MATERIAL CHANGES AND COMMITMENTS, IF ANY, AFFECTING THE FINANCIAL

POSITION OF THE COMPANY WHICH HAVE OCCURRED BETWEEN THE END OF
THE FINANCIAL YEAR OF THE COMPANY TO WHICH THE FINANCIAL
STATEMENTS RELATE AND THE DATE OF THE REPORT:
There have been no material changes and commitments affecting the financial
position of the Company which have occurred between the end of the financial year
of the Company to which the financial statements relate and the date of the report.
9. DETAILS OF DIRECTORS OR KEY MANAGERIAL PERSONNEL:
During the year under review, following no changes in the composition of Board of
directors / KMP of the Company:

10. DECLARATION BY INDEPENDENT DIRECTORS
The Company was not required to appoint Independent Directors under Section
149(4) and Rule 4 of the Companies (Appointment and Qualification of Directors)
Rules, 2014 hence no declaration has been obtained.

11. NUMBER OF MEETING OF THE BOARD:
During the year 2019-20, the meetings of the Board of Directors were convened and
held four (4) times viz. on

the Companies Act, 2013.
12. COMPANY’S POLICY ON DIRECTORS’ APPOINTMENT AND REMUNERATION

INCLUDING CRITERIA FOR DETERMINING QUALIFICATIONS, POSITIVE
ATTRIBUTES, INDEPENDENCE OF A DIRECTOR AND OTHER MATTERS
PROVIDED UNDER SUB-SECTION (3) OF SECTION 178;
The provisions of Section 178(1) relating to constitution of Nomination and

Remuneration Committee are not applicable to the Company.
13. DIRECTORS’ RESPONSIBILITY STATEMENT:
Pursuant to the requirement under section 134(3)(C) of the Companies Act, 2013
with respect to Directors’ Responsibility Statement, it is hereby confirmed that:
a. In the preparation of the annual accounts for the financial year ended 31st March,
2020, the applicable accounting standards had been followed along with proper
explanation relating to material departures;
b. The directors had selected such accounting policies and applied them consistently
and made judgments and estimates that are reasonable and prudent so as to give
a true and fair view of the state of affairs of the company as at March 31, 2020 and
of the profit and loss of the company for that period;
c. The directors had taken proper and sufficient care for the maintenance of
adequate accounting records in accordance with the provisions of the Companies
Act, 2013 for safeguarding the assets of the company and for preventing and
detecting fraud and other irregularities;
d. The directors had prepared the annual accounts on a going concern basis;
e. The Company being unlisted, sub clause (e) of section 134(3) of the Companies
Act, 2013 pertaining to laying down internal financial controls is not applicable to
the Company; and

f. The directors had devised proper systems to ensure compliance with the
provisions of all applicable laws and that such systems were adequate and
operating effectively.
14. THE DETAILS IN RESPECT OF ADEQUACY OF INTERNAL FINANCIAL CONTROLS

WITH REFERENCE TO THE FINANCIAL STATEMENTS:
The Company has maintained adequate financial control system, commensurate with
the size, scale and complexity of its operations and ensures compliance with various
policies, practices and statutes in keeping with the organization’s pace of growth and
increasing complexity of operations.
15. DISCLOSURE OF COMPOSITION OF AUDIT COMMITTEE AND PROVIDING VIGIL

MECHANISM
The provisions of Section 177 of the Companies Act, 2013 read with Rule 6 and 7 of
the Companies (Meetings of the Board and its Powers) Rules, 2013 is not applicable
to the Company.
16. DETAILS IN RESPECT OF FRAUDS, IF ANY, REPORTED BY AUDITORS UNDER SUB-

SECTION (12) OF SECTION 143 OTHER THAN THOSE WHICH ARE REPORTABLE
TO THE CENTRAL GOVERNMENT:
There is no fraud in the Company during the F.Y. ended 31st March 2019 This is also
being supported by the report of the auditors of the Company as no fraud has been
reported in their audit report for the F.Y. ended 31st March,2019.
17. STATUTORY AUDITORS:
Pursuant to the provisions of Section 139 of Companies Act, 2013 read with the
Companies (Audit and Auditors) Rules, 2014, as amended, M/s Ravi P Rajan & Co.,
Chartered Accountants, Firm registration number – 015876S, the Statutory Auditors of
the Company, shall hold office up to the conclusion of Annual General Meeting to be held
in the year 2023. The Company has received a certificate from the said Auditors that
they are eligible to hold office as the Auditors of the Company and are not disqualified
for being so appointed.
18. EXPLANATION OR COMMENTS ON QUALIFICATIONS, RESERVATIONS OR

ADVERSE REMARKS OR DISCLAIMERS MADE BY THE AUDITORS AND THE
PRACTICING COMPANY SECRETARY IN THEIR REPORTS:
There was no a qualification, reservations or adverse remarks made by the Auditors

in their report.

The provisions of section 204 of the Companies Act, 2013 relating to submission of
Secretarial Audit Report is not applicable to the Company
19. INTERNAL AUDIT
The provisions pertaining to the maintenance of internal audit is not applicable to

the Company.
20. SUBSIDIARIES, JOINT VENTURES AND ASSOCIATE COMPANIES
The Company does not have any Subsidiaries, Joint Ventures and Associate
Companies.
21. DEPOSITS:
The Company has not invited/ accepted any deposits from the public during the year
ended March 31, 2020. There were no unclaimed or unpaid deposits as on March 31,
2020.
22. SUBSIDIARIES, JOINT VENTURES AND ASSOCIATE COMPANIES
The Company does not have any Subsidiaries, Joint Ventures and Associate
Companies.
23. PARTICULARS OF LOANS GIVEN, INVESTMENTS MADE, GUARANTEES GIVEN

AND SECURITIES PROVIDED
There were no loan, guarantees or Investments made by the Company under Section
186 of the Companies Act, 2013 during the year under review and hence the said
provision is not applicable.
24. PARTICULARS OF CONTRACTS OR ARRANGEMENTS MADE WITH RELATED

PARTIES
The Company has entered into Contracts or arrangements with related party under
the provisions of section 188 of the Companies Act, 2013 in the prescribed Form AOC-
2, is annexed herewith as “Annexure 2”.
25. CORPORATE SOCIAL RESPONSIBILITY:
The Company is not required to constitute a Corporate Social Responsibility

Committee as it does not fall within purview of Section 135(1) of the Companies Act,
2013 and hence it is not required to formulate policy on corporate social
responsibility.

26. CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE

EARNINGS AND OUTGO:
The information on conservation of energy, technology absorption and foreign

exchange earnings and outgo stipulated under Section 134(3)(m) of the Companies
Act, 2013 read with Rule, 8 of The Companies (Accounts) Rules, 2014, is annexed
herewith as “Annexure 1”.
27. STATEMENT INDICATING DEVELOPMENT AND IMPLEMENTATION OF RISK

MANAGEMENT POLICY OF THE COMPANY
The Company does not have any Risk Management Policy as the elements of risk
threatening the Company’s existence are very minimal.
28. PARTICULARS OF EMPLOYEES:

None of the employee has received remuneration exceeding the limit as stated in rule
5(2) of the Companies (Appointment and Remuneration of Managerial Personnel)
Rules, 2014.
29. A DISCLOSURE, AS TO WHETHER MAINTENANCE OF COST RECORDS AS

SPECIFIED BY THE CENTRAL GOVERNMENT UNDER SUB-SECTION (1) OF
SECTION 148 OF THE COMPANIES ACT, 2013, IS REQUIRED BY THE COMPANY
AND ACCORDINGLY SUCH ACCOUNTS AND RECORDS ARE MADE AND
MAINTAINED
The provisions pertaining to the maintenance of cost records is not applicable to the
Company.
30. WEB ADDRESS, IF ANY, TO PLACE COPY OF THE ANNUAL RETURN:
The Company doesn’t have website to place Annual Return referred in section 92(3)
of the Companies Act, 2013.
31. DISCLOSURE UNDER SEXUAL HARASSMENT OF WOMEN AT WORKPLACE

(PREVENTION, PROHIBITION AND REDRESSAL) ACT, 2013
As per the requirement of The Sexual Harassment of Women at Workplace
(Prevention, Prohibition & Redressal) Act, 2013 (‘Act’) and rules made there under,
your Company has adopted a Sexual Harassment Policy for women to ensure healthy
working environment without fear of prejudice, gender bias and sexual harassment
and thus complied with provisions relating to the constitution of Internal Complaints
Committee under the Sexual Harassment of Women at Workplace (Prevention,
Prohibition and Redressal) Act, 2013.
During the year under review, there were no cases filed pursuant to the Sexual
Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act,
2013.

32. ACKNOWLEDGMENTS:
