NOTICE IS HEREBY GIVEN THAT THE 3ND ANNUAL GENERAL MEETING OF THE
MEMBERS OF GPNR INFOTECH PRIVATE LIMITED WILL BE HELD ON THURSDAY
31ST DECEMBER 2020 AT 11.00 A.M. AT THE REGISTERED OFFICE TO TRANSACT
THE FOLLOWING BUSINESS:
ORDINARY BUSINESS:
1. To receive, consider and adopt the financial statements of the Company which
includes the Audited Balance Sheet as at March 31, 2020, the Statement of Profit and
Loss for the financial year ended as on that date together with reports of the Board of
Directors and the Statutory Auditors thereon.

NOTES:
1. A member entitled to attend and vote is entitled to appoint a proxy to attend and
vote instead of himself and the proxy need not be a member of the Company.
2. The proxies to be effective should be deposited at the Registered Office of the
company not later than 48 hours before the commencement of the meeting.

BOARD’S REPORT
Dear Members,
Your Directors have pleasure in presenting this 3rd Annual report of the Company
together with the Audited Financial Accounts for the year ended 31st March 2020.
1. FINANCIAL SUMMARY:
The Company’s financial performance for the year under review along with previous
year’s figures is given here under:

2. TRANSFER TO RESERVES
The Company has transferred the entire loss occurred of Rs. 2,40,832/-(Rupees Two
Lakhs Forty Thousand Eight Thirty Two) to the Reserves and surplus account.
During the period under review, the Company suffered a loss of Rs. 2,40,832/-
(Rupees Two Lakhs Forty Thousand Eight Thirty-two) as against loss of Rs.
24,98,131/- (Rupees Twenty-Four Lakhs Ninety-Eight Thousand One Hundred
Thirty-One) in the previous year.
4. DIVIDEND
With the view to conserve the resources of the company, the directors are not
recommending any dividend
During the year under review there has been no such significant and material orders
passed by the regulators or courts or tribunals impacting the going concern status and
company’s operations in future.
There have been no material changes and commitments affecting the financial
position of the Company which have occurred between the end of the financial year
of the Company to which the financial statements relate and the date of the report.
During the year under review, following no changes in the composition of Board of
directors / KMP of the Company:
The Company was not required to appoint Independent Directors under Section
149(4) and Rule 4 of the Companies (Appointment and Qualification of Directors)
Rules, 2014 hence no declaration has been obtained.

During the year 2019-20, the meetings of the Board of Directors were convened and
held four (4) times viz. on

The intervening gap between the Meetings was within the period prescribed under
the Companies Act, 2013.
Pursuant to the requirement under section 134(3)(C) of the Companies Act, 2013
with respect to Directors’ Responsibility Statement, it is hereby confirmed that:
a. In the preparation of the annual accounts for the financial year ended 31st March,
2020, the applicable accounting standards had been followed along with proper
explanation relating to material departures;
b. The directors had selected such accounting policies and applied them consistently
and made judgments and estimates that are reasonable and prudent so as to give
a true and fair view of the state of affairs of the company as at March 31, 2020 and
of the profit and loss of the company for that period;
c. The directors had taken proper and sufficient care for the maintenance of
adequate accounting records in accordance with the provisions of the Companies
Act, 2013 for safeguarding the assets of the company and for preventing and
detecting fraud and other irregularities;
d. The directors had prepared the annual accounts on a going concern basis;
e. The Company being unlisted, sub clause (e) of section 134(3) of the Companies
Act, 2013 pertaining to laying down internal financial controls is not applicable to
the Company; and

f. The directors had devised proper systems to ensure compliance with the
provisions of all applicable laws and that such systems were adequate and
operating effectively.
The Company has maintained adequate financial control system, commensurate with
the size, scale and complexity of its operations and ensures compliance with various
policies, practices and statutes in keeping with the organization’s pace of growth and
increasing complexity of operations.
There is no fraud in the Company during the F.Y. ended 31st March 2019 This is also
being supported by the report of the auditors of the Company as no fraud has been
reported in their audit report for the F.Y. ended 31st March,2019.
Pursuant to the provisions of Section 139 of Companies Act, 2013 read with the
Companies (Audit and Auditors) Rules, 2014, as amended, M/s Ravi P Rajan & Co.,
Chartered Accountants, Firm registration number – 015876S, the Statutory Auditors of
the Company, shall hold office up to the conclusion of Annual General Meeting to be held
in the year 2023. The Company has received a certificate from the said Auditors that
they are eligible to hold office as the Auditors of the Company and are not disqualified
for being so appointed.
The provisions of section 204 of the Companies Act, 2013 relating to submission of
Secretarial Audit Report is not applicable to the Company
The Company does not have any Subsidiaries, Joint Ventures and Associate
Companies.
21. DEPOSITS:
The Company has not invited/ accepted any deposits from the public during the year
ended March 31, 2020. There were no unclaimed or unpaid deposits as on March 31,
2020.
The Company does not have any Subsidiaries, Joint Ventures and Associate
Companies.
There were no loan, guarantees or Investments made by the Company under Section
186 of the Companies Act, 2013 during the year under review and hence the said
provision is not applicable.
The Company has entered into Contracts or arrangements with related party under
the provisions of section 188 of the Companies Act, 2013 in the prescribed Form AOC-
2, is annexed herewith as “Annexure 2”.
The provisions pertaining to the maintenance of cost records is not applicable to the
Company.
The Company doesn’t have website to place Annual Return referred in section 92(3)
of the Companies Act, 2013.
32. ACKNOWLEDGMENTS:
Your Directors place on record their sincere thanks to the Banks, Central and State
Governments for their continuous support and contribution to the company. The
Directors also express their gratitude to the Shareholders for the confidence reposed
in the Management of the Company.
Your Directors acknowledge the support and co-operation received from the
employees and all those who have helped in the day to day management.
