SPECIAL POWER OF ATTORNEY

I, MERRY ROSE R. WEIS, Filipino, of legal age, and a resident of Sitio Bus, Banilad,
Cebu City, Philippines, hereby name, constitute and appoint SHERWIN GALLON to
be my true and lawful attorney-in-fact, in my name, place and stead, to do the following
acts, to wit:

1. To process the closure of my business establishment under the name of NATURE

WELLNESS SPA located at Casanta Soong, Mactan, Lapulapu City, Cebu,
Philipines, and secure the Tax Clearance Certificate and any other document,
paper or instrument issued in relation thereto;

2. To PROCESS, CLAIM, SIGN, DELIVER and RECEIVE any and all documents
and papers required by the Bureau of Internal Revenue (BIR) and any other con-
cerned offices, as well as make payments for taxes, fees, and charges in connec-
tion with the aforementioned transaction.

3. To make, sign, and execute any and all documents necessary in the pursuit of
this authority.

HEREBY GIVING AND GRANTING unto my attorney full power and

authority to do and perform all and every act and thing whatsoever requisite and
necessary to be done in and about the premises, with full power of substitution and
revocation, and hereby ratifying and confirming all that our said attorney-in-fact shall
lawfully do or cause to be done by virtue of this Special Power of Attorney.
