This CRM Building Contract (the “Agreement”) is entered into by and between Ricky

Jefferson who is located at the state of New Mexico, United States; (the Client), and

Jonnathan Rodriguez, an independent contractor, with a mailing address of Valencia,

Carabobo, Venezuela (“Freelancer”).

1. Scope of Work. Freelancer will provide the following services to Client:

a. development of GHL CRM and Saas mode configurations.

2. Compensation. The client will pay Freelancer an hourly rate of $5 for the services

provided under this Agreement. Payment will be made on a weekly basis, based on

the number of hours worked by the Freelancer.

3. Term. This Agreement will commence on Monday may 1st and will continue until the

completion of the services or until terminated by either party.

4. Termination. Either party may terminate this Agreement at any time upon written

notice to the other party.

5. Confidentiality. Freelancer agrees to keep all information related to Client’s business

and operations confidential and not to disclose such information to any third party

without Client's prior written consent.

6. Ownership. The client will own all intellectual property created by Freelancer in

connection with the services provided under this Agreement, including the

customized CRM system.

7. Independent Contractor. Freelancer is an independent contractor and not an

employee of the Client. Freelancer will be responsible for paying all taxes and other

expenses associated with the services provided under this Agreement.

8. Governing Law. This Agreement will be governed by and construed in accordance

with the laws of Venezuela.

9. Entire Agreement. This Agreement constitutes the entire agreement between the

parties and supersedes all prior discussions and agreements.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first
