WHAT IS BASK?

How would one explain the BASK development as a whole?

BASK is a low-density villa resort development set on approximately 3HA (three hectares) of pristine 300-metre-
wide white sand beach front, west-facing land, on the tropical island of Gili Meno. BASK offers select individuals
the opportunity to own a freehold villa unit in what will undoubtedly be the most talked about resort in Southeast
Asia, benefiting from both the lifestyle usage and investment return benefits of ownership. Some features

structure providing a casual alternative to the beach club, having a mix of Mexican and Latin food.
• Integrating the resort, lake and surrounds is BASK's gym, salon and day spa. The salon provides
luxurious reflexology, hair, makeup and beauty treatments while the spa is the perfect place to relax,
soaking in views across the lake.

WHAT ARE THE FOOD AND BEVERAGE OFFERINGS?

In line with all aspects of the BASK brand and values, the food and beverage offering will be first-class. BASK
has a team of industry professionals, including multi-awardwinning beverage leaders, top chefs and key
management team to ensure that the Food and Beverage lead strategy makes BASK a market leader.

The menu will include incredibly fresh ingredients, with seafood sourced every day from the immediate
surrounding region. Locally grown organic vegetables and the finest specially imported meats from Australia
will be combined with produce from the BASK hydroponic herb and salad garden. The various dining outlets will
have a world-class offering from finer dining to shared plates, through to casual pizzas.

Starting with our comprehensive international wine cellar, the BASK beverage selection will be extensive and
complete. All bars will have a wide variety of beers, wines, cocktails, and liquor. As a central feature of the
beach club, our selection of beverage offerings will be continually curated by BASK’s mixologist.

BASK has established a distillery in Australia and enlisted the services of arguably the most awarded distilling
consultancy group in Australia to create a range of BASK Gins and Vodkas. Again, in line with brand values,
these products will be absolute-premium quality and will be unique within Indonesia.

To perfectly complement BASK’s beverage selection is the underwater bar, beneath the main restaurant. An
amazing feat of engineering, with design by famous Australian bar designer Fiona Lynch, guests will experience
the sensation of being underwater while enjoying a curated cocktail from our extensive selection of spirits and
liqueurs.

WHAT IS THERE TO DO ON GILI MENO AND THE GILI ISLANDS?

Other than enjoying the wonderful facilities of BASK and taking in the beauty of the area, there are many things
to do on the island and surrounding regions, including:

• Diving and snorkelling: In the stretch of pristine ocean between Gili Meno and Gili Trawangan is the
Meno Wall and extensive surrounding coral habitats. Snorkellers can easily drift safely and continuously
from the Bounty wreck at the south of the island to BASK's Nest underwater sculpture, only 30 meters
from the beach club.
• Gili Meno is admired for its untouched perfection and highest-rated beaches. Gili Meno has been rated
by Trip Advisor as the No. 1 beach in Indonesia.
• Sea Turtles: Gili Meno is home to a remarkable bale of Hawksbill and Green turtles known as 'Turtle
Heaven'. Divers can swim with the turtles in the clear waters, providing excellent visibility year-round.
• Gili Meno lake: This natural, brackish lake is home to many species of birds and is a beautifully serene
walk along the boardwalk and through cabana shelters, directly from the BASK site.

• Horse Riding is a popular activity along the Gili Meno's beach, and particularly wonderful past the west-
facing beach of BASK at sunset.
• Surfing: 100 metres from the southeast of Gili Meno is the spot known as 'Secrets' - a fast hollow right-
hand break, easily accessible from BASK. Gili Trawangan and Gili Air also have a variety of breaks,
some accessible directly from the islands or by boat.
• Kayaking: The waters around Gili Meno are ideal for kayaking, canoeing and paddle boarding, as the
waters are often mirror-calm.
• Charter Fishing: There are many options for fishing trips from the islands, from traditional Prahu or
Sampan boat fishing to larger expeditions. Large schools of feed fish breed in the coral reefs around
the island, providing excellent deep fishing from the nearby drop-offs.
• Gili Trawangan is the place for partying, with an array of bars open late, mostly gathered on the eastern
side of the island, looking directly across the 800-metre ocean stretch to BASK. Gili T is easily
accessible, with BASK running shuttles throughout the day.
• Golf: The Sire Beach Golf Club is only minutes by boat from the BASK. Hosting an international 18-hole
par 72 course designed by Peter Thompson, Michael Wolveridge and Perret. The course has captivating
views of nearby Mount Rinjani and the Gili Islands.
• Hiking Mount Rinjani is a popular activity, with the Gunung Rinjani National Park serving as a base for
treks to the caldera rim and beautiful surrounding forests.

WHO TRAVELS TO THE GILI ISLANDS?

Over 30 years, the Gili Islands have continued to evolve. They attract travellers from around the world, with the
majority being European (approximately 60%), followed by Australian and Indonesian tourists (approximately
30%).

Overall, the crowd is typically younger, however as the islands emerge further as a most desirable destination,
the age demographics are broadening further.

TRANSPORT
How do I get to BASK Gili Meno?

• By Airplane: Direct 25-minute flights from Bali to Lombok with an approximate 1 – 1.5-hour luxury car
commute time to the BASK Reception. Lombok’s international airport provides local flights and
international flights with the following airlines:
o Local flights: Garuda Indonesia (Boeing 737), Citilink, Lion Air, Batik Air, Wings Air.
o International Flights: Air Asia, Scoot, Silk Air.
o The drive to the BASK Lombok departure bar and lounge is a pleasant 1-hour journey on mostly
highways, through rice fields and coconut plantation land.
• By Helicopter: There is also a 40-minute helicopter route offering regular service from Bali to Gili
Trawangan or Gili Meno. Bali Air is an Australian-owned company with all Australian maintenance and
servicing of aircraft.
• By Boat: You can also get to BASK resort using boat services that are available from Bali to Gili Meno
with an approximate 1.5 – 2-hour commute time to BASK resort. The number and size of boat options
is constantly increasing. All islands now have new ferry terminals, built recently by the Lombok
government.

We are in the final stages of obtaining approval for a jetty license / ferry terminal – A key and unique asset,
facilitating the guest arrivals from Gili Trawangan, Gili Air, Lombok and Bali. Meantime the BASK beachfront
has excellent access for boat arrivals.

DESIGN
Who is behind the design at BASK?

The resort design is a collaboration between BASK, Gfab Architects’ Gary Fell and several other renowned
designers. Gfab’s track record includes:

• Four Seasons Sayan (Ubud, Bali)


• Samujana (Samui, Thailand)
• Aqua Samui (Samui, Thailand)
• Bloomberg Google named Fell the top architect in the world for a multiple-residence development.
• BASK’s underwater bar design is the work of Australia’s famous architect and bar designer Fiona Lynch.
• Matiya Marovic of award-winning Melbourne-based cafe designers SansArc Design Studio has created
“Pomona”, BASK’s contemporary Indonesian interpretation of a classic ‘fish shack’.

Explain the feel the architect and designer has gone for when planning the resort.

The architects have carefully considered an open plan design, making the units feel more spacious. The
distance between villas is generous and each villa is free-standing. A marriage of streamlined contemporary
and traditional island rustic look is applied throughout the resort. The result is a modern island-inspired design.

The other facilities created by Fiona and Matiya provide a different experience within the quality and design-
based philosophy of BASK.

CONSTRUCTION AND QUALITY

Who will be ensuring the build quality is going to be at the highest degree at BASK?

BASK Gili Meno has appointed a very experienced team of Project and Construction Management to oversee
the General Contractors.

• The main contractor will work to ensure the highest quality standards are upheld. With a focus on
craftsmanship and quality, BASK’s fully furnished villas are outfitted with locally crafted furnishings.
• Independent experts on concrete quality and finishing are working for the duration of the construction
phase to ensure top quality waterproofing concrete methods are used. BASK is also using additive
products to the concrete that are relatively new to Indonesia to ensure the very high quality. The MPA
(hardness and quality) will be above usual Indonesian standards.

All of these measures are implemented to ensure the highest quality, specification and engineering of the BASK
development, setting an unprecedented standard of build quality in the region. All engineering and construction
methods are to Australian specifications. We have carefully specified all materials and finishes to deliver a world-
class product.

WHO ARE THE KEY EXECUTIVES AND BOARD MEMBERS


RESPONSIBLE FOR THE CREATION OF BASK?

Greg Meyer – Director & CEO


Greg Meyer leads The Meyer Group and its property development interests in Australia and Indonesia. Greg’s
successful business track record is long and diverse, including founding The Rental Management Finance
Group in 1985, which became one of Australia’s largest financiers of specialist technology and
telecommunications suppliers, having in excess of 25,000 operating lease clients. In 2004 Greg founded EPAC
Salary Solutions, a vehicle leasing and salary packaging company, which very quickly progressed to become
Australia’s 3rd largest salary packaging company before being sold to an industry participant. An independent
board and corporate governance have always been integral to Greg’s approach to business.

Bruce Carter - Commissioner


Bruce Carter has more than 30 years of experience in corporate financial management and recovery. Recently
appointed to the Board of Directors of Crown Resorts and as Chair of Crown Perth, Bruce is highly respected
across Australia for his contribution to corporate and government roles. Previously, as Deputy Chairman of
SKYCITY, he oversaw one of Australia’s and New Zealand’s leading publicly-listed entertainment, resort, hotel
and gaming businesses. He is a Director of Bank of Queensland, Chairman of Submarine Corporation (ASC)
and chair of AIG Australia Ltd. Bruce has consulted to most of the major financial institutions within Australia
and has been involved in a number of government appointed restructurings and reviews.

Bill Barnett - Commissioner


Bill Barnett has been an advisor to the BASK project since inception. Bill heads C9 Hotelworks and has held
senior roles including Deputy Managing Director of the publicly listed destination resort Laguna Phuket, Chief
Operating Officer of Asia Pacific for Millennium & Copthorne Hotels in Singapore, where his responsibility
covered 43 operating hotel assets. Delivering a proven track record in asset management, Bill has acted in
ownership representation for leading hotels including properties under Four Seasons, Ritz-Carlton, Regent,
Hyatt, Hilton, Starwood, InterContinental and ACCOR.

OWNERSHIP/PAYMENT STRUCTURE

What ownership structure does an Indonesian investor have on villas at BASK?

Indonesian investors will receive an unencumbered right-to-build land certificate (HGB) for their villa lot and can
upgrade their certificate as HAK MILIK (Freehold). Their villa is built by BASK.

What ownership structure does a foreign investor have on villas at BASK?

To simplify foreign investment, BASK offers foreigners the ability to secure their investment by way of a 110-
year lease (30-30-30-20 years). This structure provides the investor with the same entitlement to usage and
investment returns as Indonesian investors, including, but not limited to management pool net revenues and
potential capital gains, as a lease agreement is arranged by a government-authorized notary (notary in
conjunction with BASK’s in-house legal counsel).

Please explain the payment structure when purchasing a villa at BASK.

Payment Structure - The reservation fee is IDR 70,000,000 which will be deducted from the total value of the
villa. The payment schedule will be 40% of the total purchase price prior to or upon signing of the villa purchase
or lease agreement (whichever is applicable). A further three payments of 20% will then apply over an estimated
construction period of 8-12 months depending on where your villa is located within the development.

Under Freehold purchase, the signing of government-authorized notarial deed for sale and purchase (AJB) to
the relevant land will be executed upon receipt of payment for all amounts due under the villa purchase
agreement.

Under Leasehold purchase, the original notarised lease agreements will be provided to the lessee upon receipt
of payment for all amounts due under the villa lease agreement.

BASK’s quantity surveyor provides a report and photos of the villa’s construction progress in support of each
progress payment claim. The last payment is upon completion of the villa.

Usually deposits for buildings are made in advance, but BASK offers its investors the security of paying for the
villa only as the work is complete.

Does BASK offer a payment plan for villa buyers?

Yes. Unique in the marketplace, BASK offers our buyers the ability to enter a payment plan whereby your villa
is purchased through monthly instalments over a 3- to 5- year time period. The payment plan option is available
on all Studio and Studio Plus villas. Conditions apply.

MANAGEMENT AGREEMENT – RETURNS

What is BASK offering investors in terms of guaranteed returns?

BASK is offering a guaranteed return of 7.5% per annum for cash buyers, based on the actual purchase price
and paid every 6 (six) months in arrears from the opening of your villa under the management agreement.

How do I know that my villa will achieve a satisfactory ROI after the 2-year guarantee?

BASK has employed the best consultants in the business to review all forecasts and underlying assumptions.
We want to provide the best opportunity for our investors to achieve long-term growth while maintaining your
asset to top level standards. With this in mind, we have carefully created the management agreement to provide
investor certainty and adequate provisions to maintain the properties. More information on future returns is
available upon request.

What is BASK’s Management Agreement Structure?

Under the BASK management arrangements the resort and villas will be managed to the highest standards. At
the expiry of the guarantee period an amount of 30% of total villa revenues (Adjusted Pool Revenue) is
distributed to unit owners, (less any relevant external agent booking fee commissions), in direct proportion to
their respective Villa Proportional Value. This system is more transparent to investors than other models which
are based on sharing net profit, the top line revenue model provides a level of certainty to income and is easily
identifiable, and the integrity of this revenue will be supported by an independent annual audit.

Note: we have adopted this model based on advice from C9 Hotelworks, who is recognized as a leading
consultant for Southeast Asian resorts and villa management arrangements.

Luxury brands such as Banyan Tree and many others use this system. An amount equal to 4% of the Adjusted
Pool Revenue (deducted from the 70%) will be set aside into a fund for maintenance and replacement of FF&E,
and long-term capital maintenance. This will be reported upon annually and will ensure ongoing premium
upkeep of all villas.

All operational expenses are covered by BASK from the remaining 66% of Adjusted Pool Revenue.

BASK management and advisers have been careful to create a fair and sustainable management arrangement
providing investors with a trouble free, good yielding investment. The Management Agreement, high level terms,
are described in the BASK Management Agreement Summary document.

Note: Taxes including withholding tax may apply to your receipt of your entitlement to gross revenue.
Independent advice should be sought.

How many days per year can I use my villa at BASK?

Investors are able to use their villa for up to 30 days per year (subject to management agreement terms). You
may assign your 30 days partially or all of your 30 day use to other family or friends, however you cannot
advertise this by yourself, using agencies, or by using any Online Travel Agent such as: Agoda, Booking.com,
etc. If you don’t use your 30 days within each year, it does not carry forward to the next year and thus does not
accumulate. In certain times of year, this varies.

One advantage of the BASK pooled return villa model is that, if you desire to extend your stay beyond 30 days
per year (management agreement terms), you are receiving revenue while you are incurring the extra room
cost, less of course the owners discount rates. Should you wish to have a further extended stay (for example,
one additional month), a greater discounted rate would obviously apply.

Must BASK manage my villa?

Yes, the management agreement is compulsory for all investors. This will preserve quality management, returns
and brand values. BASK does not offer self-management as we want to preserve the consistency for all
investors in the development, and guests at the resort.

Investment – what does BASK offer investors?

• In the lowest interest rate return environment seen worldwide for decades, BASK represents an
excellent opportunity for good income and capital growth returns.

• PT BASK Gili Meno grants the lease or (for Indonesian citizens or approved companies), sells the land.
• A great combination investment of extreme leisure fun and a good return.

How do villas at BASK compare to comparable villas in Bali?

At launch, BASK villas starting prices are around 40 - 50% more affordable than comparable villas in Bali. The
development is more spacious than the new developments in Bali. Given this is an established emerging
location, land values in Gili Islands are rising fast, however villa price are still sensible compared to villas in Bali.

Why should I invest into the Gili Islands?

Indonesia has been known as one of the best holiday destinations in the world and travellers are looking for
other alternatives to compliment Bali. The popularity of the Gili Islands has surged over the past 5 years thanks
to increased recognition of their natural beauty and relaxed atmosphere. Within this time, land prices have
increased by more than 100%.

The Gili islands area is growing faster than virtually any other area in Indonesia. Tourism is virtually the only
business on the three islands, so the culture is very welcoming.

Are there many luxury resorts in the Gilis?

Progressively, the standard of accommodation is increasing across all three islands. Luxury accommodation is
still limited in the Gili Islands; however, it is improving, and BASK will be the market leader in the Gili island
region. This scarcity has motivated positive occupancy rates at hotels, and growth and the maturity of the region
pre-COVID was exceptional.

Why invest into BASK Gili Meno over Bali?

Bill Barnett and other leading experts are of the opinion that the villas are under-valued, offering potential upside
to investors. BASK's villas represent an exceptionally good investment opportunity.

Gili Meno and particularly BASK's location is very unspoilt and a true tropical paradise.

• There are no vehicles on the island, virtually eliminating noise and pollution.
• The water is pristine, and the beaches are truly amazing.
• Next to Bali, the Gili Islands are the most emerging region for tourism.
• Certain post-COVID travellers will pay a premium for clean, safe holiday destinations.
• BASK's build quality and spaciousness are a luxury not afforded as easily in other locations.

Is the Government pro tourism?

Yes. Tourism numbers to Indonesia continue to grow strong; a positive move in support of international tourism
was the current Government’s introduction of a visa-free access for several countries, including: Australia,
Japan, South Korea, China and Russia. The Government has recently identified numerous tourism hot zones
developed as “10-new-Bali” which Gili Island is a part of, the support from Indonesian Government in regard to
tourism can only get bigger from now. Also, the Indonesian Government are instructing their Government
Sponsored Pension Funds to invest a percentage of their funds to tourism stock.

What is the culture of the Gilis like?

As tourism has been the main industry on the Gili Island for some years, the Gili people are very friendly and
welcome tourists with a very relaxed island personality. Many of the employees of the resorts on the Gilis are
originally from Bali. Therefore, tourism culture is deeply embedded in Gili people. BASK is already the largest
employer on Gili Meno and will remain so for the foreseeable future.

Is the island and region safe?

The Gili Meno island is an extremely safe and trusting environment and generally speaking one of the safer
areas in Indonesia. BASK will have highly qualified 24-hour permanent security staff working with the local
community to ensure that guest safety is always the highest priority.

Considering there is a lake on the site, will there be many mosquitoes?

Overall, there are no more mosquitoes on the BASK site than in other areas of the island, as the lake is salt
water which generally prevents the breeding of mosquitoes. For additional comfort and protection, BASK is
importing an expensive and proven system from the USA, “Mistaway”, which doesn’t kill mosquitoes but
instead it sprays a natural harmless-to-people fragrance that repels, which will minimize mosquitoes at the
resort.

We will also have a rock pond of salt water near the lake which circulates the water to prevent mosquitoes
and sand flies laying their eggs. BASK will also be planting plants that act as a mosquito and sand fly
repellent. Triple measures will also be put in place for optimal guest comfort. Other plant and in-room
measures are being implemented to ensure comfort.

Returns – what makes BASK so attractive?

Scale-sized boutique beach club lead development; all fundamentals and villa sizing are concisely within the
range required to provide an optimum mix of types for yield. BASK will be a market leader, supported by other
industry leaders such as C9 Hotelworks and JLL in its planning and programming.

BASK facilities and overall food and beverage offering will lead the way with quality in the Gili islands This will
assist in underpinning the room rate returns, providing a great reason to stay at BASK Gili Meno.

Why should I invest now?

Independent experts have appraised fair value for BASK villas to be around USD4,000 – USD6,000 per m2.
Current early buyer discounted prices are significantly less than this figure and offer investors the chance to
secure significant capital gains, and your location of personal choice. Villas are also selling extremely quickly.

Funding and Building of BASK Resort?

BASK is fully funded and does not use mortgage or bank financing to build the resort, as per the approval to
establish the company and build the resort, our funds to develop the resort is deemed qualified by Indonesian
Investment Board (BKPM), which adds to the investor security.

Who prepares the figures of Financial Forecast Flow Diagram and Projection of the Resort’s forecasted
revenue document?

All forecasts are independently prepared by our operation and financial controller team and reviewed and
adjusted by an independent third party consultant company recognized as the best in Asia – C9 Consulting.

As an owner do I receive any discounts from the BASK Beach restaurants and Day Spa services?

Yes, owners will be able to receive discounts and benefits of 15%, on food and beverage, spa, and additional
night stays beyond their 30 free days (subject to Management Agreement). Boat transfer discounts and
preferential seating will apply. An Owners’ Relationship Team is established to attend to owner enquiries.

Can I choose the furniture at my villa?

No, the furniture and fit-out must be provided by BASK to keep a consistent look and feel throughout the resort.

Explain the FF&E and Capital Reserve fund.

The building and materials that are used are scrutinized for their quality and durability. The FF&E and Capital
Reserve program will be in place to ensure long term sustainability via:

• 4% of the Adjusted Pool Revenue taken from the 70% Adjusted Pool Revenue is placed into this fund.
• FF&E (Furniture Fit Out, Repair and Replacement, etc.) replacement and general maintenance.
• Long-term capital in nature, maintenance.
• Any new capital landscape required.
• The fund will be independently audited and reported on annually.

Resale of BASK villas.

In the interest of protecting ongoing capital value of BASK Villas, BASK Marketing will remarket your villa should
you decide to sell in the future. As BASK has its own Sales and Marketing division we will ensure that properties
for sale are presented in the most consistent and professional manner to achieve the best possible sale value
outcome. Please note that all documentation in regard to resale of your Villa must be handled, first option, by
BASK.

BASK will have the best opportunity to resell your Villa as we will maintain a list of potential buyers, exclusively
direct to us.

Based in Sydney, Australia, Lyons Gallery is a high-end contemporary gallery that specialises in Pop Art and
Fine Art photography from the most prestigious and collected photographers & contemporary artists in the world.
BASK has formed an exclusive relationship with Lyons Gallery to bring some unique and inspired works of
photographic art to BASK.

The display office area in the beach club opens through to two private rooms where a large number of works of
art will be displayed and available for sale. To enhance the experience further, BASK’s Executive Chef Greg
Huggett and his team have created the ultimate private dining experience for guests to enjoy while discussing
the art on display in fine detail with BASK’s trained service attendants.
