AFFIDAVIT OF AUTHORIZATION TO DEDUCT,

WAIVER AND QUITCLAIM

I, HENRY A. BATI-ON, JR. of legal age, Filipino and with office

address at 4th Floor of Marvin Plaza Building, 2153 Chino Roces Ave.,
Barangay Pio del Pilar, Makati City, Metro Manila, Philippines, after
having been duly sworn to law, do hereby depose and state, that:

1. I am currently employed by Pieceland Corp. as an Accounting

Department Officer;

2. I acknowledge and truly understand that the company is

currently experiencing a substantial, serious, actual, and real loss due to
the economic effect of the COVID-19 pandemic to the tenancy of the
company’s Marvin Plaza Building, with more or less 70% has opted to
terminate their respective lease contract;

3. As of this date, the tenancy rate of the building remains at

33%, and as a consequence, the cash flow of the company continuously
diminished, affecting further the operational expenses of the company,
including the salaries of its employees;

4. In order for the company to give the respective salaries of the

other employees of the company, I voluntarily consent the company to
temporarily withhold or deduct half of my salary to cover the salary of
other employees of the company;

5. That I understand that the company will completely or

proportionately return to me the total amount withheld from my salaries,
without interest, whenever the company be able to sell its assets or have
an increase in tenancy rate or revenues;

6. That I hereby release, remise, and forever discharge the

Pieceland Corp., its principals, subsidiaries and their affiliates, and
their respective stockholders, directors, officers, employees,
representatives, or agents from all claims, demands, cause of
action, or case of whatever nature arising from or relating to my
express consent to deduct and withhold from my salaries;

7. I further warrant that I will institute no action, case, or

claim against Pieceland Corp., their respective stockholders,
directors, officers, employees, representatives, or agents in
connection with any and all statutory benefits due me from the
company. I also manifest that this shall not be taken by me, my
heirs, or assigns, as a confession and/or admission of liability on
the part of the company, its successors-in-interest, assigns, agents,
or employees

8. I finally declare that I have read and understand this

document and the release, waiver, and quitclaim hereby given are
made willingly and voluntarily and with full knowledge of my rights
under the law.
