Promoters have wide powers relating to the formation of the company.
Law has put the relationship of the promoters with the company they
bring into existence as well as with those whom they induce to become
shareholders in it, as that of a fiduciary nature. This fiduciary relationship
is based on utmost faith and confidence. "Those who accept and use such

extensive powers are not entitled to disregard the interests of the c?rpora-
tion altogether. They must make a reasonable use of the powers ~h1ch they
accept from the legislatu re; and consequently they do stand, with reg_ard
to the corpora tion, when formed, in what is commonly called a fiduciary
relation to some extent.n3

business ' members. Thus, preliminary contra cts will either have to be left as mere
"gentlemen's agreements" or the promo ters will have to undert ake personal

made by a compa ny which does not exist is a nullity, neithe r the company

Liability of the Promoter


The nature of the liability of the promo ter on prelim inary contra cts depen ds
on the tenor of such contra cts. He can be held personally liable if he has
ehalf purpo rted to act as an agent and the non-ex istenc e of the compa ny was
known to both the partie s. This is becau se where a contr~ ct is made on
behalf of a princi pal know n to both the partie s to be non-existent, the con-
