WEBSITE PROJECT CONTRACT BETWEEN OMNIADO (PTY) LTD AND KILLIAN FINCH

Omniado (Pty) Ltd ("Omniado") wishes to appoint you, Killian Finch, as a website developer for one
project as per terms below. Omniado (Pty) Ltd, which appointment you wish to accept, upon the
following terms and conditions:

1. Your contract will commence on 7 February 2022 and will end when the project is completed
(including all revisions and tweaks that need to be made during client reviews), which period may
be extended by agreement by us in writing, unless terminated earlier in accordance with the terms
contained herein (the "Term”).

2. You agree to render your services as a website developer as follows-

(a) You agree to build a new website, set-up the domain and manage the technical set-up) for a
new brand based on the brief requirements (kindly see attached brief document):

(b) Usage and intellectual property rights:

i. you permit Omniado and the client to own all rights to the website created.
ii. we shall be entitled to use this material whatsoever without giving you reference.

(c) In consideration for delivering the Deliverables, we agree to pay you R4 000, excluding Value
Added Tax, which amount shall be paid upon completion of this job. This amount shall be paid
to the following bank account:

(a) You acknowledge that during your engagement with us, you will be made aware of sensitive
and/or confidential information pertaining to, inter alia, Omniado’s business (including their
clients), business practises and products. You agree that you will not disclose any such
information to any third parties without obtaining Omniado’s prior authorisation in writing.

(b) You agree that this appointment does not constitute an employment relationship between us.

(c) Either party shall have the right to terminate its relationship with the other party and claim
any damages that may be sustained if the other party, in the sole opinion of the aggrieved
party, brings the aggrieved party into disrepute, contempt, scandal or ridicule, offends public
opinion or the sensibilities or class of persons, or conducts itself in a manner that reflects
unfavourably on the reputation and goodwill of the aggrieved party.

(d) Furthermore, Omniado shall be entitled to terminate your appointment immediately if (1) you
fail to submit a Deliverable timeously in accordance with the terms contained herein; (2) in
Omniado’s sole discretion, you fail to meet the requirements of the Deliverables as contained
in the attached supporting brief document.Upon Omniado’s termination of your appointment,
Omniado shall be entitled to request all website elements, assets and log-in passwords from
Killian Finch.
