MEMORANDUM OF AGREEMENT

(re: Internal Partnership)

This Memorandum of Agreement is made and entered on 18th of November 2020, in the City of Manila on
Philippines by and between:

BEHAVIORAL SCIENCES SOCIETY a recognized organization of De La Salle University with

address at 2401 Taft Avenue, City of Manila, represented by its PRESIDENT, VINCE PAOLO
VILLANUEVA;

-and-

OFFICE OF STUDENT LEADERSHIP, INVOLVEMENT, FORMATION AND

EMPOWERMENT- DLSU FAST2019 BATCH STUDENT GOVERNMENT a recognized
organization of De La Salle University with address at 2401 Taft Avenue, City of Manila
represented by its Batch President, Ranjielo Zaironne B. Remedios, hereinafter referred to
as DLSU- SLIFE- FAST2019.

Witnesseth that:

The BEHAVIORAL SCIENCES SOCIETY agrees to be a partner for the THE ART OF PAG-EDIT: A
CREATIVE SERIES to be held on DECEMBER 11 & 18, 2020 on the Zoom Cloud Conference and will
provide the following, free of charge:

1. Share all The Art of Pag-Edit: A Creative Series publication materials

2. Provide at least five (5) webinar attendees;

3. Shall agree to add representative/s in a telegram group chat with other internal
organizations;

4. Provide at least ten (10) new likes to the DLSU FAST2019 Facebook Page.

In return, DLSU- SLIFE- FAST2019 agrees to the following terms and conditions:

1. Provide social media promotion, including 50 new likes on ORGANIZATION’s Facebook

Page, which will be tracked;

2. Include the ORGANIZATION’s logo on all publications;

3. Shall execute documentation and operation duties;

4. Give live acknowledgements in the event;

5. Provide a culminating acknowledgement post.

GENERAL TERMS AND CONDITIONS

1. DLSU- SLIFE- FAST2019 shall assume no liability whatsoever in the event that the THE ART OF PAG-
EDIT: A CREATIVE SERIES is cancelled, rescheduled or postponed due to a fortuitous event, Act of God,
unforeseen occurrence or any other event that renders the performance of the event/activity
impracticable, illegal or impossible. For purposes of this agreement, a fortuitous event shall include, but
not limited to: war, fire, labor strike, extreme weather or other emergency.

TERMINATION OF THE MEMORANDUM OF AGREEMENT

Grounds - Any time after the execution of this contract, this MOA may be terminated at the instance of ANY
OR BOTH PARTIES hereto or by reason of default described hereunder without prejudice to any other
rights or remedies it is entitled under this MOA and applicable law.

Events of Default - Each of the following events shall constitute a valid ground for default:

1. Any failure, neglect or inability on the part of EITHER OF THE PARTIES to comply with
any of the terms and/or conditions of this MOA; and

2. Any misrepresentation or breach of warranty made in connection herewith and proven

to have been incorrect or misleading as of the time it was made.

Procedure - Termination of this MOA shall be by service to the other party of a written notice of
termination, which shall take effect thirty (30) days after receipt of said written notice.

ENTIRE AGREEMENT

This agreement contains the complete understanding of both parties and may not be amended,
supplemented or varied except by an instrument in writing signed by both parties. The validity and
effectivity of this agreement shall be governed by the Laws of the Republic of the Philippines.

DISPUTE RESOLUTION AND VENUE OF ACTIONS

In case of dispute, the parties will try to settle it amicably before resorting to other legal remedies.
Exclusive jurisdiction over and venue of suits arising from this MOA shall be with the proper courts of the
City of Manila to the exclusion of other courts or tribunals.

The parties herein warrant that they have read and understood this moa and bind themselves to its full and
proper execution.
