RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

do, by these presents, declare, acknowledge and confirm my separation from and/or
termination of my employment with KMC MAG GROUP, INC, (hereinafter the
“Company”), by virtue of my termination, as evidenced by my end of probationary letter,
a copy of which is attached herein as Annex “A,” and the validity of this release, waiver
and quitclaim which I have voluntarily executed and signed.

Further, I acknowledge receipt from the Company the total amount of

(Php ___________), in full satisfaction of all employment benefits due me, including
but not limited to salaries, 13 th month pay, commissions, leave benefits, withholding
tax refund, retirement, redundancy, separation benefits, if any, from the Company
arising from my employment and the cessation of such employment, minus all
payables to the Company, if any. I acknowledge receipt of all separation benefits due
me from the Company, its affiliates, officers, directors or assigns and hereby waive
and relinquish all rights that I may have to any further amounts that may be accorded
as separation benefits.

Accordingly I, my heirs, administrators, successors and assigns hereby

absolutely and unconditionally:

a. release, remise and forever discharge the Company, its officers,

stockholders, representatives, agents or employees from any liability
arising from my past employment with the Company;

b. acknowledge that I/we have no cause of action, complaint, case or

grievance whatsoever against the Company, its officers, stockholders,
representatives, agents or employees and any consideration received by
me shall not be taken by me or my assigns as an admission of liability by
the Company for any and all legal intents and purposes;

c. acknowledge that during my employment with the Company, I received all

compensation and benefits which are due me under law, contract or
Company business practice. Should I be found, judicially or otherwise, to
be entitled to any further amount, I admit and acknowledge the
aforementioned consideration as full, complete and final satisfaction of any
and all such undisclosed claims. I also acknowledge that I have not been
and am not now suffering from any work-connected illness or disability.

d. agree and obligate myself to keep these proceedings, the receipt of the
above amount from the Company, and all matters made known to me by
reason of my employment in strictest confidence and that no unauthorized
disclosure or reproduction of the same shall be made by me at any time.

 e. agree that any tax due on the aforementioned final payment shall be for my
sole and exclusive account;

f. warrant that I/we shall not institute any action or complaint in any court or
administrative body in the Philippines or abroad against the Company, its
officers, stockholders, representatives, agents or employees, and will not
continue to prosecute any and all pending cases before any tribunal or any
court or administrative body, if any, against the Company or against the
aforesaid persons and/or entities.

Finally, I, the undersigned, hereby declare that I have read and understood the
contents of this document and the entire release and quitclaim herein given are
made by me, pursuant to and in connection with my above-mentioned
termination, willingly and voluntarily and with full knowledge of the my rights
under the law, and that this document is a complete settlement of all my claims
against the Company, its officers, directors and agents.
