GENERAL
These general terms and conditions apply to all our products;
Pricelist will be used along with our product’s public
documentation. Any other terms and conditions shall only
apply if agreed in writing. The terms and conditions herein take
precedence over the Buyer’s general purchase conditions. In
placing an order, the Buyer accepts fully and unreservedly
these general conditions of sale. The commercial, technical,
and delivery terms and conditions stipulated in our catalogs are
an integral part of these general conditions of sale.
ORDERS
No order shall be accepted unless communicated in a form we
received or defined, clearly indicating the Buyer’s details. For
distribution, we need to acknowledge receipt of orders, and no
changes to an order will be accepted. For projects, we issue
quotations based on the information given by the Buyer
(usage, environment, drawing, applying rules, etc.) If signed by
the Buyer, this quotation is accepted as a good order. The
contract is effective once we fully receive the first payment and
acknowledge receipt of the signed quotation—the technical
information required to start production. Quotations
(proforma) remain valid for one (1) month from being issued
unless specified on specific proforma invoices or quotations.
Once the month has elapsed, Quotations may change due to
prevailing economic conditions. We retain the entire
intellectual property of our projects, which may not be
communicated to third parties or executed without our prior
consent. To optimize packaging and billing costs, Buyers may
be invoiced for a minimum order value of 1000 QAR (One
Thousand only), exclusive of any local taxes, should their order
come to less than this amount. This condition shall only be
waived if agreed otherwise in writing. Our PRODUCTS are
intended exclusively for professionals in the building and
construction industry. Consequently, we reserve the right to
refuse to fulfill any order that appears irregular in this respect.
Any accessory, gasket, profile, or waiver conditions proposed
by ALWAND ALUMINUM W.L.L staff concerning the purpose or
terms of a sale should only apply after our head office has
confirmed them in writing. The Buyer is the beneficiary of the
order, which may not be assigned without our prior written
consent. All modifications of demands made by the Buyer
during the process of charges, in terms of color (finishing,
extraordinary lengths, quantities of products), could have
some cost consequences on the work already made (special
purchase or fabrication, or shipment cost) Alwand Aluminum
W.L.L will notify immediately the extra cost to be applied to the
Buyer. Cancellation of an order could be accepted in a
maximum of Two (2) working days after the acceptance of the
order sent by us to the Buyer for non-stock, non-standard
items, or finishing.
PRICES
PRODUCT prices were established in QAR (Qatar Rial)
considering the general economic market conditions in January
2015. Any significant movement in the economic conditions
(exchange rate, raw material increase) can justify the
immediate publication of a new Pricelist or provide a sticker
notifying the percentage of growth to be applied for all new
orders after the previous notification. ALWAND ALUMINUM
W.L.L will only be bound by prices stipulated in the applicable
Pricelist on demand, by prices confirmed in writing, or by a
quotation issued less than one month previously. Prices are ex-
works standard packaging included, discounts not included,
even where we provide carriage and delivery. Whereby the
prices do not have documentation charges for Export, clearing
costs, transportation to Buyer’s warehouse or site, and
applicable customs & tax duties whenever imposed by various
countries. Prices do not include distribution at site facilities
(forklifts, cranes, scaffolding, or any similar means), and the
buyer shall facilitate the above.
READINESS OF PRODUCTS FOR COLLECTION OR SHIPPING
PRODUCTS may be collected by the Buyer from our facilities or
shipped at Buyer’s request to the address indicated on order at
the Buyer’s expense. Collection or shipping deadlines shall run
from the date full payment has been received or from the date
we receive confirmation of credit for the order from the bank
approved by us. Deadlines do not include the time required for
carriage if the Buyer requires PRODUCTS to be shipped. The
deadline is an approximate estimation of the actual shipping
date. Failure to meet this date shall not give rise to the
payment of penalties or damages nor constitute a valid reason
for canceling an order. In any event, PRODUCTS shall only be
made ready for collection or shipping if the Buyer has fulfilled
all its obligations towards us. Unforeseen circumstances such
as war, civil war, riots, strikes, accidents, inability to procure,
and general transportation stoppages shall be deemed cases of
force majeure that constitute a valid reason for not fulfilling an
order. ALWAND ALUMINUM W.L.L shall inform the Buyer
immediately if such circumstances arise. Buyer shall bear the
cost of collecting and shipping PRODUCTS from our facilities.
Whatever form of transportation is used, PRODUCTS are
carried at the Buyer’s risk, whether they are shipped carriage
paid, carriage and insurance paid (CIP), or otherwise. The Buyer
is free to contract insurance to cover PRODUCTS and shipping
at its own expense. Where goods are damaged or missing, or if
packing is damaged, the Buyer must notify and confirm any
reservations to the carrier in writing, by the required legal
procedure, and within stipulated time limits. The Buyer is
remarkably advised to check the product condition on arrival.
Suppose the Buyer’s carrier fails to collect the PRODUCTS on
the agreed date. In that case, ALWAND ALUMINUM W.L.L will
charge the Buyer, whatever the reason for failing to order, for
all related costs-in particularly storage and handling costs.
Further, failure to collect shall in no way justify delaying
payment. After 30 days from the agreed date, if the Buyer still
fails to contain the products, Alwand Aluminum W.L.L will have
the right to invoice the order(s) considering, as entirely due,
the corresponding amount and storage cost.
PACKING
Concerning packaging, our only obligation is to take all due and
proper care as to the means. We provide standard packaging
as part of our regular service. Packaging is designed to protect
the PRODUCTS during carriage but is in no way intended for
storage in transit or at their destination. Special packaging may
be provided at the Buyer’s request and expense.
FINAL MEASUREMENTS AND PRICING
final measurements and pricing will be determined after the
installation of our products at your site. We want to emphasize
that the final price will reflect the measurements and any
additional work done at your site if required. We will provide
you with an itemized breakdown of the pricing. by agreeing to
this policy, you acknowledge that the final pricing may differ
from the initial estimate and that any additional work required
will be charged accordingly.
PAYMENT
All orders shall be paid by an irrevocable letter of credit payable
at sight, in the form of an accredited cheque, cash transfer to
Alwand Aluminum W.L.L bank accounts, to us, and confirmed
by a leading bank approved by us. Only the payment terms we
indicate on quotations, Proforma, or order acknowledgment
shall be considered valid, irrespective of any words in the
Buyer’s order (s). The Buyer shall bear all banking charges.
Express acceptance of payment terms other than those
provided for above in no way constitutes a novation or waiver
of the additional terms and conditions herein, particularly the
retention of the title clause. To open a Buyer account, we
require a completed application form signed by a person with
the legal capacity to bind the Buyer. This form must be
accompanied by proof of the payee’s bank account
identification. If, on examination of its accounts and financial
documents or by any other tangible means, the Buyer’s
financial position is found to have deteriorated after being
granted credit facilities, we reserve the right to demand
advance payment, cash payment, or guaranteed income for
current and future orders. Suppose the Buyer fails to meet the
agreed payment terms. In that case, it shall assign to ALWAND
ALUMINUM W.L.L any amounts it is owed for the sale of
PRODUCTS supplied by us and for which no payment or only
partial payment has been received, up to the outstanding
amount owed to us for said PRODUCTS. Suppose the Buyer fails
to make a single progress payment. In that case, the terms of
the agreed payment schedule shall expire, and the progress
payment plus the total amount outstanding shall be payable
immediately, not including accessory charges. Furthermore,
suppose the Buyer fails to make a single progress payment or
is late. In that case, ALWAND ALUMINUM W.L.L may charge a
penalty equal to ten percent (10%) of the amount due, plus
interest for late payment at the legal business rate applicable
in Qatar. The Buyer may neither withhold nor offset costs
against invoices, even where a claim has been filed. This clause
shall not be waived unless expressly agreed in writing.
PAYMENT TERMS

DEFAULT
If the Buyer fails to make an agreed progress payment, its debt
shall become due immediately and in full within eight days of
receiving formal notice by registered letter with a bill of
receipt. Further, any bank or interest charges incurred by
ALWAND ALUMINUM W.L.L due to the Buyer missing an agreed
payment shall be charged to the Buyer.
INDEMNITY CLAUSE
Suppose ALWAND ALUMINUM W.L.L sees fit in the event of
legal proceedings. In that case, the Buyer shall be charged an
indemnity of 10% on any unpaid sums, in addition to legal costs
and interest.
RETENTION OF TITLE
PRODUCTS shall remain the property of ALWAND ALUMINUM
W.L.L until full payment has been received if payment or any
part of the payment is not received or is only part made.
ALWAND ALUMINUM W.L.L reserves the right to demand the
return of all or part of the PRODUCTS delivered, even where a
subsequent Buyer holds them or has been used to produce or
been incorporated in other goods. If the buyer is not the final
user of the PRODUCTS, The Buyer undertakes to inform its
clients of the provisions of this clause. Claims may be filed even
in the event of administration of company assets, winding up
by the courts, or any other proceedings collectively initiated by
creditors. However, all risks attached to the PRODUCTS are
transferred to the Buyer when they are ready for collection or
shipping.
ALWAND ALUMINUM W.L.L saves the right to stop shipping
any of the PRODUCTS to the Buyer’s sites in case ALWAN
ALUMINUM W.L.L agrees to send the products to the Buyer’s
site or warehouse. The Buyer shall not resell, hire, lend, or
pledge PRODUCT(s) that have not been paid for in full. The
Buyer shall not utilize the PRODUCT for purposes other than
fabricating & installing it/them at the job sites.
CLAIMS
Whatever transportation is used, PRODUCTS are shipped at the
Buyer’s risk. The Buyer must communicate several claims
regarding PRODUCT defects, incorrect quantities, or part
numbers within seven days of receiving the goods. The Buyer
shall detail all reservations on the delivery note provided by the
carrier, in full detail, stipulating our references, and notify the
page of any claims within three working days by registered
letter with a bill of receipt, and shall forward a copy of these
reservations to ALWAND ALUMINUM W.L.L within the same
time limit.
WARRANTIES
The Buyer must check all designs. Consequently, the Buyer
shall be solely responsible for checking before commencing
work that the PRODUCTS are suited to the type of construction
and conditions in which it intends to use them. Measurements,
assembly drawings, and suggestions in our catalogs are
provided for guidance only. They do not constitute fabrication
specifications and are not binding on Alwand Aluminum W.L.L
Documentation indicating how SYSTEMS are to be used and
how STRUCTURES are to be installed is not included in the sale.
ALWAND ALUMINUM W.L.L shall in no way be liable for
damage sustained through:
A. Using the PRODUCTS in unsuitable conditions or for
purposes other than those for which they are designed.
B. Lack of or improper maintenance of the PRODUCTS.
C. Use the PRODUCTS with hardware, gaskets, or other
accessories not supplied or approved by ALWAND ALUMINUM
W.L.L.
A. Finish and color warranty:
The powder coating warranty covers the coating’s adherence,
resistance, colors, and uniform aging properties as stipulated
in Qualicoat guidelines (02/1994). The warranty covers
anodization for aluminum products defects visible in natural
daylight at three meters or more. Unless otherwise specified,
the benchmark used to gauge shade differences in grade 3 of
the grey scale stipulated in ISO 105/A- 1984 (A-02). The
standard anodized coating is class 16 by Qualanod guidelines.
This warranty only applies if the profiles in question have been
correctly implemented, used, and maintained. It does not
cover defects or imperfections resulting from everyday wear
and tear. Under the terms of this warranty, ALWAND
ALUMINUM W.L.L. will replace any profiles recognized as
defective but shall neither bear the fabrication nor installation
costs nor pays any indemnity.
Where the Buyer intends to use PRODUCTS in a corrosive
atmosphere (marine or industrial environment), it must inform
ALWAND ALUMINUM W.L.L. We reserve the right to restrict or
not to apply our warranty after examining the details of the
intended installation and consulting with all participants.
ALWAND ALUMINUM W.L.L warranty policy does not cover
finished PRODUCT(s) supplied in mill finish.
B. UPVC profiles warranties are against Color change defects,
and any manufacturing defects of a period of one year after
delivery of the relevant profiles are according to the profile-
producing factory and not in the responsibility of ALWAND
ALUMINUM W.L.L. During this one-year warranty period,
ALWAND ALUMINUM W.L.L will repair or replace free of charge
any part it has delivered that is proved to be defective, changed
in color, but shall not be liable to pay an indemnity of any kind.
This warranty does not cover repairs or parts that must be
replaced due to normal wear and tear of accessories. In all
circumstances and whatever the PRODUCTS claimed to be
defective, the Buyer must furnish proof of defects. The
warranty is limited to the repair or replacement free of charge
of parts delivered by ALWAND ALUMINUM W.L.L. that are
shown to be defective. The one-year warranty period is not
extended due to repairs, modifications, or replacement of
parts. All our profiles are extruded using an alloy optimized for
architectural Aluminum applications in building constructions
(6063). The Buyer must adhere to recommended industry
practices, particularly water-tightness joints, to maintain
quality assurance.
C. Warranty period:
The general warranty period for profiles, accessories & gaskets
(excluding Tools) is 120 months starting from the date of the
first invoice of ALWAND ALUMINUM W.L.L. For moving parts,
parts subject to wear and tear, and other supplies not
mentioned above, the warranty period shall be 24 months
starting from the date of the first invoice of ALWAND
ALUMINUM W.L.L. Further detail concerning the 120 monthly
warranty period is covered in Clause 18 below.
RETURN OF GOODS
Even where ALWAND ALUMINUM W.L.L accepts claims
regarding defects, no PRODUCTS must be returned without our
consent. Irrespective of whether PRODUCTS are defective, they
must be returned in their original packaging or equivalent
packaging: no cut and assembled PRODUCTS and hardware or
gaskets returned without their packaging will be accepted.
They shall not be a valid reason for refusing to pay a previous
invoice. Credits shall be deducted from monthly statements. A
minimum charge of 15% will be deducted from credits for
returned products to cover handling charges and depreciation.
This depreciation shall not apply where products have been
produced through the fault of ALWAND ALUMINUM W.L.L, in
which case, only the Buyer’s transportation and packing costs
will be reimbursed. The final value of the returned PRODUCT(s)
shall be determined according to their conditions when
received, i.e., whether used or not, with or without packaging,
etc.
IMPROVEMENTS
ALWAND ALUMINUM W.L.L reserves the right to modify
PRODUCTS without notice in any way it thinks fit to make
technical or aesthetic improvements.
INTELLECTUAL PROPERTY
The Buyer’s use of the ALWAND ALUMINUM W.L.L. trademark
or any other trademark under the supply scope or supply chain
of ALWAND ALUMINUM W.L.L. is strictly limited to work
implementing ALWAND ALUMINUM W.L.L. only. This
restriction also applies to any oral or written communications.
Under intellectual property law, copying our documentation, in
part or in full, without our consent is illegal.
JURISDICTION
A- The parties shall use their best efforts to settle any disputes
arising out of or in connection with a contract amicably. If the
parties fail to reach an amicable settlement of the dispute
within thirty (30) days calculated from the date of one party´s
